A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE A
CONSENT TO MORTGAGE OF LEASEHOLD ESTATE AND COLLATERAL
ASSIGNMENT OF LEASE.
WHEREAS, in 1984 the City of Salina issued industrial revenue bonds
on behalf of Famdoc, Inc., for the purpose of purchasing real estate and
constructing a facility to be leased by the City of Salina (the "Landlord") to
Famdoc, Inc., ( the "Tenant") , dated November 1, 1984, ( the "Lease") and
subleased by Salina Family Physicians, P.A., (the "Sublessee"); and
WHEREAS, the Tenant wishes to finance the construction of a
further expansion of the clinic with conventional bank financing and as part of
the security for the bank financing the Tenant wishes to grant a leasehold
mortgage and collateral assignment of its interest in the Lease; and
WHEREAS, Article VI of the Lease provides that any such granting
of a mortgage of leasehold estate and collateral assignment of lease requires
the prior written consent of the Landlord; and
WHEREAS, it is in the best interest of the City and its bondholder
to facilitate the expansion and improvement of the clinic; SO NOW, THEREFORE
Kansas:
BE IT RESOLVED by the Governing Body of the City of Salina,
Section 1. That the Mayor is authorized to execute a Consent to
Mortgage of Leasehold Estate and Collateral Assignment of Lease by the Tenant
for the purpose of obtaining bank financing of an expansion of the existing
clinic.
Section 2. That this resolution shall be in full force and effect
immediately upon its adoption.
Adopted by the Board of Commissioners and signed by the Mayor this
11th day of July, 1994.
