A RESOLUTION AUTHORIZING the Mayor of execute a Special
Warranty Deed to Wyatt Foundry, Inc.
WHEREAS, in conjunction with the issuance of City of
Salina, Kansas Industrial Revenue Bonds Series 1991 (Wyatt Foundry,
Inc. - Great Plains Mfg., Inc. project dated June 1, 1991), the
City entered into a certain Lease by and between the City of
Salina, Kansas, as Issuer, and Wyatt Foundry, Inc., as Tenant,
dated June 1, 1991 (the "Lease"), and
WHEREAS, Section 17.6 of the Lease gives the Tenant the
option to purchase unimproved portions of land subject to the Lease
upon meeting specified conditions, and
WHEREAS, Wyatt Foundry, Inc., as Tenant has given the
City and the City's Bond Trustee notice of its intention to
exercise its option pursuant to Section 17.6 of the Lease, and has
satisfied the specified conditions;
80 NOW, THEREFORE
BE IT RESOLVED by the Governing Body of the City of
Salina, Kansas:
Section 1. That the Mayor is authorized to execute a
Special Warranty Deed to Wyatt Foundry, Inc. for real estate for
which it has exercised its option to purchase, pursuant to Section
17.6 of the Lease.
Section 2. That the City Attorney is authorized to
deliver the Special Warranty Deed to Wyatt Foundry, Inc. upon
confirmation of receipt by the City's Bond Trustee of payment of
the specified purchase price.
Section 3. That this Resolution shall be in full force
and effect from and after its adoption.
Adopted by the Board of commissioners and signed by the
Mayor this 27th day of June, 1994.
