AN ORDINANCE ESTABLISHING THE BICENTENNIAL CENTER AUTHORITY; PROVIDING
FOR THE APPOINTMENT OF ITS MEMBERS; DEFINING THEIR DUTIES AND RESPONSIBILITIES;
AND ENACTING ARTICLE VIII OF CHAPTER 2 OF THE SALINA CODE.
BE IT ORDAINED by the Governing Body of the City of Salina, Kansas:
Section 1. That Article VIII of Chapter 2 of the Salina Code is
hereby enacted to read as follows:
"Chapter 2
ARTICLE VIII
BICENTENNIAL CENTER AUTHORITY
"Section 2-206. Creation of Authority.
There is hereby created for the City of Salina, Kansas, an
authority to be known as "Bicentennial Center Authority", hereinafter
referred to as the "Authority", which shall be composed of seven (7)
members. Five (5) members shall be appointed by the Board of City
Commissioners as hereinafter provided and the Manager of the City of
Salina and the Executive Director of the Salina Area Chamber of
Commerce shall be ex officio members.
"Section 2-207. Purpose.
The purpose of the Authority shall be to operate, maintain,
develop and promote the Bicentennial Building constructed by the City
of Salina in Kenwood Park with the proceeds of the $6.5 million dollars
general obligation bonds authorized by the citizens of Salina, Kansas.
"Section 2-208. Appointment and terms of members.
The Board of City Commissioners shall appoint the five (5)
members of the Authority. The original members of the Authority shall
be appointed so that two (2) members shall be appointed for three (3)
year terms, two (2) members for two (2) year terms and one (1) member
for a one (1) year term. The term of office of each member shall
commence on the date of his appointment and each of said members shall
serve until the expiration of their term and until their successor is
appointed. The governing body of the City shall appoint such successors
to the original and succeeding members as the respective terms of each
expires, each of whom shall serve for a term of three (3) years and
until his successor is appointed; provided however, that no person
shall be appointed for more than two (2) consecutive full terms.
"Section 2-209. Filling of vacancies.
In case of any vacancy in membership of the Authority due to
death, resignation or otherwise, a successor shall be appointed to
fulfill the unexpired portion of the term of the member he replaces.
"Section 2-210. Organization of authority.
As soon as possible after the appointment of the initial members
the Authority shall organize and elect from its membership a Chairman,
Vice-chairman, Treasurer and Secretary. Secretary need not be a
member of the Authority.
"Section 2-211. Perpetual Succession, powers of authority.
The Authority shall have perpetual succession, subject to the
power of the City to dissolve the same in the time and manner provided
for in Section 2-216 of this Article and shall have the following
powers:

(a) To be responsible for the operation, maintenance and
management of the Salina Bicentennial Center.
(b) To sue and be sued, to prosecute and to defend any action in
any court of competent jurisdiction.
(c) To receive, purchase, lease, acquire by contract, or
otherwise acquire, to own, hold, maintain, operate, improve
and develop, and to sell, convey, lease, exchange, transfer,
assign or otherwise dispose of property.
(d) To enter into contracts to carry out the purposes of the
Authority and to execute contracts and other instruments
necessary or convenient to the exercise of any of the powers
of the Authority.
(e) To adopt, amend and repeal bylaws, rules and regulations not
inconsistent with this Article governing the manner in which
the powers and purposes of the Authority shall be carried
out and effected.
(f) To select, appoint, employ, discharge or remove such officers
agents, counsel and employees as may be required to carry
out and effect the purposes and powers of the Authority and
to determine their qualification, duties and compensation.
(g) To contract with the United States or any of its agencies,
the State of Kansas, any political subdivision thereof and
any municipality with respect to the operation and maintainin
of the Salina Bicentennial Center.
(h) To enter into agreements with the City or others for the
furnishing of any utilities, facilities and services owned,
maintained, furnished or conducted by the City or such terms
and conditions and for such consideration as may be agreed
upon between the City or others and the Authority.
(i) To determine and fix the rates, rentals and fees to be
charged in connection with the use and operation of the
Center.
(j) To regulate advertising within the Center for and on behalf
of the Center and the events held therein.
(k) To apply for and accept grants or subsidies from any other
governmental unit of government.
(1) To contract for all services necessary or required to operate
the Center, but not in excess of the funds appropriated or
set forth in the budget.
(m) To procure such insurance as may be necessary for the
protection of the Center.
"Section 2-212. Annual budget.
The Authority shall prepare and submit to the Board of City
Commissioners, through the City Manager, on or before the 15th day of
June, 1978, and on or before the 15th day of June of each year therafte
a proposed itemized budget for the Center for the succeeding fiscal
year in the form prescribed for other City departments.
"Section 2-213. Annual report.
The Authority shall on or before February 15, 1979, and every
February 15th thereafter make a report to the Board of City Commissione s
of the operation of the Center for the prior fiscal year.

"Section 2-214. Finances.
All funds received by the City Clerk from the Saline County
Treasurer, or other sources, as provided for in the budget shall be
paid over to the Treasurer of the Authority when received in an amount
not exceeding that budgeted by the said Commission for such purposes.
The Authority shall have the exclusive control of the expenditure of
all money paid to the credit of its Treasurer for the operation of the
Center and the Treasurer shall receive and pay the money under the
control of said Authority as ordered by it.
"Section 2-215. Contractual obli ations of City.
The Authority shall have no authority to enter into any contract
or incur any obligations binding upon the City of Salina, except with
the limits conferred upon the Authority under this Article and
within the limits of funds budgeted for the uses and purposes of the
Authority by the Board of City Commissioners.
"Section 2-216. Dissolution_
The Authority may be dissolved at any time by the City by adoption
of an appropriate ordinance effecting a dissolution thereof.
"Sections 2-217 to 2-225. Reserved."
Section 2. This ordinance shall be in full force and effect from and
after its adoption and publication in the official city newspaper.
