victor tripp park concessionSTATEMENT S.ALINA, KANSAS, •� "'"/" - ;' , 1965L V r I In Account With CITY OF SALINA Make all Checks Payable to City of Saline and Mail to City Clork's Office, City Hall. , AGREEMENT THIS AGREEMENT made and entered into this r day of 1965 by and between the City of Salina, Kansas, hereinafter referred to as party of the first part; and V.A_(,al p` 4J2 hereinafter referred to as narty of the second part: WITNESSETH: Whereas it is the desire of the party of the first part, to provide a concession stand for the sale of beverages, popcorn, snowcones, and related items for the consumption by the public -prevailing upon the park facilities of the City of Salina, and the party of the second part is desirous of so operating a concession stand within the limits of said City, so NOW, THEREFORE, for and in consideration of the mutual covenants and agreements by and between the parties.as hereinafter set forth, the parties hereto agree as follows: 1. Party of the first part hereby grants unto the party of the second part the authority and right to operate and maintain a concession stand which is already in existence and..located within the City Park known as Oakdale and more specifically described as the building between the museum and the old swimming pool, said location being approved by the park superintendent and the city manager. 2. In consideration for the right and privilege to locate and operate said concession stand at the approved location for the term specified, party N of the second part agrees to pay the party of the first part the sum of Two Hundred Seventy Dollars ($270.00) per year to be paid by the party of the -second part, as follows, the first payment of Sixty-seven Dollars and fifty cents ($67.50),to be payable on or before April 1, 1965, and One Hundred One Dollars and twenty-five cents payable July 1„ 1965, and One Hundred One Dollars and twenty-five cents ($101.25) payable October 1, 1965. The term of this lease .shall be from April 1, 1965, to December 31, 1965. 3. The party of, the first part agrees that party of the second part may operate said concession stand at any time during the year which party of the second part feels will be advantageous to serving the public. Party of the second part agrees that said facilities'.will be maintained at all times in a manner not to detract from the beauty:of;the surroundings and that said loca- tion will be kept clean and free of all debris and rubbish. 4. Party of the second part shall pay for all utilities neces- sitated for the operation of said concession stand. 5. It is understood and leasee agrees to secure a public liability insurance policy with the City and the lessee as the insured whereby indemnifying insurance will exist limited to $25,000.00 $50,000.00 for any one person and $5,000.00 for any one accident and to file a copy in the office of the City Clerk of said City as a condition precedent to the operation of said concession stand and covering such operations and that the lessee will timely pay the premium thereon. 6. The party of the second part, also known as lessee shall be permitted to place a sign upon the said building, said sign meeting with the approval of the park superintendent and the city manager. 7. The party of the second part shall have the right to remove from the demised premises all machinery, apparatus and equipment installed therein whether or not such machinery, apparatus and equipment be attached to the said real estate, excepting that such right of removal shall not apply to any machinery, apparatus or equipment paid for in whole or in part by the party of the first part, and.provided that all such machinery, apparatus, and equipment shall be removed at the date of the termination of this lease, or any extension or renewal thereof, and provided further that the lessee shall restore and repair any damage to the demised premises caused by the removal of such machinery, apparatus and equipment. 8. The party of the second part shall not sublet the premises or any part thereof or assign this lease without the written consent of the party of the first part. 9. The party of the second part agrees that it will keep said premises in good repair as at the commencement of the term of this lease, will keep the premises free from debris and will observe all ordinances of the City of Salina which in any way may affect said premises, and upon the termination of this lease in any manner will yield up said premises to the party of the first part in a good a condition as at the commencement of the term of this lease, excepting only ordinary wear and tear and injury due to loss or fire not caused by negligence of the party of the second part, and excepting specifically provided' otherwise herein. 10. This lease may be terminated by either party on thirty days written notice. IN WITNESS WHEREOF the parties have caused this agreement to be executed on the day and year first above mentioned. Under any Liability Coverage, to injury, sickness, disease, death or de- struction (a) with respect to which an insured under the policy is also an in- sured under a nuclear energy liability policy issued by Nuclear Energy Liability Insurance Association, Mutual Atomic Energy Liability Underwriters or Nuclear Insurance Association of Canada, or would be an insured under any such policy but for its termination upon exhaustion of its limit of liability; or (b) resulting from the hazardous properties of nuclear material and with respect to which (l) any person or organization is required to main- tain financial protection pursuant to the Atomic Energy Act of 1954, or any law amendatory thereof, or (2) the insured is, or had this policy not been issued would be, entitled to indemnity from the United States of America. or any agency thereof, under any agreement entered into by the United States of America, or any agency thereof, with any person or organization. II. Under any Medical Payments Coverage, or under any Supplementary Pay- ments provision relating to immediate medical or surgical relief, to ex- penses incurred with respect to bodily injury, sickness, disease or death resulting from the hazardous properties of nuclear material and arising out of the operation of a nuclear facility by any person or organization. III. Under any Liability Coverage, to injury, sickness, disease, death or de- struction resulting from the hazardous properties of nuclear material, if (a) the nuclear material (1) is at any nuclear facility owned by, operated by or on behalf of, an insured or (2) has been discharged or dispersed therefrom; G'o�iiioad 1. Premium. The premium bases and rates for the hazards described in the declara- tions are stated therein. Premium bases and rates for hazards not so described are those applicable in accordance with the manuals in use by the company. The premium stated in the declarations for divisions 3 and 4 of the,Definitioh of Hazards, and for such 'classifications in division 1 for which the premium basis is stated as "admissions", "receipts" or "units" are estimated premiums only. Upon termination of this policy, the earned premium for these hazards shall be computed in accordance with the company's rules, rates, rating plans, premiums and minimum pre. miums applicable to this insurance. If the earned premium thus computed exceeds the estimated advance premium paid, the named insured shall pay the excess to the com- pany; if less, the company shall return to the named insured the unearned portion paid by such insured. The named insured shall maintain for the aforesaid hazards records of the information necessary for premium computation on the basis stated in the dec. larations and shall send copies of such records to the company at the end of the policy period and at such times during the policy period as the company may direct. When used as a premium basis: (1) the word "admissions" means the total number Of persons, other than employees of the named insured, admitted to the event insured or to events conducted on the premises whether on paid admission tickets, compli. mentary tickets or passes; (2) the word "cost" means the total cost to the named insured under division 3 of the Definition of Hazards, or to any indemnitee under cover. age D, of all work let or sub -let in connection with each specific project, including the cost of all labor, materials and equipment furnished, used or delivered for use in the execution of such work, whether furnished by the owner, contractor or subcontractor, including all fees, allowances, bonuses or commissions made, paid or due; (3) the word "receipts" means the gross amount of money charged by the named insured for such operations by the named insured or by others during the policy period as are rated on a receipts basis other than receipts from telecasting, broadcasting or motion pictures, and includes taxes, other than taxes which the named insured collects as a separate (3) (b) the nuclear material is contained in spent fuel or waste at any time possessed, handled, used, processed, stored, transported or disposed of by or on behalf of an insured; or (c) the injury, sickness, disease, death or destruction arises out of the furnishing by an insured of services, materials, parts or equipment in connection with the planning, construction, maintenance, opera- tion or use of any nuclear facility, but if such facility is located within the United States of America, its territories or possessions or Canada, this exclusion (c) applies only to injury to or destruction of property at such nuclear facility. IV. As used in this exclusion: "hazardous properties" include radioactive, toxic or explosive properties; "nuclear material" means source material, special nuclear material or byproduct material; "source material", "special nuclear material", and "byproduct material" have the meanings given them in the Atomic Energy Act of 1954 or in any law amendatory thereof; "spent fuel" means any fuel element or fuel component, solid or liquid, which has been used or exposed to radiation in a nuclear reactor; "waste" means any waste material Ill containing byproduct material and (2) resulting from the operation by any person or organization of any nuclear facility included within the definition of nuclear facility under paragraph (a) or (b) thereof; (a) any nuclear reactor, (b) any equipment or device designed or used for (1) separating the iso- topes of uranium or plutonium, (2) processing or utilizing spent fuel, or (3) handling, processing or packaging waste, (c) any equipment or device used for the processing, fabricating or al- loying of special nuclear material if at any time the total amount of such material is in the custody of the insured at the premises where such equipment or device is located consists of or contains more than 25 grams of plutonium or uranium 233 or any combination there- of, or more than 250 grams of uranium 235, (d) any structure, basin, excavation, premises or place prepared or used for the storage or disposal of waste, and includes the site on which any of the foregoing is located, all opera- tions conducted on such site and all premises used for such operations: "nuclear reactor" means any apparatus designed or used to sustain nu- clear fission in a self-supporting chain reaction or to contain a critical mass of fissionable material. With respect to injury to or destruction of property, the word "injury" or "destruction" includes all forms of radioactive contamination of property. item and remits directly to a governmental division; (4) the word "remuneration" means the entire remuneration earned during the policy period by all employees of the named insured engaged in the operations, subject to any overtime earnings or limitation of remuneration rule applicable in accordance with the manuals in use by the company; (5) the word "sales" means the gross amount of money charged by the named insured or by others trading under his name for all goods and products sold or distributed during the policy period and charged during the policy period for installation, servicing or repair, and includes taxes, other than taxes which the named insured and such others collect as a separate item and remit directly to a governmental division. 2. Inspection and Audit. The company shall be permitted to inspect the insured premises, operations and elevators and to examine and audit the insured's books and records at any time during the policy period and any extension thereof and within three years after the final termination of this policy, as far as they relate to the pre- mium bases or the subject matter of this insurance. 3. Definitions. (a) Premises. The unqualified word "premises" means the premises designated in the declarations and includes the ways immediately adjoining on land. (b) Elevator. The word "elevator" means any hoisting or lowering device to connect floors or landings at the premises, unless the named insured owns, rents or controls only a part of the building and does not operate, maintain or control the elevator, whether or not such device is in service, and all appliances thereof, including any car, platform, shaft, hoistway, stairway, runway, power equipment and machinery. AGREEMENT THIS -,AGREEMENT made and entered into this day of 1965 by and between the City of /Salina, Kansas), hereinafter referred to as j party of the first part; and /�Ct'y_ (,� �p4,,{/%p hereinafter referred to as party of the second parts WITNESSETH: Whereas it is the desire of the party of the first part: to provides concession stand for the sale'of beverages,popcorn, snowcones, and, related items for the consumption by the public.prevailing upon the park facilities of the City of Salina, and the party of the second part is desirous of so operating a concession stand within the limits of said City, so NOW, THEREFORE, for and in consideration of the mutual covenants and agreements by and between the parties.ae hereinafter set forth, the parties hereto agree as follows: 1. Party of the first part hereby grants unto the party of the. second 'part the authority and right to operate and maintain a concession stand which is already in existence and.located within the City Park known as Oakdale and more specifically described as the building between the museum and the old swimming pool, said location being approved by the park superintendent and the city manager. 2. In consideration for the right and privilege to locate and operate said concession stand at the approved location for the term specified, party of the second part agrees to pay the party of the first part the sum of Two Hundred Seventy Dollars ($270.00) per year to be paid by the party"of the, second part, as follows, the first payment of Sixty-seven Dollars and fifty cents ($67.50),to be payable on or before April 1, 1965, and One Hundred One Dollars and twenty-five cents payable July 1„ 1965, and One Hundred One Dollars and twenty-five cents ($101.25) payable October 1, 1965. The term of this lease shall be from April 1, 1965, to December 31, 1965. 3. The party of the first part agrees that party of the second part may operate said concession stand at any time during the year which party of the second part feels will be advantageous to serving the public. Party of the. second part agrees that said facilities:.wi.11 be maintained at all times in a manner not to detract from the beauty.of',the-surroundings and that said loca- tion will be kept clean and free of ail debris and rubbish. / • Y 4. Party of the second part shall pay for all utilities neces- sitated for the operation of said concession stand. 5. It is understood and lessee agrees to secure a public liability insurance policy with the City and the lessee as the insured whereby indemnifying insurance will exist limited to $25,000.00- $50,000.00 for any one person and $5,000.00 for any one accident and to file a copy in the office of the City Clerk of said City as a condition precedent to the operation of said concession stand and covering such operations and that the lessee will timely pay the premium thereon. 6. The party of the second part, also known as lessee shall be permitted to place a sign upon the said building, said sign meeting with the approval of the park superintendent and the city manager. 7. The party of the second part shall have the right to remove from the demised premises all machinery, apparatus and equipment installed therein whether or not such machinery, apparatus and equipment be attached to the said real estate, excepting that such right of removal shall not apply to any machinery, apparatus or equipment paid for in whole or in part by the party of the first part, and.provided that all such machinery, apparatus, and equipment shall be removed at the date of the termination of this lease, or any extension or renewal thereof, and provided further that the lessee shall restore and repair any damage to the demised premises caused by the removal of such machinery, apparatus and equipment. S. The party of the second part shall not sublet the premises or any part thereof or assign this lease without the written consent of the party of the first part. 9. The party of the second part agrees that it will keep said premises in good repair as at the commencement of the term of this lease, will keep the premises free from debris and will observe all ordinances of the City of Salina which in any way may affect said premises, and upon the termination of this ' lease in any manner will yield up said premises to the party of the first part in a good a condition as at the commencement of the term of this lease, excepting only ordinary wear and tear.and injury .due to loss or fire not caused by negligence of the party of the second part, and excepting specifically provided" otherwise herein. 10..
