02-5853 Auth Bond SaleRESOLUTION NO. 02-5853 RESOLUTION AUTHORIZING THE OFFERING FOR SALE OF WATER AND SEWAGE SYSTEM REVENUE REFUNDING BONDS OF THE CITY OF SALINA, KANSAS. WHEREAS, the City of Salina, Kansas (the "City") heretofore issued and has outstanding C mbined Water and Sewage System Revenue Refunding Bonds, Series 1994, dated January 1, 1994 (the "Series 1994 Bonds") and is authorized by K.S.A. 10-116a to issue refunding revenue bonds of the City for the ptupose of refunding all or a portion of the Series 1994 Bonds; and WHEREAS, the governing body of the City has determined that it is desirable and in the best cial interest of the City to refund the portion of the 1994 Bonds maturing on September 1, 2003, through S tember 1, 2012, inclusive, in the principal amount of $9,945,000 (the "Refunded Bonds") with the proceed; of the Bonds (hereinafter defined); and WHEREAS, the City desires to authorize the Mayor, City Clerk and other officials of the City to cause notice of the call for redemption and payment of the Refunded Bonds to be given in the manner providt d in the ordinance authorizing the issuance of the Refunded Bonds and by Kansas law; and WHEREAS, the City has selected the firm of George K. Baum & Company, Kansas City, issouri (the "Purchaser"), as underwriter for approximately $6,875,000 principal amount of bonds of the Ciy to be designated "Water and Sewage System Revenue Refunding Bonds, Series 2002-A" (the "Bonds") to b issued for the purpose of refunding the Refunded Bonds, funding a debt service reserve and paying the costs o issuing the Bonds; and WHEREAS, the City desires to authorize the Purchaser to proceed with the offering for sal of the Bonds; and WHEREAS, one of the duties and responsibilities of the Purchaser is to prepare and dist�bute a Preliminary Official Statement and a final Official Statement relating to the Bonds; and WHEREAS, the City desires to authorize the Purchaser to proceed with the prepara on and distribution of the Preliminary Official Statement and the final Official Statement relating to the Bonds; NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF SALINA, KANSAS, AS FOLLOWS: Section 1. The Purchaser is hereby authorized to proceed with the offering for sale of approi imately $6,875,000 principal amount of Water and Sewage System Revenue Refunding Bonds, Series 20(2-A, as described in the Preliminary Official Statement attached hereto as Exhibit A. Section 2. The Governing Body hereby authorizes and approves the Preliminary Official Stat ment in substantially the form attached hereto as Exhibit A, and authorizes the preparation of a final Official S1 atement by amending, supplementing and completing the Preliminary Official Statement, and authorizes the a ecution of the final Official Statement by the Finance Director with such changes and additions thereto as such official shall deem necessary or appropriate, such official's signature thereon being conclusive evidence of such official's and the City's approval thereof. The Governing Body hereby consents to the use anpublic distribution by the Purchaser of the Preliminary Official Statement and the final Official State ent in connection with the offering for sale of the Bonds. Section 3. For the purpose of enabling the Purchaser to comply with the requirements of Rule 15c2 -12(b)(1) of the Securities and Exchange Commission, the appropriate officers of the City arc: hereby authorized, if requested, to provide the Purchaser a letter or certification to the effect that the City dcems the information contained in the Preliminary Official Statement to be "final" as of its date, except for the ornission of such information as is permitted by Rule 15c2 -12(b)(1), and to take such other actions or execute such other documents as such officers in their reasonable judgment deem necessary to enable the Purchaser to comply with the requirements of such Rule. Section 4. The City agrees to provide to the Purchaser within seven business days of the da a of the purchase contract for the Bonds or within sufficient time to accompany any confirmation that requests payment from any customer of the Purchaser, whichever is earlier, sufficient copies of the final Official Stat ent to enable the Purchaser to comply with the requirements of Rule 15c2 -12(b)(4) of the Securities and Exchange Commission and with the requirements of Rule G-32 of the Municipal Securities Rulemaking Board. Section 5. The Mayor, City Manager, Finance Director, City Clerk and other offic s and representatives of the City are hereby authorized and directed to take such other action as may be necessary to carry out the offering for sale of the Bonds. Section 6. The Mayor, City Clerk, Finance Director and other officials of the City are hereby authorized to cause notice of the call for redemption and payment of the Refunded Bonds to be given in the manner provided in the ordinance authorizing the issuance of the Refunding Bonds and by Kansas law. Section 7. This Resolution shall be in full force and effect from and after its passage by the Body. PASSED by the Governing Body this 22nd day of July, 2002.
