Box 736 Salina, Kansas 67402-0736 Re: Agreement for Professional Engineering Services CDBG Preliminary Engineering Report City of Salina, Kansas WCEA File: X0002/1410 Dear Roy: Albuquerque Colorado Springs Colton Denver Durango Houston Kansas City Lenexa Oklahoma City Phoenix Salina Wichita This letter is written to serve as a working Agreement for Professional Engineering Services Wilson & Company, Engineers & Architects (ENGINEER) will provide to the City of Salina, Kansas (CITY). The services include completion of a Preliminary Engineering Report addressing street, water, sewer, and stormwater improvements needed in conjunction with the Housing/Neighborhood Development Project located in the area surrounding Woodland Ave., Prospect Ave., and Van Horne St. east of Ohio Street in northeast Salina. SECTION I - BASIC SERVICES OF ENGINEER Upon official action and written authorization by the CITY to proceed, the ENGINEER shall complete the following Basic Services: 1.1. Collect any needed field surveys/data necessary for completion of the report. 1.2. Evaluate the need for improvements to the street, water, sewer, and stormwater systems serving the study area. Prepare a preliminary engineering report addressing the improvement needs in a format acceptable for CDBG applications. 1.3. Prepare estimates of probable cost for identified improvements. SECTION 2 - CITY RESPONSIBILITIES The CITY shall assist the ENGINEER in completion of the work by providing the following information and services: 2.1. Designate a person to act as the CITY's representative with respect to the services to be rendered under this Agreement. Such person shall have authority to transmit instructions, ® Engineers & Architects F PARTNERSHIP OF CORPORATIONS WILSON &COMPANY City of Salina 25 May, 2000 Page 2 receive information, interpret and define the CITY's policies and decisions with respect to the ENGINEER's services. 2.2. Provide available existing drawings, maps, or construction plans for ENGINEER's use in completing the plans and construction documents. 2.3. Provide any and all other available information relative to the completion of the ENGINEER's services. SECTION 3 - PERIODS OF SERVICE 3.1. The preliminary engineering report shall be completed by 30 June 2000. SECTION 4 - PAYMENT TO ENGINEER 4.1. For the Basic Services described above, the CITY agrees to pay the ENGINEER on an actual cost plus a fixed fee basis. The fixed fee shall be based on 15 percent of the direct labor and overhead costs. The estimated total payment shown below shall not be exceeded without authorization by the CITY. Payments shall compensate ENGINEER for all direct labor costs, expenses, overhead, fixed fee, and all other direct costs in providing the services. Total payment for the services described is estimated not to exceed $3,160.00. SECTION 5 - OPINIONS OF PROBABLE COST 5.1 Since ENGINEER has no control over the cost of labor, materials, equipment or services furnished by others, or over the Contractor's methods of determining prices, or over competitive bidding or market conditions, ENGINEER's opinions of probable project costs provided for herein are to be made on the basis of ENGINEER's best judgment as an experienced and qualified professional engineer, familiar with the construction industry. However, the ENGINEER cannot and does not guarantee that proposals, bids, or actual project costs will not vary from the opinions of probable project costs prepared by ENGINEER. ® E=ngineers & Architects A PARTNERSHIP OF CORPORATIONS WILSON &COMPANY City of Salina 25 May, 2000 Page 3 SECTION 6 - SIGNATURES 6.1 If these arrangements are satisfactory to the CITY of Salina, please indicate with the appropriate signatures in the spaces provided at the end of this Agreement.
