THIS SUPPLEMENTAL AGREEMENT NO. 1 MADE AS OF�� . q , 1996, by and between
the City of Salina, Kansas, (OWNER) and Wilson & Company, Engineers & Architects, with an office at
1700 East Iron Avenue, Salina, Kansas, (ENGINEER).
WHEREAS: The AGREEMENT FOR CONSULTING SERVICES between the OWNER and the
ENGINEER dated 21 October 1991 set forth the required performance of professional engineering services
and payment for improvements (PROJECT) to existing Wastewater Treatment Plant 1.
The PROJECT included: Bidding phase services, construction related services, a sludge management review,
a final plan of operation, performance testing, substantial completion review, final completion review, record
drawings, an operation and maintenance manual, operator training, project performance reviews, resident
project observation, grant paperwork assistance, and review of alternate materials submittals, and all other
work appurtenant to the above, as required to administer the construction of an operational facility. The
PROJECT is partially funded by a Federal Grant under the EPA Construction Grants Program, and;
WHEREAS: The original scope of the facility design contract dated 22 January 1990 was supplemented to
include the design of an effluent disinfection facility and other scope changes, and;
WHEREAS: The construction of the effluent disinfection facility and other scope changes were added by
document additions or by Change Order subsequent to the 21 October 1991 AGREEMENT FOR
CONSULTING SERVICES thereby adding to the PROJECT, and;
WHEREAS: The OWNER desires to revise the original scope of professional engineering services to include
items added to the PROJECT, and;
WHEREAS: The OWNER is authorized by law to employ Consulting Engineers to render professional
engineering services and to make payment for their services;
WITNESSETH: The OWNER and ENGINEER mutually agree that this SUPPLEMENTAL AGREEMENT
NO. 1 shall be subject to the provisions of the AGREEMENT FOR CONSULTING SERVICES between
the City of Salina, Kansas, and Wilson & Company, Engineers & Architects, dated 21 October 1991, and is
hereby modified in accordance with the attached SUPPLEMENT NO. 1.
IN WITNESS WHEREOF: The parties hereto have executed this SUPPLEMENTAL AGREEMENT NO.
1 as of the day and year first above written.

SUPPLEMENT NO. 1
To the AGREEMENT FOR CONSULTING SERVICES dated 21 October 1991:
On Pages 14 and 15 of 22, delete Paragraph 5.1.1.1 in its entirety and replace with the following:
5.1.1.1. Fee and Method of Payment. For the services described herein, the OWNER agrees to
pay the ENGINEER on a cost plus fixed fee basis. The TOTAL PAYMENT shown below shall not be
exceeded without authorization by the CITY. Payments for the ENGINEER's costs shall be based upon the
actual costs incurred in providing the services described in the Agreement. The fixed fee shall be exactly the
amount stated below unless revisions are made by supplemental agreement to the Scope of Services provided,
in which case, the amount of the fixed fee and the cost payable to the ENGINEER shall be revised
accordingly. Payments shall compensate the ENGINEER for all labor costs, reimbursable expenses, overhead
rate, fixed fee and all other direct costs in providing the services. In the event a gross receipts, sales, or
services tax is imposed for these services, the taxes will be added in addition to the total fees listed herein,
and payments shall be made by the OWNER. TOTAL PAYMENT, not including gross receipts, sales or
services tax to the ENGINEER for the services described to be as follows:
