AGREEMENT
for
PROFESSIONAL ENGINEERING SERVICES
between
CITY OF SALINA, KANSAS
and
WILSON & COMPANY, ENGINEERS & ARCHITECTS

THIS IS AN AGREEMENT, made as of Z Z 2000, between the CITY OF SALINA,
KANSAS, hereinafter referred to as the CITY; and WILSON & COMPANY, ENGINEERS &
ARCHITECTS, with offices at 1700 East Iron Avenue, Salina, Kansas, hereinafter called the
ENGINEER.
In consideration of the services to be rendered and the payments hereinafter agreed to be made, it is
mutually agreed as follows:
SECTION 1 — BASIC SERVICES OF ENGINEER
1.1. Project Description
The ENGINEER shall provide the services described to perform hydraulic analysis of the water
distribution system along the Ohio Street corridor between Magnolia and Schilling. The purpose of the
analysis is to determine what improvements are necessary to provide adequate water service and fire
protection flow rates for potential industrial and residential developments along this corridor.
1.2. Scope of Services
1.2.1. Develop a computer model of the existing water distribution system near and around the
Ohio/Schilling Street intersection. The piping network will be developed from existing quarter section
water system maps provided by the CITY. These maps will be verified and updated as necessary, with
the CITY's assistance.
1.2.2 Validate the system model by performing hydraulic analysis, reviewing CITY -provided fire
hydrant test data, and performing additional flow tests and field checks as necessary.
1.2.3 Meet with the CITY to discuss the existing distribution system validation and the existing
available fire flows at each site.
1.2.4. Analyze the system with various piping changes and/or additions to determine the most feasible
system improvements necessary to provide adequate fire flows for the potential development areas.
1.2.5. Meet with the CITY to discuss the analysis findings and potential system improvements. Prepare
a brief report summarizing the findings and recommended improvements.
SECTION 2 — CITY'S RESPONSIBILITIES
To assist in the completion of the work described in Section 1, the CITY shall:
2.1 Provide available water distribution system maps, system pressure recordings, and available fire
hydrant flow data for the defined service area.
2.2 Assist the ENGINEER in verifying and updating the water system maps to more accurately define
the current and proposed water distribution system in the defined service area.
2.3 Provide other water system data (e.g., type, age, and condition of the pipelines in the defined service
areas) needed for the computer model.
SECTION 3 — PAYMENTS TO ENGINEER, COST PLUS A FIXED FEE METHOD OF PAYMENT
3.1 Fee and Method of Payment.
For the services described in Section 1 of this Agreement, the CITY agrees to pay the ENGINEER on a
cost plus fixed fee basis. The ESTIMATED TOTAL PAYMENT shown below shall not be exceeded
without authorization by the CITY. Payments for the ENGINEER's costs shall be based on actual costs
incurred in providing the services described. However, the fixed fee shall be exactly the amount stated
below unless revisions are made by supplemental agreement to the Scope of Services, in which case the
amount of the fixed fee and the estimated cost payable to the ENGINEER shall be revised accordingly.
Payments shall compensate the ENGINEER for all direct labor costs, reimbursable expenses, overhead
rate (currently at 1.05), fixed fee and all other direct costs in providing the services. In the event a gross
receipts, sales or services tax is imposed for these services, the taxes will be added in addition to the
total fees listed herein and payment shall be made by the CITY. TOTAL PAYMENT, not including
gross receipts, sales or services tax, to the ENGINEER for the services described is estimated to be as
follows:

3.2 Times of Payments.
ENGINEER shall submit statements at four week intervals for Basic Services rendered. The charge on
account of the fixed fee will be based upon ENGINEER's estimate of the proportion of the total services
actually completed at the time of billing. CITY shall make prompt monthly payments in response to
ENGINEER's monthly statements.
SECTION 4 — PERIOD OF SERVICE
The ENGINEER shall begin work upon authorization to proceed from the CITY. Based on timely
provision of CITY furnished information, the shall be completed within 45 days following the
authorization to proceed.

SECTION 5 — OTHER CONSIDERATIONS
5.1. The right is reserved by the CITY to terminate this Agreement at any time, upon written notice, in
the event that a given project is abandoned or indefinitely postponed, or the ENGINEER fails to
prosecute the work with due diligence; provided, however, that in any case the ENGINEER shall be paid
the reasonable value of the services rendered up to the time of termination as mutually agreed upon.
5.2. It is agreed that this Agreement, and all contracts entered into under the provisions of the
Agreement, shall be binding upon the parties hereto and their successors and assigns.
IN WITNESS WHEREOF, the parties hereto have made and executed this Agreement as of the day and
year stated on the first page.
