Landfill Roll-off Boxes

CONTRACT FOR EQUIPMENT AND WASTE DISPOSAL
This Contract, made and entered into this 27th day of February, 1995, by and
between the CITY OF SALINA, KANSAS ("the City"), and Salina Waste System
of Salina, Kansas, ("The Contractor").
A. The City wishes to establish a Waste Collection area ("a convenience area")
for small and/or non-commercial vehicles to dump their waste.
B. The waste would be disposed of in a minimum of four (4) thirty (30) cubic
yard roll-off boxes provided by the contractor.
(1.) The City shall, as billed, pay to the contractor the sum of 0.00 per
roll-off box per month.
(2.) The City shall as billed, pay to the contractor the sum of $40.00 per
box per round trip of emptying the roll-off boxes.
C. Upon request by the City, when one roll-off is full, the contractor agrees
to remove the roll-off box and empty the roll-off box during the hours the
landfill is open to the public or as otherwise directed by the City.
(1.) The Contractor agrees to ensure at least one empty available roll-off
box at all times.
(2.) The Contractor agrees to pick up the full roll-off box and empty the
roll-off on the current working face of the landfill.
(3.) The Contractor agrees to return the roll-off box to the convenience
area and properly place the box against the retaining wall.
(4.) The City agrees the contractor will not pay a landfill fee for
emptying the convenience area's roll-off boxes.
(5.) The Contractor shall not interfere at anytime with the operation of
the City's landfill.
D. This contract shall be effective five (5) days after the date it shall be
duly executed by both parties.
E. The Contractor is an independent contractor in its performance of providing
equipment and service. As an independent contractor;
(1.) Shall provide all labor and equipment to set in the roll-off boxes at
the convenience area.
(2.) Shall provide all labor and equipment to empty the full roll-off
boxes.
(3.) Shall be responsible for Worker's Compensation coverage for its
employees and all insurance coverages on any of the equipment it uses
in conducting the waste removal from the convenience area.

F. The City shall provide the Contractor access to the area and maintain the
access road. The City shall ensure the waste is deposited in the roll-off
boxes and clean the convenience area of waste material.
G. The Contractor shall maintain a policy of public liability insurance issued
by an insurance company approved by the City's Director of Risk Management,
with limits of not less than the maximwn liability for claims which could be
asserted against the City under the Kansas Tort Claims Act, as amended. Any
cancellation of the policy or any endorsement thereon shall not be effective
until the expiration of thirty days after such notice of cancellation shall
have been delivered to the City Clerk. The Contractor shall provide the
City with a copy of such policy including any exclusions or endorsements,
and shall promptly provide the City with a copy of any subsequent amendments
or modifications.
H. The Contractor shall indemnify and hold harmless from and for any damages
that may be sustained by any person resulting from its waste removal,
(roll-off box movement) including but not limited to liability for disposal.
I. This contract shall be for a term of one (1) year unless terminated by
either party at any time during its term by giving sixty (60) days written
notice to the other party.
J. This agreement shall be binding upon and shall inure to be benefit of the
parties hereto, their successors and assigns. Executed the day and year
first written above.
