LICENSE AGREEMENT Date Recorded: 10/13/2006 4:00:53 PM
This License Agreement is entered into this /l1:..."'day of September 2006, by and
between the CITY OF SALINA, KANSAS (the "City") and MAGNOLIA HILLS, INC. (the
"Developer").
Recitals
A. Whereas, it is understood that the Developer wishes to incorporate
aesthetic improvements consisting of subdivision entrance "islands" in the public right-
of-way at the intersection of Stonepost Lane and Markley Road and 8rookestone Drive
and Markley Road and to place 4 ft. x 6 ft. monument signs on a stone base within the
islands at both intersections.
8. Developer and its successors and assigns agree to accept responsibility
for the construction and maintenance of the islands and monument signs in perpetuity.
C. The City shall not be responsible for the repair, replacement or
reconstruction of these aesthetic improvements under any circumstances.
D. The City Engineer has concluded that under the circumstances allowing
the Developer to construct and maintain these islands in the center of these two
residential streets will not create a traffic hazard or interfere with the use of the public
right-of-way.
THE PARTIES THEREFORE AGREE:
1. Grant of License. The City hereby grants a license to Developer for the
construction and maintenance of the islands in the proposed locations, as shown on
attached and incorporated Exhibit "8".
2. Term of License. The License shall commence upon execution of this
License Agreement and shall continue until the earlier of:
A. Discontinuation of use of the islands as constructed and maintained
at the locations depicted on Exhibit "8"'; or
8. Notification of Developer by the City that the public interest is best
served by the use of the public right-of-way in a manner in conflict
with the License, and that the License shall terminate no less than
180 days following such notice.
3. Responsibilities Upon Notification of Termination. If notice of termination
of the License is given pursuant to paragraph 2.8, the Developer must remove the
islands and monument signs located within the public right-of-way no later than the
designated license termination date. If Developer fails to remove the islands from the
right-of-way prior to the License termination date, the City may cause the necessary
work to be performed and charge the cost of the work against the Developer and/or
assess the costs as a special assessment against the lots within the subdivision.

4. Indemnification and Hold Harmless. During the term of License,
Developer and its successors and assigns shall hold harmless and indemnify the City,
its agents and employees, against all liability, loss damage, expense, and judgment,
including attorney's fees so incurred, arising from or relating to its use of the public right-
of-way pursuant to the License by Developer. In addition, such indemnity shall extend
to any liability imputed to the City resulting from Developer's failure to comply with all
federal, state, county, and city laws, ordinances, and regulations relating to the islands.
Each party shall give immediate notice to the other of all such claims, actions or
proceedings brought against the party giving such notice. Developer and its successor
and assigns agrees to defend against all claims brought or actions filed against the City
with respect to Developer's use of the public right-of-way pursuant to the License,
whether such claims are rightfully or wrongfully brought or filed. The City agrees that
Developer and its successors and assigns may employee attorneys of their own
selection to appear and defend the claim or action on behalf of the City, at the sole
expense of Developer and its successor and assigns and shall have control of the
defense in any such lawsuit and negotiations relating to its settlement. The City shall
assist as reasonably requested by the Developer and its successors and assigns
regarding such lawsuit. Developer and its successors and assigns agree to reimburse
the City for all expenses, costs, and attorneys' fees incurred by the City of Salina in the
enforcement of any part of this agreement to indemnify the City.
5. Notices. Any notice to either party shall be sufficient if mailed by United
States mail, postage prepaid, at the following addresses:

6. Assiqnment of License. The assignment of any rights under this License
Agreement by Developer and its successor and assigns shall be subject to the prior
written consent of the City.
7. Bindinq Effect. This License Agreement shall be binding upon the parties,
their heirs, beneficiaries, personal representatives, successors and authorized assigns.
