OFF -SITE ACCESS EASEMENT

THIS INDENTURE, made this dB day of February, 2000, by and between the City of
Salina, Kansas, a municipal corporation, (the "Grantor"), and ADV ANT AGE TRUST
COMPANY, Trustee for the John A. Graves Revocable Trust, the Martha Graves Reese Share of
the William H. Graves Realty Trust, the William P. Graves Share of the William H. Graves
Realty Trust, and the Barbara J. Graves Share of the Lowell P. Graves Realty Trust; BANK OF
AMERICA, N.A., (formerly NATIONSBANK, N.A.) Trustee of the Kathy A. Stafford Share of
the Lowell P. Graves Realty Trust, the Gary R. Evans Share of the Dwight L. Graves Realty
Trust, the Nancy A. Galloway Share of the Dwight L. Graves Realty Trust, and the Linda Sue
Smith Share of the Dwight L. Graves Revocable Trust; and DAVID A. RETTELE, Trustee of
the James T. Graves Share of the Dwight L. Graves Revocable Trust, (the "Grantee").
WITNESSETH: The Grantor, for good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, does hereby grant, bargain, sell, and..convey unto
the Grantee an Off-Site Access Easement for all rights of ingress and egress, in pet=petuity, over
and across a certain portion of land owned by the Grantor and legally described as follows:
Commencing at the Northeast comer of Lot One (1), Block Seven (7), Mariposa,
an Addition to the City of Salina, Saline County, Kansas, thence South 00 degrees
00 minutes 24 seconds East along the East line of said Lot One (1) a distance of
One Hundred Seventy feet (170.00') to the point of beginning; thence North 89
degrees 59 minutes 05 seconds East a distance of One Hundred Twenty-five and
Forty-four hundredths feet (125.44') to a point on the West right-of-way line of
Markley Road; thence South 00 degrees 01 minutes 36 seconds East along said
right-of-way line a distance of Sixty feet (60.00'); thence South 89 degrees 59
minutes 05 seconds West a distance of Ninety-two and Fifteen hundredths feet
(92.15'); thence South 66 degrees 46 minutes 3 1 seconds West a distance of
Thirty-six and Twenty-one hundredths feet (36.21 ') to a point on the East line of
said Lot One (1); thence North 00 degrees 00 minutes 24 seconds West along said
East line a distance of Seventy-four and Twenty-seven hundredths feet (74.27') to
the point of beginning.
The above described tract ofland contains 7,763.37 square feet more or less.
