LICENSE AGREEMENT
This License Agreement, made and entered into this
20th day of September ,1988, by and between the CITY OF
SALINA, KANSAS, a municipal corporation, by and through the
Salina Arts and Humanities Commission, herein "City," and
FRIENDS OF THE SMOKY HILL MUSEUM, INC., herein "Friends," a
non-profit corporation with principal offices at Salina,
Saline County, Kansas, WITNESSETH:
WHEREAS, the City is the owner of a bUilding located at
211 West Iron, Salina, Saline County, Kansas, herein "Museum
Building," which is occupied by the Smoky Hill Museum,
herein "Museum," and Salina Arts and Humanities Commission,
herein "Commission;" and,
WHEREAS, the Friends desire to use a portion of the
Museum Building for its Museum Store.
NOW, THEREFORE, it is mutually agreed by and between
the City and Friends as follows:
(1). Use of Premises. City grants the Friends the
right to use, free of charge, room number 101, located in
the northeast corner of the first floor of the Museum
BUilding, and the adjacent 18 foot square section of the
lobby area, totalling 561 square feet, herein referred to as
"Museum Store Premises."
(2). Term of License. This license shall be for a
primary term of one year, commencing on the 20th day of
September ,1988. After the primary term of this license
it shall automatically renew on a year to year basis, subject
to the rights of either party to terminate as hereinafter
provided.
(3). Services Provided by City. City and/or Museum
agrees that it will provide the following services in
regards to the Museum Store premises:
(a) All utilities, except telephone service;
(b) Major building repairs, including electrical
and plumbing;
(c) Trash pickup;
(d) Insurance. Building and content insurance
and liability coverage;
(e) Seasonal custodial cleaning/care.

(4). Friends' Responsibilities.
(a) Daily custodial services for its own space,
which is reasonable for a pUblic area;
(b) Repairs and maintenance of lighting, equip-
ment, and fixturing, as well as general functional
and aesthetic renovations. Plans for renovations
must be cleared through the Museum Director.
(5). Hours of Use. This license shall provide access
to Museum Store Premises only during regular Museum hours,
unless prior arrangements are made with the Museum Director.
Reasonable advance notice must be given for activities
outside regular Museum hours.
(6). Termination. After the primary term of this
license either party may terminate it by giving the other
party ninety (90) days written notice of its intention to
terminate.
IN WITNESS WHEREOF, the respective parties have
hereunto caused this instrument to be executed on its behalf
by its duly authorized officers, all on the day and year
first above written.
