THIS IS AN AGREEMENT, made as of SjQ pA . ) , 1998, between the CITY OF
SALINA, KANSAS, hereinafter referred to as the ITY; and WILSON & COMPANY, ENGINEERS
& ARCHITECTS, with offices at 1700 East Iron Avenue, Salina, Kansas, hereinafter called the
ENGINEER.
In consideration of the services to be rendered and the payments hereinafter agreed to be made, it is
mutually agreed as follows:
SECTION I — BASIC SERVICES OF ENGINEER
I.I. Project Description
The professional engineering services to be provided under this Agreement involve providing technical
data for incorporation into the CITY of Salina Water Division's Risk Management Plan/Program, which
will be prepared by CDM.
The Risk Management Plan/Program is a requirement of the USEPA's Chemical Accident Prevention
Program rule. The rule applies to the chlorine feed system at the Salina Water Treatment Plant. The
chlorine feed system is defined as all equipment, piping, valves, etc., from the one ton chlorine
containers (including the containers) to the final feed points (seven locations where chlorine solution is
fed). The Chlorination Facility is defined as the building containing the chlorinators and chlorine
scrubber system.
1.2. Scope of Services
Upon authorization by the CITY, the ENGINEER shall perform the following services:
1.2.1 Provide technical data that defines the operating limits of the chlorine feed system, which will
include temperatures, pressures, flows and compositions.
1.2.2 Provide a listing of codes and standards that apply to the design and operation of the chlorine
feed system.
1.2.3 Provide updated Process and Instrumentation (P&I) Diagrams for the chlorine feed system. The
P&I Diagrams will be provided on 11" x 17" reproducible drawings.
1.2.4 Provide technical data that describes the pressure relief devices and settings utilized within the
chlorine feed system.
1.2.5 Provide a listing of the electrical equipment, with electrical classification for the electrical
equipment located in the Chlorination Facility.
1.2.6 Provide a description of the ventilation system for the Chlorination Facility.
1.2.7 Provide technical data that defines the materials of construction for the chlorine feed system.
The design limits for the specific components shall be listed and shall include temperatures,
pressures, flows, etc.
1.2.8 Provide a description of the chlorine scrubber system and the conditions in which it operates.
SECTION 2 — CITY'S RESPONSIBILITIES
To assist in the completion of the work described in Section 1, the CITY shall:
2.1 Designate a person to act as the CITY's representative with respect to the services to be rendered
under this Agreement. Such person shall have authority to transmit instructions, receive
information, interpret and define CITY's policies and decisions with respect to ENGINEER's
services for this Project.
2.2 Arrange for access to CITY records and drawings and provide copies of records, drawings, etc.,
as may be necessary.
2.3 Provide available information pertinent to the Project.
2.4 Give prompt written notice to ENGINEER whenever CITY observes or otherwise becomes
aware of any development that affects the scope or timing of ENGINEER's services.
2.5 Arrange for access to and make provisions for ENGINEER to enter upon the Water Treatment
Plant site as required for ENGINEER to perform services under this Agreement.
2.6 Examine all drawings and technical data produced by the ENGINEER for accuracy.
2.7 Provide CITY staff, as requested by ENGINEER, to assist ENGINEER in providing services
defined above.
2.8 Bear all costs incidental to compliance with the requirements of this section.

SECTION 3 — PAYMENTS TO ENGINEER, LUMP SUM FEE
3.1 Fee and Method of Payment.
For the services described in Section 1 of this Agreement, the CITY agrees to pay the ENGINEER a
lump sum fee of $9,800.00. The total lump sum fee shall not be exceeded without authorization by the
CITY. The total lump sum fee stated shall be full compensation for labor, expenses, overhead, and
profit in performing the proposed services.
3.2 Times of Payments.
ENGINEER shall submit statements at four week intervals for Basic Services rendered. CITY shall
make prompt monthly payments in response to ENGINEER's monthly statements.
SECTION 4 — PERIOD OF SERVICE
ENGINEER will provide services promptly upon receipt of CITY's acceptance of this Agreement. The
services will be provided as necessary to meet CDM's schedule.
SECTION 5 — OTHER CONSIDERATIONS
5.1. The right is reserved by the CITY to terminate this Agreement at any time, upon written notice,
in the event that a given project is abandoned or indefinitely postponed, or the ENGINEER fails
to prosecute the work with due diligence; provided, however, that in any case the ENGINEER
shall be paid the reasonable value of the services rendered up to the time of termination as
mutually agreed upon.
5.2. It is agreed that this Agreement, and all contracts entered into under the provisions of the
Agreement, shall be binding upon the parties hereto and their successors and assigns.
IN WITNESS WHEREOF, the parties hereto have made and executed this Agreement as of the day and
year stated on the first page.

EXHIBIT B TO AGREEMENT
BETWEEN
OWNER AND ENGINEER
FOR
RISK MANAGEMENT SERVICES
This is an Addendum attached to and made a part of the Agreement dated June 24 '1998
between Camp Dresser & McKee, Inc. (ENGINEER) and the City of Salina, Kansas
(OWNER). This Addendum describes the Scope of Services, Time Schedule, Charges, and
Payment Conditions for the Assignment known as: Support Services for Development of a
Risk Management Program and Preparation of a Risk Management Plan
1. SCOPE OF SERVICES
This scope of services is in addition to the those already described in Exhibit A (Tasks 1-
4) to the Agreement.
ENGINEER will provide support to OWNER in the efforts to prepare a risk management
plan (RMP) and implement a risk management program for control of releases of
chlorine at the Salina Water Treatment Plant in Salina, Kansas. ENGINEER shall provide
the OWNER the following specific services:
For Tasks 5 and 6, ENGINEER will complete copies of templates for the written
documentation that will be included in a basic risk management program in accordance
with USEPA's standards. Each of these documents can range from one paragraph to
twenty pages, or several 24" by 36" drawings, depending on ENGINEER'S
understanding of the requirements and the complexity of the applicable information.
Topic areas for which ENGINEER will produce documents include the following:
Task 5 - Process Safety Information Compilation
5.1 - To be performed by OWNER
5.2 - To be performed by OWNER
5.3- Provide a section that describes the technology of the gas handling processes, including:
► Simplified Process Diagrams
► Process Chemistry
► Maximum Inventory

5.4- Provide a section that evaluates the opportunity for upper and lower limit exceedances
of temperature, pressure, flows, compositions and analyzes the results of potential
deviations in gas system operating conditions and their affects on the environment.
Operating system conditions will be provided by the OWNER.
5.5- Provide a material and energy balance for the gas handling system.
5.6- Provide a section that evaluates the WTP's existing gas handling equipment on the
following parameters:
Deviations from the codes and standards that apply to the design and
operation of the system. The codes and standards that apply will be
provided by the OWNER.
Analysis of deviations from the applicable design codes and standards,
results of those deviations, and control for those deviations. .
A schedule for removal of unused equipment in the gas handling system.
5.7- Supply two professionals to participate as members of the process hazard assessment
work team for a period of three days.
5.8 - To be performed by OWNER.
Task 6 - Accidental Release Prevention
This task takes all the information assembled and developed in Task 5 and integrates it into a
program to assist in preventing accidental releases.
6.1- Develop standard operating procedures (SOPs) including: initial start-up, normal
operations, system inspection, normal shut down, emergency shut down, temporary
operations, and re -start up. This task shall include revisions of the SOPs after the
process hazards analysis. ENGINEER shall develop the SOPS utilizing information that
the WTP personnel provide.
6.2- Provide a section that discusses safety and health issues including standard precautions
that should be taken by WTP personnel and control of hazards that are found.
6.3- Provide a section that describes maintenance and work practices the OWNER will use to
control regulated substances, including:
A program to control access to the plant site by unauthorized persons and
to further limit the access of those persons to areas where gas handling
occurs.
A program to check the OWNER'S gas handling system for mechanical
integrity.

A program for preventative maintenance, including a schedule, for the
gas handling system.
6-4- Prepare a program to verify the safety records and programs of contractors being
considered for work in or near the gas handling areas.
6.5- Prepare an emergency response plan.
6.6- Prepare a program that describes how the OWNER should publish its risk management
program and handle public meetings that may follow the publication.
6.7- To be performed by OWNER.
Task 7 - Publish Risk Management Program/Plan
ENGINEER will assemble all written documentation, including documentation obtained from
the OWNER and other consultants, into a comprehensive risk management program. The risk
management program will be condensed into a summary risk management plan in appropriate
electronic format suitable for submittal by the OWNER to the USEPA and the appropriate state
agency
Task 8 - Employee Training
Provide training to the OWNER'S personnel on the elements of the risk management program
and the methods necessary to maintain the program after the final revisions are complete.
2. TIME SCHEDULE
The time periods for the performance of ENGINEERS services are shown on the attached
Project Schedule, noted figure 4-1, as originally presented in the "Draft Gap Analysis and
Work Plan to Develop a Risk Management Program for the Saliana Water Treatment Plant
dated August, 1998."

3. COMPENSATION AND INVOICING
Compensation for services of ENGINEER described in this Addendum will be on the
following basis:
ENGINEER will provide the services outlined in this Exhibit B for a not to exceed price of
$ 46,000.00 (Forty-six thousand dollars and no cents) . A detailed cost breakdown is
shown as Attachment 1 to Exhibit B. This work will be invoiced monthly in accordance with
Section 5 of the Agreement.
4. TERMS AND CONDITIONS
The terms and conditions of the Agreement referred to above shall apply to this Addendum
except to the extent expressly modified by this or previous Addendums. In the event of any
such modification, the modification shall be set forth below and the Section of the
Agreement to be modified shall be specifically referenced. Modifications included in this
Addendum are:
Paragraphs 5.1.1 through 5.1.5 and paragraph 5.2 apply to this addendum.
5. TERMS OR PROVISIONS IN CONFLICT
If the provisions set forth in the Agreement are in conflict with the provisions set forth in this
Addendum, the provisions of the Addendum shall govern.
Acceptance of the terms of this addendum is acknowledged by the following authorized
signatures of the parties to the Agreement
