RE: Agreement for Access Improvements
relating to sale of Mid-State Mall from
Equitable to DMH & Associates, LLC
Dear Judy:
You will recall that in conjunction with the City's consent to the sale of the Mid-State Mall, we
required that the new purchaser provide us with written confirmation of its agreement to
undertake Equitable's obligations regarding access improvements and a letter of credit.
Enclosed for safekeeping are the following two items required by the resolution authorizing the
City's consent to the assignment:
1. Agreement dated June 28, 1996, between DMH & Associates and the City.
2. Letter of Credit issued by The Bennington State Bank securing performance of
DMH & Associates' obligations under the assignment.
The Letter of Credit is for a term of 300 days following completion of the Magnolia 1-135
Interchange project. That time period is to allow for the nine months called for under the
agreement, plus some additional time for us to make demand on the letter in the event DMH &
Associates fails to perform.
