A RESOLUTION OF THE CITY OF SALINA, KANSAS DETERMINING THE
ADVISABILITY AND APPROVING THE ISSUANCE BY THE CITY OF WICHITA,
KANSAS OF ITS CSJ HEALTH SYSTEM OF WICHITA, INC. REVENUE BONDS
PURSUANT TO AN INTERLOCAL COOPERATION AGREEMENT BETWEEN THE
CITY OF SALINA, KANSAS AND THE CITY OF WICHITA, KANSAS, THE
PROCEEDS OF WHICH WILL BE USED IN PART TO FINANCE THE
CONSTRUCTION AND EQUIPPING OF CERTAIN ADDITIONS, MODIFICATIONS
AND IMPROVEMENTS TO THE ST. JOHN'S HOSPITAL OF SALINA, KANSAS
LOCATED IN THE CITY OF SALINA, KANSAS.
WHEREAS, the City of Wichita, Kansas (the "issuer") has issued its
letter of intent, whereby it has bound and determined it to be advisable to
issue not to exceed $70,000,000 principal amount of hospital revenue bonds for
the benefit of CSJ Health System of Wichita, Inc. (the "System"); and
WHEREAS, the hospital facilities of St. John's Hospital of Salina,
Kansas, located at 139 North Penn in the City of Salina, Kansas (the
"Hosspital") are owned by the Issuer and leased to the Hospital pursuant to a
certain Lease originally entered into in connection with the issuance of 1985
by the Issuer of its CSJ Health System, Inc. Revenue bonds, Series XXVI,
1985; and
WHEREAS, the System has determined that it is necessary to
construct and equip certain additions, modifications and improvements to the
Hospital (the "Hospital additions") , and to finance the acquisition of the
Hospital Additions through the issuance by the Issuer of its CSJ Health
System of Wichita, Inc. Revenue Bonds, Series , 1991 (the "Series 1991
Bonds") ; and
WHEREAS, the City of Salina, Kansas and the Issuer in 1985
entered into an Interlocal Cooperation Agreement (the "Agreement") pursuant to
which the City of Salina, Kansas has designated the Issuer as issuer on its
behalf of hospital revenue bonds under the constitution and laws of the State
of Kansas, particularly K.S.A. 12-1740 et sed , as amended, for the
benefit of the system and the Hospital; and
WHEREAS, after holding a public hearing pursuant to published
notice, the governing body of the City of Salina, Kansas has considered
whether the Series 1991 Bonds should be issued by the Issuer pursuant to the
Agreement, in part to finance the acquisition of the Hospital Additions;
SO NOW, THEREFORE
BE IT RESOLVED by the Governing Body of the city of Salina,
Kansas:
Section 1 . It is hereby found and determined that the issuance of
the Series 1991 Bonds by the Issuer pursuant to the Agreement in part to
finance the Hospital Additions would be in the best interests of the residents
and citizens of the City of Salina, Kansas.
Section 2. It is hereby found and determined to be advisable
that the Issuer issue the Series 1991 Bonds.
Section 3. The issuance by the Issuer of the Series 1991 Bonds is

Adopted by the Board of Commissioners and signed by the Mayor
