This Indenture, made this 10 day ofMtiý, 1997, by and between, GEORGETOWN, INC,
Parties of the First Part and THE CITY OF SALINA, KANSAS, a municipal corporation, Party of
the Second Part, WITNESSETH:
That the said Parties of the First Part for a good and valuable consideration receipt and
sufficiency of which is hereby acknowledged, do by these presents, grant, bargain, sell and convey
unto said Party of the Second Part an easement in, over and across a certain tract of land located
within the Georgetown Addition to the City of Salina, Saline County, Kansas, owned by the Parties
of the First Part, more particularly described as follows:
All in Block 5, Georgetown Addition, to the City of Salina, Saline County, Kansas, a tract ofland
in the North One Hundred Twenty (120) feet of said block, described as follows, the South 10'
of the above described tract. Owned by Georgetown, Inc,
for all of the rights of ingress and egress of the said Party of the Second Part, its servants, officers,
employees and contractors for the purpose of the construction, installation, repairing, replacing and
maintaining public utilities in perpetuity,

UTILITY EASEMENT
THIS INDENTURE ("Indenture"), is made effective this 20th day of October
1997, by and between NATIONWIDE HEALTH PROPERTIES, INC. ("Grantor"), a Maryland
corporation, and THE CITY OF SALINA, KANSAS ("Grantee"), a municipal corporation,
WITNESSETH:
That Grantor is the owner of that certain tract or parcel of land described as Block 5,
Georgetown Addition to the City of Salina, Saline County, Kansas, less the North One Hundred
Twenty (120) feet thereof, together with all improvements thereon ("Grantor's Parcel").
That Grantor, for good and valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, does by these presents, grant, bargain, sell and convey unto Grantee a
nonexclusive easement in, over and across that certain tract or parcel of land described as the
North 10 feet of Grantor's Parcel (the "Easement Parcel"), for all of the rights of ingress and
egress of Grantee, its servants, officers, employees and contractors for the purpose of the
construction, installation, repairing, replacing and maintaining of public utilities in perpetuity;
subject to (i) all easements, rights-of-way and prescriptive rights now or hereafter affecting the
Easement Parcel, whether of record or not, (ii) all recorded and valid instruments now or
hereafter affecting the Easement Parcel, other than encumbrances and conveyances, and
(iii) Grantor's (and its successors and assigns) right to continue to use and enjoy the surface of
the Easement Property for any purpose and in any manner which does not unreasonably interfere
with Grantee's exercise or utilization of the easement rights granted in this Indenture.
IN WITNESS WHEREOF, the Grantor and Grantee have hereunto set their hand, effective
