Pennsylvania 15241 (440) 975-4230 (303) 456-1820 (614) 539-3925 (941) 686-8640 (724) 942-2881 This Agreement is made this 1~day of JV1.ú..VCÀ-- , 2005, between the City of Salina, Kansas, a body politic, 300 West Ash, PO Box 736, Salina, Kansas 67402-0736, hereinafter referred to as the "City," and Kucera International Inc., an Ohio corporation, 38133 Western Parkway, Willoughby, OH 44094, hereinafter referred to as the "Consultant" WHEREAS, the City desires to engage the Consultant to provide professional services in connection with the project as outlined in the Request for Quotations issued February 14, 2005; and WHEREAS, the Consultant desires to render those services as described in Section 1: Scope of Services; NOW, THEREFORE, the City and the Consultant in consideration of the mutual covenants contained herein agree as follows: I SECTION 1: SCOPE OF SERVICES The Consultant will provide to the City photogrammetric services generally described as new color aerial photography, ground and airborne control surveying, film scanning, aerotriangulation, optional topographic mapping at 2' contour interval on a per square mile basis, and color digital orthophotography at 1 "=200' scale/0.5' pixel in TIFF and MrSID formats, covering designated portions of the City and more specifically described in the City's Request for Quotation, attached hereto as Exhibits A, and Consultant's response attached hereto as Exhibit B, respectively. Page 1 '. Contract Agreement between City of Salina, Kansas and Kucera International Inc. I SECTION 2: DEFINITION OF TERMS A. Contract Officer - shall refer to the duly designated City official charged with general administration and coordination of matters related to this agreement on behalf of the City. B. Project Coordinator(s) - shall refer to the City's or Contract Officer's designated person or persons responsible for coordinating all aspects of work to be performed with the Consultant's assigned Project Manager. Such coordination shall include, but not be limited to, the review and acceptance of any hardcopy and computer digital file samples submitted by the Consultant. C. Project Manager - shall refer to the person assigned by the Consultant to oversee the Consultant's work, coordinate with the City, and periodically report the status of the work to the Contract Officer or the City's Project Coordinator. D. Project Area - shall refer to that portion of the City for which the Consultant shall perform the service outlined in this agreement during a designated period of time, i.e., months, calendar year, fiscal year, etc. The project area is identified in Exhibit A as the map "2005 Ortho Boundary", to cover approximately 51 square miles of the current city limits plus the City of Salina Landfill, attached hereto and made a part hereof. E. Work/Deliverables - shall refer to all photography, orthophotography, optional 2' contours, documents, services, and byproducts of such services of whatever kind and nature purchased by the City under this agreement and as described herein. F. Delivery - shall mean the receipt in good order and condition, by the City Contract Officer or Project Coordinator(s), of all deliverables purchased by County from Consultant under this agreement. G. Acceptance - shall refer to the City's written or verbal acknowledgment of its approval in adequacy, accuracy, and quality of deliverables submitted by Consultant, following the City's successful review of deliverables. H. RFQ - shall refer to the City's Request for Quotation issued February 14, 2005. Page 2 '. Contract Agreement between City of Salina, Kansas and Kucera International Inc. SECTION 3: RESPONSIBILITIES OF THE CITY .. The City shall be responsible for providing the following services to the Consultant: A. The City shall assign a Project Coordinator(s) with the authority to review and approve materials and deliverables submitted by the Consultant to act as liaison between the City and Consultant. B. The City shall promptly review any samples or deliverables and approve or comment on same. C. The City shall promptly answer or address any unforeseen questions that may arise during the course of the work to be performed by Consultant. D. The City shall promptly provide any source materials (e.g., maps, existing OEM from 2001 for orthorectification purposes) it may have to the Consultant for use in the development of production processes, if applicable. E. The City at its expense shall pay for the shipment of any materials to the Consultant. F. The City shall coordinate assistance to the Consultant, to every extent possible, from other governmental agencies and bodies necessary for obtaining the work products that are the subject of this agreement. ¡SECTION 4: RESPONSIBILITIES OFTHE CONSULTANT A. The status of the Consultant under this Agreement with respect to the services to be performed by the Consultant hereunder shall be that of independent contractor. Further, nothing herein shall be construed to create an employer/employee relationship between the City and the Consultant or any other subconsultant hired by the Consultant. B. The Consultant agrees to perform in good, timely and professional manner all of the services outlined in Section 1: Scope of Services. C. The Consultant agrees that no changes shall be made in the services outlined in Section 1: Scope of Services except as noted in this agreement without the express written prior consent and agreement of the City and the Consultant. Should there be any military or otherwise restricted air space within the City, the City shall obtain permission for Consultant to overfly same. E. The City shall not be responsible for the technical adequacy and accuracy of the Consultant's work. No action by the City in its review, approval and/or acceptance or by any payment made hereunder shall be construed as a waiver of the technical adequacy and accuracy of the Consultant's work. F. The Consultant shall assign to the work a Project Manager whose duties will be to oversee and coordinate the work with the City's Project Coordinator(s) and make periodic and timely work status reports to the City. G. The Consultant shall pay for the shipment of all deliverables to the City. H. The Consultant shall begin to perform the services upon receipt of a notice to proceed signed by the Contract Officer or his designee and shall complete such work as outlined in Section 5: Time of Completion. Work by the designated date which arises out of causes beyond the control and without the fault or negligence of the Consultant shall be deemed a reasonable extension of time and shall not result in a reduction of total compensation to the Consultant I SECTION 6: COVENANT AGAINST CONTINGENT FEES The Consultant warrants that it has not employed or retained any company or person other than a bona fide employee working solely for the Consultant to Page 4 '. Contract Agreement between City of Salina, Kansas and Kucera International Inc. solicit or secure this agreement, and that Consultant has not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award or making of this agreement. For breach of violation of this warranty, the City shall have the right to annul this agreement without liability, or, at its discretion, to deduct from the agreement price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gifts, or contingent fee. I SECTION 7: AMENDMENTS No amendment to this agreement shall be effective unless it is in writing and signed by duly authorized representatives of each party hereto. I SECTION 8: INSURANCE Consultant shall take out and maintain during the life of this agreement such public liability and property damage insurance as shall protect Consultant, its subcontractors, and the City from claims for damages for personal injury, including accidental death, as well as for claims for property damage, which might arise from operations under this Agreement, whether such operations be by Consultant or its subcontractor, or by anyone directly or indirectly employed by either of them. Consultant shall also take out and maintain for the term of this agreement the following coverages: $2 million general aggregate general liability; $1 million combined single limit automobile liability; $5 million excess liability; statutory workers' compensation liability; and professional liability in the amount of not less than $1 milli~ Insurance coverage is for the protection and benefit of the City of Salina.~ 'l All insura~e coverages required in this agreement shall be maintained in force for one (1) year after final payment of purchases made thereunder. The Consultant shall provide the City with certificates of insurance on all policies required under this agreement within ten (10) days of execution of this agreement and prior to the start of work. All insurance policies shall be issued by responsible companies who are acceptable to the City. The Consultant shall not cause any insurance to be canceled nor permit any insurance to lapse. All insurance policies shall contain a clause to the effect that the policy will not be canceled, reduced, restricted, or limited until fifteen (15) days after the City has been notified in writing by registered or certified mail, return receipt requested. Certificates of insurance shall contain transcript from the proper office of the insurer, the location, the Page 5 " Contract Agreement between City of Salina, Kansas and Kucera International Inc. operations to which the insurance applies, the expiration date, and the above- mentioned City notification clause. Consultant shall indemnify and hold City harmless from any damages, cost, claims or expenses which may arise as a result of any failure on the part of the Consultant to provide accurate and/or complete data and information to the county as outlined and required by the terms and conditions of this agreement except as may be defined in Section 9: Warranty. I SECTION 9: WARRANTY The Consultant, by signing this agreement, acknowledges full understanding of the extent and character of the work required and the conditions surrounding the performance thereof. The City will not be responsible for any alleged misunderstanding of conditions surrounding the performance thereof. It is understood that the execution of this agreement by the Consultant serves as its stated commitment to fulfill all the conditions referred to in this agreement. Consultant warrants that the work performed and deliverables provided under this agreement shall conform to the City's RFQ specifications and applicable professional standards in effect at the time of the signing of this agreement, including, but not limited to, National Map Accuracy Standards published by the US Bureau of the Budget, large-scale map accuracy standards published by the American Society of Photogrammetry and Remote Sensing, and applicable generally accepted practices of the photogrammetric profession. The work shall be of the highest quality, and shall be within the tolerances allowed by the above-cited references. If the Consultant is notified in writing by City of a discrepancy, deficiency, inaccuracy, or fault in the work, within thirty (30) days of such notice the Consultant shall re-perform such portions of the work necessary to correct the fault, except that any work requiring a re-flight may have to be performed in the following photographic season. All such corrections shall be made at no additional cost to the City. Consultant agrees that all work shall be performed regularly, diligently, and uninterrupted at such a rate of progress as will ensure full completion thereof within the time specified in Section 5: Time of Completion or as mutually agreed upon by the Consultant and the Project Coordinator(s). All work/deliverables provided by the Consultant shall be fit for the purpose(s) intended as referenced in the City's RFQ. The Consultant shall not be liable for secondary, incidental or consequential damages of any nature resulting from any work performed under this agreement. I SECTION 10: DELIVERY OF WORKlDELIVERABLES Consultant shall certify in writing to the City when the work or any portion thereof has been completed and products of such work have been delivered to the City for inspection. I SECTION 11: PROGRESS REPORTS Following the first day of execution of this agreement, the Consultant shall submit monthly reports of progress which describe work completed up to the date of such report to the City's Project Coordinator. I SECTION 12: INSPECTION It is the City's intention that all deliverables by the Consultant be reviewed and inspected by the Project Coordinator(s). The City shall complete its inspection within thirty (30) days of receipt thereof. Consultant shall make accessible to the City whatever information, data, materials, and processes the City deems reasonably necessary to evaluate and confirm the accuracy and quality of Consultant's work. The Consultant shall not be liable for any expense of City's review or inspection processes. I SECTION 13: ACCEPTANCE After the delivery, review and inspection of the work, the City shall give written notice of its acceptance or non-acceptance of work to Consultant within five (5) working days after completion of its review. If such notice is not given by the City to Consultant, the work shall be deemed accepted by the City. ¡SECTION 14: NON-ACCEPTABILITY OF WORK The City shall promptly notify the Consultant of the nature of any work deemed non-acceptable. Upon such notification to Consultant that its work fails to meet the specifications set forth or referenced herein, Consultant shall promptly replace, modify or adjust its work to meet specifications, at its expense. I SECTION 15: USE OF ENGINEERING INFORMATION A. The Consultant hereby understands and acknowledges that any and all information gathered, generated and delivered to the City as outlined in the Scope of Services is for the exclusive use and benefit of the City, and shall be Page 7 '. Contract Agreement between City of Salina, Kansas and Kucera International Inc. the sole property of the City, and that such information shall not be disseminated by the Consultant to any other third party without the express written consent of the City. B, The Consultant shall store the aerial film in its vault for a period of ten years or until such earlier time that the City requests that it be delivered to it. C, Upon the completion of the work, the City may at its option enter into a contract with the Consultant to supply products and services which the City may not be equipped to furnish to non-county agencies or individuals. The Consultant will furnish a list of products and services over and above those furnished to the county along with fees for such products and services, and the City may direct the Consultant to charge such fees for them as the City deems appropriate. The difference between the City's fees and the Consultant's fees will be credited or paid to the City. O. The Consultant hereby agrees to maintain one copy of all information gathered, generated and delivered to the City within its office in digital computer file form to serve as a backup to the data furnished to the City, Should the City suffer the loss of any of its data the Consultant agrees to replace same from its files at a reasonable fee for a period of ten years. E. The City shall be entitled to rely on the technical accuracy of the information furnished to the City by the Consultant. The City hereby agrees that it will not alter or otherwise change the data produced by the Consultant until after the data's final acceptance. In those areas where the City makes subsequent changes to any features in the original data, it is understood the City will accept responsibility for the data that has been changed. The City understands that computer enlargement of the scale of any product does not increase its accuracy. The accuracy of any data is determined by the scale at which the data is compiled, I SECTION 16: COPYRIGHTS AND DISCLAIMERS A, The City retains the option to grant permission to the Consultant to copyright all aerial photography, digital image files and/or digital data. Title and license for their use will pass to the City upon delivery, approval, and payment for same. The Consultant will only copyright the data after written approval to do so from the City. B. While the aerial photography and digital image and computer data are in the Consultant's possession, the City may authorize their use for a non-city third party, provided that such entity acknowledges the copyright and license to use the data for a specific purpose, Page 8 '. As digital data can be easily altered and or misused, the City, together with Consultant, shall draft an appropriate statement that will cover the use of any data that may from time to time be given to other non-city entities for their use. ¡SECTION 17: TERMS AND CONDITIONS OF CONSULTANT'S SERVICES In consideration for the services performed hereunder, Consultant shall be paid the following: Required Services Cost Color Aerial Photoaraphv $ 6,500 Airborne & Ground GPS Control $4,200 Digital Color Orthophotography at 1 "=200'/0.5' $9,800 pixel in TIFF and MrSIO formats Total $20,500 Optional topographic mapping, 2' contours, $31,200 $600 per square mile I SECTION 18: COMPLIANCE WITH THE LAW A. The Consultant shall not discriminate by any reason of age, color, handicap, national origin, race, religion or sex which is unrelated to the duties or position of applicants for employment by the Consultant. B. The Consultant shall at all times observe and comply with all statutes, ordinances, rules and regulations of federal, state and local governments in effect at the execution of this agreement. I SECTION 19: PRICE PROTECTION The fees quoted for work contracted for by the City as part of this agreement, or quoted by Contractor for additional services during the course of this agreement shall be applicable until October 1 S\ 2006. Should the City defer any portion of the work beyond this date, including, with out limitation, the optional topographic mapping, the fee for such work deferred will be adjusted by the CPI for the prior year. I SECTION 20: TERMINATION This contract shall terminate absolutely and without further obligation on the part of the City at the close of the calendar year in which it is executed and each Page 9 '. Contract Agreement between City of Salina, Kansas and Kucera International Inc. succeeding calendar year for which it may be renewed, provided that, to terminate the contract, the county must provide written notice of its intention to terminate the contract by giving the consultant sixty (60) days written notice prior to the end of the then current calendar year; otherwise, the contract shall be automatically renewed for each succeeding year or partial year for which it may be renewed. The City may terminate this agreement with 60 days' written notice to the Consultant in the event that adequate funding to continue the work is not provided by the City. In the event of either such termination by the City, if for any cause the Consultant shall default in the performance of this Agreement or any part thereof and has failed to cure such default within sixty (60) days after receipt of written notice sent by certified mail, return receipt requested, specifying such default, the City may terminate this agreement at its option and sue the Consultant based upon a failure of the Consultant to complete the work outlined in this agreement in a timely fashion and/for additional expenses caused as a direct and proximate result of said breach in default Damages attributed to any such failure by the Consultant to complete the work outlined in this Agreement in a timely manner shall not exceed the fees for the actual work authorized. I SECTION 21: INVOICING Consultant agrees to invoice City no more than once monthly in an amount not less than $500.00. Said invoice will be based on and submitted with a monthly progress report detailing the Consultant's best estimate of the percentage of work phases completed up to the date .of the invoice. Within thirty (30) days of receipt of invoices submitted by the Consultant, the City agrees to pay the Consultant the fees invoiced for the period. I SECTION 22: CONFIDENTIALITY AND RIGHTS TO CONSULTANT'S WORK I All information, data, designs, plans, drawings, maps, photographs, specifications or other work furnished to or developed for the City by the Consultant, its employees, agents, or assigns, pursuant to this agreement, shall be the sole property of the City, and all rights therein are reserved by the City. The Consultant, its assigns, employees, or agents shall not give nor sell to a third party, nor allow to be used by a third party, any information, data, designs, plans, drawings, notes, maps, photographs, specifications, or other work furnished to or developed for the City under this agreement, without the express written consent of the City. Inquiries to the Consultant, whether direct or indirect, for products of this agreement shall be referred to the City Contract Officer unless otherwise requested by the City. Page 10 Contract Agreement between City of Salina, Kansas and Kucera International Inc. Work Made For Hire Acknowledament. The parties acknowledge and confirm that the City has specially ordered and commissioned from Kucera the Photographs to be prepared and used "as a contribution to a collective work" and the Map to be prepared and used "as a compilation" as those phrases are used in the U.S. Copyright Act, 17 U.S.C. § 101 (the "Copyright Act"). Specifically, the Photographs will be used as part of the Map, and the Map will consist of a compilation of facts selected, coordinated, and arranged in an original and creative manner. The parties further acknowledge and confirm that all of Kucera's services in connection with this agreement or this Agreement are rendered for, at the instigation of, and under the overall direction and supervision of the City. The parties also acknowledge and confirm that the Photographs and the Map will be regarded as a "work made for hire" by Kucera for the City of Salina, as that term is used in the Copyright Act. Assianment Without curtailing or limiting the work made for hire acknowledgment above, Kucera hereby assigns, grants, and delivers (and hereby further agrees to assign, grant, and deliver), exclusively to the City of Salina, all rights, titles, and interests of every kind and nature whatsoever, whether now known or hereafter recognized, in and to the Photographs and the Map and all the copies and versions thereof, in all forms of media, including all copyrights and all renewals thereof. Kucera further agrees to execute, acknowledge, and deliver (and to cause its employees and independent contractors to execute, acknowledge, and deliver) to the City, its successors and assigns, such other instruments or documents as the City reasonably may request for the purpose of establishing, evidencing, registering, enforcing, or defending its complete, exclusive, perpetual, and worldwide ownership of all rights, titles, and interests of every kind and nature whatsoever, whether now known or hereafter recognized, in and to the Photographs and the Map and all copies and versions thereof, including all copyrights and all renewals thereof; and Kucera hereby constitutes and appoints the City of Salina as its agent and attorney-in-fact, with full power of substitution, to execute and deliver such instruments or documents as Kucera may fail or refuse to execute and deliver, this power and agency being coupled with an interest and being irrevocable. Warranty. Kucera represents and warrants that the Photographs and the Map (or that portion of them created or contributed by Kucera) will not violate or infringe any law, regulation, copyright, or trade secret, or otherwise violate any other rights, titles, or interests of any third party. Kucera further represents and warrants that it has not and will not order, commission, or otherwise obtain or receive from any other person (other than an "employee" of Kucera working "within the scope of employment" as those terms are understood under the Copyright Act) any of the Photographs or the Map or any contribution to the Photographs or the Map. Page 11 " Indemnification. Kucera agrees to indemnify, defend, and hold the City of Salina harmless for any damages, costs, or fees incurred by the City of Salina as a result of Kucera's violation of any part of this Agreement or from any action based on or arising from the Photographs or the Map or the display, publication, reproduction, distribution, sale, or license of the Photographs or the Map by the City of Salina. I SECTION 23: CONFLICT In the event of a conflict between this agreement, the RFQ Scope of Project (See Exhibit A), and the Consultant's response (See Exhibit B), the Scope of Project and the Consultant's response shall, in general, supersede this agreement due to them being the specific and this agreement being the general. Exceptions to this provision include the schedule for performance, Section 5: Time of Completion, as set forth herein, shall supercede the schedules requested and proposed in the RFQ and Consultant's response, respectively. This contract is hereby signed in the State of Kansas and the laws of the State of Kansas shall be applicable hereto, IN WITNESS WHEREOF, the parties have executed this agreement on the date hereinabove first written. MINIMUM SPECIFICATIONS: DIGITAL ORTHOPHÇ>TOS The following specifications will apply to the development of color digital orthophotos of the city limits of Salina, Kansas (plus an approximate %-mile fringe area). Total area equals approximately 51 square miles. Scope of Work Color aerial photography of the Salina, Kansas city limits (plus a %-mile fringe area) resulting in 6" pixel ground resolution at a scale of 1 "=200'. The attached map illustrates the limits to be included in the photos. 1. Ground Control: . Ground Control established by GPS (or equivalent method) will be required to produce digital orthophotography meeting the above stated accuracy standards. 2. Aerial Photoaraphv: . Vertical aerial photography (color) will be acquired between 10:00 A.M. and 2:00 P.M. with a sun angle of not less than 30 degrees. Snow, haze, smoke, dust, leaf cover, floodwater or other environmental factors that may hide ground detail shall not obscure photography. Photography will be acquired with clear visibility in excess of (10) miles. . Flights shall be accomplished at an altitude suitable for future generation of 2 foot interval contours. . A camera calibration report that is not more than three years old for each camera will be provided for the City's review. 3. Scannina (if necessary): . If scanning is necessary to produce the digital images, the digital images shall be produced by scanning the aerial photographs with a precise, high-resolution scanner, All scanning will be performed at a finer resolution than the final delivered pixel size. 4. Ortho: . The digital images shall meet or exceed National Map Accuracy Standards at 1 :2400 scale. 5. Delivery Schedule: . 9" X 9" contact prints shall be provided for inspection. . Upon approval, City of Salina will return these prints. 6. Deliverables: . Ground Control Report. . Some additional information regarding the Request for Quotations. We will have in our possession the OEM's from the 2001 photo project for use in during the upcoming project. There will be a small extension to the south, approximately 1 sq. mi. addition along S. Ninth St. The boundary on the existing map and on the map to be mailed is the boundary for the photos. It's seems certain that at some time in the next year FEMA will be partnering with the City of Salina on a flood plain remapping project, so there is a high likelihood 2 foot contours will be required in the study areas, although not the entire city. Kucera understands that the City of Salina is seeking a contractor to provide new (2005) color aerial photography, digital orthophotography, and associated products and services (film scanning, aerotriangulation, etc.) covering a designated area of approximately 51 square miles around and near the City. Kucera International Inc. specializes in the work being sought and stands as one of the largest, most experienced, most advanced, and most stable companies in the aerial mapping profession. Kucera is currently in its 52nd year of providing aerial photography, surveying, and photogrammetric base mapping services, and has been providing orthophotography, digital elevation/terrain models, and digital planimetric/topographic mapping in-house for over 20 years. Over the past decade, Kucera has successfully completed these services for over 100 counties, cities, and other large areas throughout the country, Kucera's main goals for this project are to provide the City with the highest quality image and map products meeting the project specifications; accomplish the work in the most cost~ and time-effective manner possible without compromising quality; and assist the City in maintaining and advancing its GIS/base mapping program as needed. Kucera will meet these goals by drawing upon its extensive experience and expertise in countywide base mapping work, fully utilizing its advanced, in-house imaging and mapping capabilities, conducting the work using a tailored, systematic approach with rigorous quality control, having sufficient capacity and redundant systems available for the project, and maintaining close liaison with the City, providing additional technical support as required. The aerial image acquisition will be performed with Kucera's proven, independently calibrated, film-based aerial cameras (Zeiss RMK TOP) interfaced with the highest accuracy airborne GPS/IMU control systems (Applanix POSIAV 510) for direct, in-flight georeferencing of the imagery. The georeferencing will be checked and refined as needed using targeted ground-based control in a softcopy or analytical aerotriangulation process. The triangulated photography will directly support the production of two foot contour topography as well as the project digital orthophotography. For the digital orthophoto production, the georeferenced aerial imagery will be " automatically scanned. rectified, and tone balancedlmosaickedltiled into a seamless image representation, with each of these stages followed by a thorough manual inspection and edit on dedicated image processing stations. The Kucera team is committed to completing the City of Salina contract work on schedule while maintaining the highest level of product quality. The work will be rigorously managed throughout its duration by a team. of experienced geomatics professionals, all of whom have had management/supervisory positions on multiple city and countywide aerial base mapping contracts. These individuals will coordinate closely on the project and exercise strict production and quality management through a computerized job trackinglreporting system and contract-specific quality control plan.
