Dear Rod,
Training@YourPlace, LLC has not had a price increase since January of 2001. We appreciate your
patronage for all these years and have decided that in lieu of a price increase, we will begin
charging for phone and email support. Industry-wide, charging for this support is a norm.
Starting March 1S\ 2005, Training@YourPlace, LLC will charge for support in 15-minute
increments, based on our current rate of $85/hr. Detailed records will be kept to assure proper
billing. Support time will be billed monthly with regular billing.
Yearly support contracts with reduced rates are available. A contract is attached. Support will be
charged at current rate until a signed support contract is received. Support may be purchased in
hour bundles in advance with rates depending on level. Support is renewable yearly and may be
added to at any time.
Please let us know if you have any questions. If you wish, you may choose a level for the contract
and sign and fax back. We will then bill you. If you do not want a contract, support will be billed at
1'$85/hr ($75/hr for non-profits). Thank you!

SUPPORT AGREEMENT
THIS SUPPORT AGREEMENT is made by Training@YourPlace, LLC (TAYP), a Kansas limited
liability company, have principal offices at Overland Park, Kansas; and City of Salina, (Client).
The parties agree to the following:
1. Support Services. T A YP, agrees to provide telephone and emaH support for any of the
applications currently being supported for the Client by TAYP.
2. Term of Aareement. It will begin on the effective date hereof and continue, for a one-year.
This agreement will automatically review at the end of the one-year period unless written notification has
been received by T A YP prior to the expiration of this agreement.
3. SuPPOrt Services. You will be entitled to receive telephone and emaH support for a period of
one (1) year, such support being provided, Monday through Friday (federal holidays excepted) from 9:00
a.m. to 4:30 p.m., C.ST or C.OT, whichever is applicable at the offices of TAYP. In the event we are
unable to receive a call, we will call you back before the close of the next business day. The annual support
shall be limited to the number of hours selected within this document. Telephone support will be charged in
one-quarter (1/4) hour increments.
4. Support Fee. Support will be available in any of the below described bundles and pricing.

Miscellaneous.
a. Sales and Use Tax. You agree to pay all sales, service and other taxes arising
under this Agreement.
b. Assianment. You may not assign this Agreement, in whole or in a part, without our
prior written consent.
c. Governina Law. This Agreement shall be governed by and construed in accordance
with the laws of the State of Kansas without reference to conflicts of law principles.
d. Amendment. This Agreement may not be altered, amended or modified without the
express written consent of both parties.
e. Entire Aareement. Subject to the possible execution of additional agreements, this
Agreement shall constitute the entire agreement between the parties hereto and shall supercede any
previous understandings and agreements.

f. Scope. This agreement applies only to telephone and email support and does not
replace or modify any agreements regarding development, maintenance, modifications or other
application development provided by TAYP.
