Settlement Agreement for Eminent Domain 3rd/4th St Lot SETTLEMENT AGREEMENT This Agreement is entered into this day of March, 1992, between the City of Salina, a Kansas muni is pal corporation, (the "City") and the Union Pacific Railroad Company, a Utah corporation authorized to do business in Kansas, and Missouri Pacific Railroad Company, a Delaware corporation authorized to do business in Kansas, (collectively, the "Railroad") . Recitals A. The City and the Railroad are parties to an eminent domain proceeding pursuant to Chapter 26 of the Kansas Statutes Annotated in the District Court of Saline County, Kansas, identified as Case No. 91 CVC 193 (the "first condemnation") . B. The Railroad has appealed from the award of the court appointed panel of appraisers entered on August 30, 1991 in the amount of $12 , 072 , which amount has been paid to the Railroad pursuant to the Court's order of October 16, 1991. C. The City and the Railroad have reached a compromise settlement of the issue of reasonable compensation to be paid by the City for the real estate taken, which settlement includes acquisition by the City of an additional tract of real estate from the Railroad by condemnation for a stipulated sum. THEREFORE, the parties agree as follows: 1. Compromise settlement. As a compromise settlement of the Railroad' s appeal of the appraisers ' award in the first condemnation, the parties agree: (a) That the City shall pay to the Railroad and the Railroad shall accept the total sum of $48 , 000 as just compensation for the real estate taken in the first condemnation. (b) That the City shall acquire from the Railroad by a separate eminent domain proceeding (the "second condemnation") , for agreed upon just compensation of $18 , 000, the following described real estate: A parcel of land being all of Lots Thirty-two (32) , Thirty-four (34) , Thirty-six (36) , and Thirty-eight (38) , on Third Street, and all that portion of Lots Twenty-six (26) , Twenty-eight (28) , and Thirty (30) on Third Street and Lots Thirty-one (31) , Thirty-three (33) , Thirty-five (35) , and Thirty-seven (37) on Fourth Street lying southeasterly of a line concentric with and 40. 0 feet distant southeasterly of the centerline of the connecting wye track between the Union Pacific Railroad Company' s I Track No. 71 and the Missouri Pacific Railroad Company' s Track No. 10 which said line begins at a point on the south line of said Lot Thirty-seven (37) that is 25. 0 feet east, measured along said south line, from the southwest corner of said Lot Thirty-seven (37) to a point on the east line of said Lot Twenty-six (26) that is 25. 0 feet north, measured along said east line, from the southeast corner of said Lot Twenty-six (26) , Original Townsite to the City of Salina, Saline County, Kansas, together with the vacated alley lying between said lots as vacated by Ordinance No. 2181 approved May 26, 1918, EXCEPTING therefrom, all that portion of said vacated alley lying northwesterly of said concentric line. Containing a net area of 45, 864 square feet, more or less. The elements of the compromise settlement outlined in sub- paragraphs (a) and (b) above are mutually conditional upon the other, and shall be implemented as provided below. 2 . First condemnation. The parties ' respective counsel shall be instructed to approve a journal entry for submission to the Court which will provide for the entry of judgment in favor of the Railroad for the sum of $35, 928 , that sum being the difference between $48, 000 and the $12 , 072 previously paid by the City. The Railroad waives any claim of interest on the difference between the appraisers ' award and the compromise settlement for that period beginning with the City' s payment of the appraisers ' award and ending with the Court's entry of the journal entry approved by the parties. Upon the entry of judgment the City shall pay to the Railroad the sum of $35, 928 in full satisfaction of the judgment and the Railroad shall promptly file a Satisfaction of Judgment in the case. 3 . Second condemnation. The second condemnation shall be implemented as follows: (a) The City agrees to take all steps necessary to conduct eminent domain proceedings pursuant to Chapter 26 of the Kansas Statutes Annotated in order to acquire fee simple title to the above described real estate. The City further agrees to enter the Stipulation attached and incorporated herein as Exhibit A-1, in which the City stipulates to just compensation in the amount of $18 , 000. (b) The Railroad agrees to provide the City with a letter directed to the City Manager regarding any information known to the Railroad regarding the historical use of the real estate to be acquired under the second condemnation which would have resulted in any significant spill of hazardous materials, receipt of which is hereby acknowledged by the 4 City. -2- (c) The Railroad agrees to direct its counsel to execute and file in the second condemnation the original of a Stipulation in the form attached and incorporated herein as Exhibit A-2 , in which the Railroad enters an appearance in the second condemnation proceeding, waives further notice of the proceeding, consents that the taking is necessary to the lawful corporate purposes of the City, and agrees to accept the stipulated sum of $18 , 000 as just compensation for the taking. 3 . Binding effect. This Agreement shall be binding upon the parties and their respective successors and assigns. EXECUTED the day and year first above written.
