BACKGROUND:
On March 13, 2023, the City Commission conducted a public hearing and considered the provisions
of naming rights and funding agreements related to the Salina Tennis Complex in Kenwood Park.
{Please, see the attached staff report from that meeting for additional details. Interior photos of the
building have been added as supplemental information, as well.} At that time, the City Commission
voted to postpone consideration of the naming rights and funding agreements and continue the public
hearing until the regular meeting scheduled for March 27, 2023.
Prior to the opening of the public hearing, the City Commission approved a motion finding that the
public interest is served by granting the requested variances from the City's policy requirements that
(1) the Parks & Recreation Advisory Board review the naming initiative and make an advisory
recommendation to the City Commission within forty-five (45) days of receipt of a naming initiative
for a qualified municipal facility; and, (2) the City Commission conduct a public hearing and consider
a naming initiative within thirty (30) calendar days of receiving the recommendation of the related
board; and that the City Commission proceed with the public hearing scheduled on its agenda for
today's regular meeting, notice of which has been timely published. That action was taken after
confirming that the applicant concurred with the extended timelines and publication dates.
There was considerable discussion about the various provisions of the proposed funding agreement
including the nature of the construction project proposed by the Salina Tennis Alliance (STA), the
structure of a proposed 10 year $500,000 naming rights commitment to be funded $50,000/year for
10 years, the City's financial contribution to the construction project proposed by STA and the
possibility of the City providing the net present value of the 10 year funding stream at the outset of
the project to be reimbursed over time.
Postponement of this item appeared to be intended to allow the City Commission time to further
consider the item as well encourage STA to investigate and/or consider other possibly funding
sources or structures. In the intervening time, staff has met with representatives of STA and
discussed the concerns articulated by the City Commission including 1) the loan aspect of the
proposal in general 2) the precedent setting nature of such an approach and 3) financial risk
considerations. Staff also discussed with STA how they wished to proceed with respect to the
proposed project format and City Commission consideration of the original request presented on
March 13th and/or alternatives that they may wish to propose.
STA indicated that they would be having a board meeting mid-day on March 231d and may be able to
provide additional feedback following their board meeting. Their response is provided, below.

"STA has a $500,000 gift from donor that was initially targeted to go to operations maintenance
programming, and had to be altered to comply with city naming rights policy towards bricks & mortar,
and thus donation had to be realigned to go towards the building improvements. Our solution was
presented to City. The City will need determine direction they want to go with that. Based on City's
decision, we can determine next steps."

The City Commission will need begin their deliberations by
1) re -opening the public hearing on the application of Salina Tennis Alliance, Inc. for the commercial
naming of the Salina Tennis Facility as the JRI Hospitality Salina Tennis Center.
2) Receiving the staff report on this matter
3) Entertaining comments from STA and the public and
4) Choosing to further postpone the public hearing to a specified date or close the public hearing.
Staff is prepared to finalize drafts of a Tennis Complex Naming Rights Agreement and Agreement
Related to Funding & Construction of Tennis Building Renovations as further directed by the City
Commission. The original outline of a funding and construction agreement has been attached.
Staff has identified the following options for the City Commission's consideration:
1.) Instruct staff to prepare final drafts of a Tennis Complex Naming Rights Agreement and
Agreement Related to Funding & Construction of Tennis Building Renovations for the City
Commission's future consideration based upon the agreement outline as it has been presented.

BACKGROUND:
Resolution #17-7481 was adopted on October 9, 2017 to specifically address Municipal Facility Naming
Rights. The approved guidelines are used for the naming of City of Salina Municipal Facilities. The five
step process is provided in the attached Municipal Naming Guidelines.
On November 23, 2020 the City Commission approved Resolution #20-7903 which declared the area
between Kenwood Drive and Midway Drive in Kenwood Park as a qualified facility under the City of
Salina Municipal Facilities Naming Guidelines.
Additionally, Resolution #20-7903 acknowledged the known conditions of the City's existing tennis
courts. The Parks and Recreation Master Plan calls out the poor condition of the City's tennis courts at
Oakdale Park, Sunset Park and Jerry Ivey Memorial Park. The tennis courts were in disrepair to the
point that surface repairs and treatment may not sufficiently address the issues and replacement and
reconstruction were necessary. The extent of the problem was significant enough that funding and a
solution had not been identified by the City.
On March 1, 2021, the City Commission approved Resolution #21-7937 which expressed the intent of
the governing body to accept a proposal by Salina Net Generation to enhance the tennis experience
in the City of Salina. Salina Net Generation has since established a 501(c)(3), not-for-profit entity
under the name Salina Tennis Alliance, Inc.
On August 23, 2021, the City Commission authorized the City Manager to execute an agreement with
Salina Tennis Alliance relating to the funding and construction of tennis facilities in Kenwood Park.

of courts and facilities as related to the construction of facilities at the new Salina Tennis Complex.. The
Salina Tennis Alliance was considered a philanthropic naming due the organization's not-for-profit

In September of 2022, Salina Tennis Alliance filed a second naming application for the complex naming
per the requirements of the Municipal Naming Guidelines. In January of 2023, Salina Tennis Alliance
provided an amended naming application to the City Clerk's Office. On January 26, 2023, the City
Clerk provided written verification of the compliance of the request for the commercial naming initiative
for the Salina Tennis Complex from the Salina Tennis Alliance.
Per the Municipal Naming Guidelines, the related board (in this case, the Parks and Recreation
Advisory Board) shall consider the naming initiative for a qualified municipal facility within thirty (45)
calendar days from the receipt of the naming initiative. Staff acknowledges that the policy requirement
for the related board to consider the initiative within 45 days has been exceeded from the naming
application in September of 2022.
On January 18, 2023, the Parks and Recreation Advisory Board reviewed the commercial naming
initiative and made a recommendation to the City Commission to approve the naming initiative request.

Per the Municipal Naming Guidelines, the City Commission shall conduct a public hearing and consider
the naming initiative for a qualified municipal facility within thirty (30) calendar days of receiving a
recommendation from a related board. Staff acknowledges that the policy requirement for conducting
the public hearing and to consider the naming initiative within 30 days has been exceeded.
There has been considerable conversations between City staff and representatives of Salina Tennis
Alliance. The oversight of the 45 day requirement for the Parks and Recreation Advisory Board and the
30 day requirement for the City Commission action was an oversight on behalf of Parks and Recreation
staff.
The City's Municipal Facilities Naming Guidelines were approved pursuant to Resolution No. 17-7481
adopted October 9, 2017. The Resolution anticipated the potential for circumstances requiring
amendments to or variances from the Guidelines by providing in Section 5: "Amendments or variances
may be considered from time to time by the City Commission as deemed necessary to best meet the
public interest. Such actions may be formal amendments to the guidelines or case-by-case variances
as approved by the City Commission." Staff requests that the City Commission determine that under
the described circumstances the public interest is best served by granting variances from the timelines
called for under the Guidelines in relation to the Parks & Recreation Advisory Board's consideration and
the City Commission's public hearing of this commercial naming initiative.
On March 6, 2023, public notice of the public hearing and commercial naming initiative for the Salina
Tennis Complex before the City Commission was published.
The naming guidelines do not call for including the proposed name in the public notification of the City
Commission's public hearing. However, the public notice that was advertised on March 6, 2023
included a typographical error by including the words "to be" as though the proposed name was to be
included. It was not the intent of staff to include the proposed name of the facility, however, the
typographical error was inadvertently left in the notice.
The Salina Tennis Alliance has a sponsor willing to contribute $500,000 in 10 annual payments of
$50,000 per year in return for the exclusive naming of the complex as JRI Hospitality Salina Tennis
Center. The proposed naming would place signage at three locations at the complex including 1. On
the West of the facility in front of the proposed tennis building; 2. On the south side in the oval
landscaping bed near the drop off lane; 3. On the East side of the complex where The Midway and
North Kenwood Park Dr. meet.
The City and Salina Tennis Alliance entered in to a management agreement of the facility on April 4,
2022 for STA to operate and manage the tennis on behalf of and for the benefit of the City. The STA
has an operating model with expanded tennis programming offered through its operational and tennis
programming capabilities. The operational model is to be implemented through the management
agreement and the annual development and negotiation of an annual plan through a joint review of
operations, facility maintenance, programming, fees and a City contribution.

As stated previously, there has been considerable conversations between City staff and
representatives of Salina Tennis Alliance regarding directing the funds to investments in to the site and
facilities and the utilization of those funds to make agreed upon improvements to the former pool
building in order for it to be fit for public occupancy, available for use by STA in support of their role and
responsibilities provided for in the Management Agreement entered in to by the City & STA and to
support and serve as a tennis tournament center/headquarters.
Salina Tennis Alliance has employed the services of Jones Gillam Renz Architects to assist them with
design, cost estimating and phasing of improvements. City staff have had extensive conversations with
representative of STA and their design professional regarding STA's vision for the facility and possible
means to accomplish their vision.
Salina Tennis Alliance has provided an updated presentation, proposed building improvements and
estimated costs which are attached.
The total costs exceed the value of the $500,000 contribution from the sponsor. Additionally, the
sponsor's contribution is based on annual installments of $50,000 per year which decreases the present
day buying power of the naming rights sponsorship.
As previously noted, the City has committed to demolition of the rodeo arena and old municipal pool at
City expense as well as renovation of the bathhouse restrooms. Savings were realized on the
demolition work and the bathroom renovations have been paused at the request of STA as this
additional option was being considered. Remaining City funds from the tennis project include the cost
savings from the demolition of the former swimming pool and rodeo grounds (Budgeted Expense:
$181,891; Actual Expense $148,400; Remaining Funds: $33,491) and bathroom serviceability of the
former pool facility previously committed to by the City (Budgeted Expense: $82,600; Actual Expense
$12,680; Remaining Funds $69,920.) Additionally, the City has recognized the need to repair the
building's flat roof, which is currently leaking, to preserve the building. Combining the savings realized,
expenses deferred and an estimate of roof repair expenses, the estimated total of City funds that could
be attributed to the facility is approximately $175,000.00
Salina Tennis Alliance has revised their original plans to divide the renovations in to two phases. The
first phase includes interior renovations such as new restrooms, office, and work area. Exterior
renovations new roofing, doors, windows, and general upgrades. The estimated cost of the first phase
of work is $810,000.
The second phase would include interior renovations of a new meeting and pro -shop area and exterior
renovations of seating and storage areas. Potential add alternates showers, pantry, and interior
storage, exterior trellis and shading devices. The estimated cost of the second phase and potential
add alternates is $416,505. The total proposed project cost is $1,226,549.

Salina Tennis Alliance has indicated that they are willing to raise additional funds for tennis building
improvements. They noted that having an agreement in place with the City would be helpful in order
for them to solicit contributions from additional donors..
Staff has prepared a draft agreement outline taking in to account STA's project vision, naming rights
funding, and project phasing. The draft agreement proposes a financial contribution on the part of the
City of $175,000 in light of the itemization of realized savings, deferred expenses and anticipated
expenses as discussed above.
If the City Commission authorizes proceeding, two agreements would be prepared and finalized for
further City Commission action. 1) Agreement Related to Funding & Construction of Tennis Building
Renovations 2) Tennis Complex Naming Agreement.
An outline of the Tennis Building Renovation Agreement has been attached. It is important to note that
the agreement outline includes a provision for the City Commission's consideration that provides that
the City of Salina would advance the net present value of the $50,000/year naming rights income
stream in order to facilitate STA's renovation of the building. Sponsors of prior Public Private
Partnerships such as the Field House and Dean Evans Stadium Renovations were able to secure bank
lending based upon pledges they had secured. STA has indicated this may be difficult for them and
that it would significantly reduce the net present value due to current interest rates. In the event that
the City Commission is receptive to such an approach, the actual amount to be advanced is negotiable
at the discretion of the City. Staff has consulted the City's financial advisor who has prepared the
attached spreadsheet of estimated funding amounts based upon City borrowing rates and reflecting
interest rates ranging from 3.00% to 6.00%.
The following agreement summary with Salina Tennis for the funding and construction of the tennis
building is being developed.
Summary of Provisions in Proposed Agreement Relating to the Funding and Construction of Tennis
Building
• Salina Tennis Alliance has proposed certain improvements with a phased construction plan for
the interior and exterior of the building, including bathrooms, roofing, office space and
concession area.
• The Salina Tennis Alliance has secured a naming rights arrangement for the tennis facility with
JRI Inc., under which JRI will pay $500,000 over ten years in exchange for exclusive naming
rights to the facility.
• Salina Tennis Alliance and the City's obligations under this agreement are contingent upon the
City's approval of a naming rights agreement with JRI Inc.
• Payments will be provided by JRI to the City of Salina in the amount of $50,000 per year for 10
years totaling $500,000.
• The facility would be named "JRI Hospitality Salina Tennis Center"

A RESOLUTION REPEALING RESOLUTION NUMBER 06-6343 ADOPTING
THE "CITY OF SALINA MUNICIPAL FACILITIES NAMING GUIDELINES" FOR THE
CITY OF SALINA KANSAS.
WHEREAS, prior to 2007, the City of Salina did not have a policy or adopted guidelines
for the naming of public facilities; and
WHEREAS, on January 8, 2007 the City Commission adopted Resolution Number 06-
6343, adopting the "City of Salina Municipal Facilities Naming Guidelines"; and
WHEREAS, since that time it has been determined that certain revisions to the original
facility naming guidelines are needed.
SO NOW THEREFORE
BE IT RESOLVED by the Governing Body of the City of Salina Kansas
Section 1. The amended City of Salina Municipal Facilities Naming Guidelines
document dated October 9, 2017 and attached hereto is hereby adopted.
Section 2. The amended guidelines as adopted shall be used as a foundation and guidance
for city government naming of municipal facilities.
Section 3. This resolution allows for limited editing discretion by City Staff for future
modifications that do not affect specific processes or the overall intent of the guidelines.
Section 4. Any substantive deviation from these guidelines will be reviewed by the City
Commission and requires their concurrence.
Section 5. Amendments or variances may be considered from time to time by the City
Commission as deemed necessary to best meet the public interest. Such actions may be formal
amendments to the guidelines or case -by -case -variances as approved by the City Commission.
Section 6. That the existing Resolution Number 06-6343 is hereby repealed.
Section 7. That this resolution shall be in full force and effect from and after its adoption.

Municipal Facility Naming Guidelines
SECTION I: PURPOSE
The purpose of these guidelines is to provide clear guidance for the naming of
municipal facilities to ensure their proper identification for public utilization. It
also intends to provide a means to recognize contributing individuals or
organizations; individuals of particular significance; and local resources,
landmarks or identifiable community characteristics.
SECTION II: APPLICATION
The City Commission reserves the right to address the naming of any municipal
facility in accordance with these guidelines and any other applicable laws,
contractual obligations or legal restrictions. Unless otherwise provided for, the
naming rights of a municipal facility shall cease upon the transfer of ownership
from the City.
These guidelines shall apply to all municipal facilities as defined herein and may
be amended by the City Commission at any time.
SECTION III: DEFINITIONS
Municipal Facility: Any property, street, park, ball field, building, portion of a
building, bridge, parking lot, plaza, physical structure or component contained
therein that is either owned by the City or in which the City has retained naming
rights. For purposes of these guidelines, streets shall not be considered a
Municipal Facility.
Naming Action: A naming action is the City Commission authorization of a
naming request by passage of a naming resolution.
Naming Initiative: A naming initiative is a request or petition to name or rename
a municipal facility.
Naming Petition: A naming petition is a signed petition in a form approved by the
City Clerk that represents 300 registered voters from within the city of Salina.
Qualified Municipal Facility: A qualified municipal facility is a municipal facility
formally declared by the City Commission as qualified for naming.
Related Board. A related board is any board, committee, or commission that is
created to provide assistance or advice to a related function.
Related Function: A related function is any municipal department or division that
has a primary functional relationship to programming, operations or maintenance
of a municipal facility.

Municipal Facility Naming Guidelines
Significant Contribution: A significant contribution is any financial contribution or
contribution of property, plant, or equipment that is determined by the governing
body to significantly impact the ability to construct, operate and/or maintain a
municipal facility, or that is considered to generate a significant revenue source
to the City.
SECTION IV: POLICY GUIDELINES
1. Municipal Facility Naming Rights Reserved
The City reserves the right to rename or remove the designated name of any
municipal facility unless otherwise and specifically provided for by this policy,
applicable contractual obligations or legal restrictions. No facility shall be
considered officially named unless by a naming action of the City
Commission. No proposed naming initiatives shall be considered unless in
full compliance with this policy.
2. Timing and Duration of Municipal Facility Naming
A municipal facility may be named at its inception or at any other time as
established by the City Commission and in accordance with this policy.
3. Qualified Municipal Facility Designation
A municipal facility may be designated as a qualified municipal facility at any
time. Obtaining this designation is encouraged at the construction or
acquisition stage of a municipal facility. A qualified municipal facility
designation may be changed at any time, with the following restriction. Once
a formal action regarding the qualified status of a municipal facility has been
taken by the City Commission, a change in designation shall not be
considered for at least one (1) calendar year.
5. Naming Petitions
All naming petitions must be submitted in an approved form as provided by
the City Clerk's Office. The City Clerk shall also review submitted naming
petitions and provide verification to the City Commission as to their
compliance with this policy.
6. Public Input
To ensure and encourage public involvement, every effort shall be made by
staff to inform the public and those directly interested in a naming initiative of
this process, and all applicable public hearings and meetings.
7. Acceptable Naming Options and Application
a) Municipal Naming — This refers to the traditional naming of a facility for the
sole purpose of public identification (i.e., City of Salina Soccer Complex).
Municipal naming requires no naming petition, may be applied at any time
and is to be used at the inception of the municipal facility or when no
name exists.

b) Philanthropic Naming — This refers to a person(s) or philanthropic
organization providing a significant contribution towards a municipal facility
of the City. This action requires no naming petition if the naming initiative
is directly related to and coordinated with the proposed contribution. In all
other circumstances, a naming petition is required.
Prior to commencing a philanthropic naming initiative which intends to
solicit donations from a broad donor base, the sponsoring person(s) or
philanthropic organization shall first develop a naming plan that must be
formally approved by the City Commission. The naming plan shall include
the facility and/or facility areas to be named, the target donation amount
for the facility and each named area, a description of the facility naming
concept to be used, an inventory of any donor stipulations to be proposed
to the City and an overview of the approach to donor solicitation. The
approved naming plan shall be shared with potential donors prior to donor
solicitation.
c) Honorary Naming — This refers to a person of local, regional or national
significance. This action requires a naming petition. For honorary
naming, the credentials, character and reputation of the individual for
whom the naming of is being considered shall be appropriately
scrutinized. As such, nominations submitted for consideration must be
accompanied by appropriate supporting documentation.
d) Landmark Naming — This refers to a local resource, landmark or
identifiable community characteristic (i.e., Smoky Hill Museum) that is to
be identified. It requires no naming petition if used at the construction or
acquisition stage of the municipal facility, to replace a traditional municipal
name or when no name exists. In all other circumstances, a naming
petition is required.
e) Commercial Naming — This refers to a private business entity providing a
significant contribution towards a municipal facility of the City. This action
requires no naming petition if the naming initiative is directly related to and
coordinated with the proposed contribution. In all other circumstances, a
naming petition is required.
In order to ensure proper facility identification for the public, all municipal
facility names shall include a facility identifier (i.e., NAME Fleet Maintenance
Facility, NAME Park, or NAME Meeting Room). In addition, no person or
entity shall be considered for the naming of more than one municipal facility,
unless expressly authorized by the governing body.

8. Design and Funding of Municipal Facility Physical Name Application
The physical name plan shall be approved by the City Commission prior to its
application or installation. The design shall take into consideration proper
scale and aesthetic appeal, capital and operational cost, facility installation
impacts, facility aesthetic appeal, facility functionality, maintenance impacts,
and applicable zoning laws and building codes. Subject to the discretion of
the City Commission, funding may be from a combination of sources including
local fundraising activities, public funds and private contributions.
SECTION V: NAMING PROCEDURE
Designation as a qualified municipal facility is required prior to commencement of
the naming procedure.
NAMING STEP #1
Upon receipt of a naming initiative for any municipal facility that has not already
been declared a qualified municipal facility, the City Commission shall make a
determination regarding the municipal facility's qualified naming status within
twenty-one (21) calendar days of receipt of the naming initiative. This action
shall be taken prior to any City Commission or related board review regarding the
merits of a naming initiative.
NAMING STEP #2
Within fourteen (14) calendar days of receipt of a naming initiative for a qualified
municipal facility, the City Clerk's Office shall prepare a written verification as to
compliance of the naming initiative and naming petition (if applicable) with these
guidelines. The verification shall be provided to the City Commission and related
board, if applicable, for review during their consideration of the naming initiative.
This verification shall be provided prior to any City Commission or related board
review regarding the merits of a naming initiative.
NAMING STEP #3
Within forty-five (45) calendar days of receipt of a naming initiative for a qualified
municipal facility, the related board shall review the naming initiative and make
an advisory recommendation to the City Commission. Notice of the meeting
shall be published not less than seven (7) calendar days in advance of the
scheduled meeting date. The related board shall be designated by the city
manager. If multiple boards have a direct, functional relationship to the qualified
municipal facility, the board with the most direct functional relationship shall serve
as the related board.
NAMING STEP #4
The City Commission shall conduct a public hearing and consider the naming
initiative for a qualified municipal facility within thirty (30) calendar days of
receiving a recommendation from a related board or from receipt of the naming

initiative if no related board exists. Notice of the public hearing shall be
published not less than seven (7) calendar days in advance of the scheduled
public hearing date. Upon consideration, the City Commission shall:
Review the City Clerk's verification as to compliance of the naming initiative
and naming petition (if applicable) with these guidelines;
Review the merits of the naming initiative and supporting documentation as
provided, including a review of the existing name and any applicable history
or other information deemed pertinent to the request; and
Take action regarding the municipal facility naming initiative, including but
not limited to: approval, denial, amendment of the request, postponement
of action for further consideration, or sending the initiative back to a related
board for further discussion.
NAMING STEP #5
Upon approval of a naming action by the City Commission, the naming
sign/plaque design, funding plan and use of staff resources shall also be formally
approved by the City Commission prior to commencement of the physical name
change.

A RESOLUTION DECLARING ALL AREAS BETWEEN KENWOOD DRIVE AND
MIDWAY DRIVE IN KENWOOD PARI( TO BE CONSIDERED AS A QUALIFIED
FACILITY UNDER THE CITY OF SALINA MUNICIPAL FACILITIES NAMING
GUIDELINES.
WHEREAS, on January 8, 2007 the City Commission adopted Resolution Number 06-
6343, which adopted the "City of Salina Municipal Facilities Naming Guidelines"; and
WHEREAS, the Parks and Recreation Advisory Board has shown support for a new tennis
facility at Parks and Recreation Advisory Board meetings on September 19`x', 2018, March 20"',
2019 and October 21", 2020; and
WHERAS, the City Commission discussed the future of Salina tennis and the condition of
the existing tennis courts and working with a private group to raise hinds for a new complex on
August 20, 2018; and
WHEREAS, The Parks & Recreation Department and Salina Net Generation wishes for all
areas between Kenwood Drive and Midway Drive be eligible for naming rights in an effort to raise
funds for a new tennis complex
SO NOW THEREFORE,
BE IT RESOLVED by the Governing Body of the city of Salina, Kansas:
Section 1. That all areas of Kenwood Park between Kenwood Drive and Midway Road are
considered qualified facilities for naming rights under the "City of Salina Municipal Facilities
Naming Guidelines.
Section 2. That the City Clerk is hereby directed to prepare a written verification as to the
compliance of the naming initiative and provide such verification to the City Commission and
applicable related boards for review during their consideration of the naming initiative.
Section 3. That this resolution shall be in full force and effect from and after its adoption.

WHEREAS, on October 9, 2017, the City Commission adopted Resolution Number 17-7481,

$ WHEREAS, the City Commission discussed the future of Salina tennis and the condition of the

existing tennis courts and working with a private group to raise funds for a new complex on August
20, 2018; and
WHEREAS, on November 23, 2020, the City Commission adopted Resolution Number 20-7903
declaring all areas located between Kenwood Drive and Midway in Kenwood Park to be considered
as a "qualified" facility for naming purposes; and
WHEREAS, On March 1, 2021, the City Commission approved Resolution #21-7937 which
expressed the intent of the governing body to accept its conceptual support for the objectives of a
proposal by Salina Net Generation to enhance the tennis experience in the City of Salina and to
enter into a public-private partnership; and
WHEREAS, Salina Net Generation has since established a 501(c)(3), not-for-profit entity under the
name Salina Tennis Alliance, Inc.; and
WHEREAS, On August 23, 2021, the City Commission authorized the City Manager to execute an
agreement with Salina Tennis Alliance relating to the funding and construction of tennis facilities in
Kenwood Park; and
WHEREAS, fundraising commitments to date from naming rights and donations by Salina Tennis
Alliance is $1,724,673.00 combined with a $600,000.00 commitment from the City of Salina result
in $2,324,673.00 of funding available for construction; and
WHEREAS, bids have been received for the construction of 12 lighted tennis courts, shelter house,
hitting wall, parking, drop off lane and fencing at an estimated cost of $2,276,000.00; and
WHEREAS, on January 5, 2022, the Parks and Recreation Advisory Board published the notice of
a meeting to consider naming of a municipal facility as required by the City of Salina Municipal
Facility Naming Guidelines; and
WHEREAS, on January 7, 2022, a naming request application was filed; and
WHEREAS, the city clerk has verified the application and the petition is in compliance with the
City of Salina Municipal Facilities Naming Guidelines; and
WHEREAS, the Salina Tennis Alliance has submitted the attached naming proposal; and
WHEREAS, it is the intent of Salina Tennis Alliance to purchase, place and install signage and
memorial items in keeping with the attached proposal; and
WHEREAS, final details remain to be resolved by Salina Tennis Alliance regarding signage,
memorial design and placement; and
WHEREAS, on January 12, 2022, the Parks and Recreation Advisory Board recommended to the
City Commission to approve the naming initiative of a municipal facility as required by the City of
Salina Municipal Facility Naming Guidelines; and
WHEREAS, on January 24, 2022, the City Commission held a public hearing and accepted citizen
input on the request. SO NOW THEREFORE,
BE IT RESOLVED by the Governing Body of the city of Salina, Kansas:
Section 1. That amenities including courts, shelters and facilities at the new Salina Tennis Complex
will be named as reflected in the attached plan.
Section 2. That the approval of the final signage plan is hereby delegated to the City Manager or
their designee.
Section 3. That this resolution shall be in full force and effect from and after its adoption.

OUTLINE OF AGREEMENT
Relating to the Funding and Construction of Tennis Building
Parties: City of Salina, Kansas ("City")
Salina Tennis Alliance, Inc. ("STA")
Recitals
1. Acknowledgment of the 2021 Funding and Construction Agreement ("Original Agreement"),
and the parties' performance and completion of the project.
2. Acknowledgment of (i) City's commitment in the Original Agreement to fund up to $82,600
to make the former bathhouse building ("Building") "serviceable"; and (ii) City's realization
of cost savings during demolition of pool and rodeo facilities.
3. Acknowledgment that in addition to making the Building serviceable, it is likely that the City
would need to make certain repairs and maintenance on the roof, and the City is willing to
contribute fiends toward the roof repairs and maintenance.
4. Acknowledgment of the 2022 Management Agreement and STA's role in operating facility.
Acknowledgment that STA has proposed certain improvements to the Building, including
dedicated office space, concession area, higher quality bathroom finishes, etc.
6. Acknowledgment that STA has secured a naming rights arrangement for the tennis facility
with JRI, under which JRI will pay the City the sum of $500,000 over ten years in exchange
for exclusive naming rights to facility for a period of ten (10) years.
7. Acknowledgment that STA has employed the services of an architect to design the proposed
Building improvements and has provided cost estimates.
8. Acknowledgment that the estimated cost of the Building improvements proposed by STA
exceeds the combination of City funds and current sponsorships.
9. Acknowledgment that STA had developed and proposed a phased construction plan as further
detailed.
10. Acknowledgment that City conditionally agrees to contribute up to $175,000 toward funding
the Building project, comprised of approximately $33,500 of cost savings on demolition
expenses and $70,000 of deferred expenses on bathroom renovations plus an additional
$71,500 in consideration of the required roof repairs,.
11. Acknowledgement that the City agrees to advance an additional $400,000 representing the net
present value of the City's anticipated proceeds from the acquisition of naming rights by JRI
for a period of ten (10) years.
12. Acknowledgment that STA intends to raise funds in the amount of $ , for purposes
of funding the proposed improvements to the Building.
Agreement
1. Desil4n and Construction. STA agrees to design, independently contract for construction,
and fund the cost of the improvements to the Building, as described in the plans and specifications
to be attached to the agreement between the parties (the "Building Project"), subject to the terms
and conditions of the agreement. The parties acknowledge that STA intends to apply for a grant
from the Kansas Department of Commerce, which, if approved, would enable STA to expand the
scope of the Building Project. Accordingly, the plans and specifications attached to the agreement
shall describe the base Building Project, along with the potential expanded scope of work to be
pursued if STA is awarded a grant from the Kansas Department of Commerce.
2. Project Cost. The parties acknowledge that design and construction of the base Building
Project is estimated to cost a minimum of $ . The potential expanded scope
of work for the Building Project, to be funded by the grant from the Kansas Department of
Commerce, if awarded, would result in the design and construction of the Building Project costing
an estimated $
3. City Participation in BuildinI4 Project. For purposes of fulfilling its original commitment
to fund up to $82,600, and in consideration of STA's proposed contribution, the cost savings
realized by City in connection with the demolition of the pool, likely roof repair expenses to be
incurred by the City and the anticipated proceeds to be received by the City under the naming
rights agreement with JRI, the City agrees to participate in funding a portion of the Building Project
in the maximum amount of $175,000 ("City's Contribution"). The City's Contribution shall be
released by the City to pay for or reimburse a portion of the Building Project costs, on the basis of
monthly invoice submissions to the City evidencing the satisfactory performance of the work for
which payment or reimbursement is sought.
4. STA's Funding. STA agrees to exclusively fund the difference between the cost of the
Building Project and the City's Contribution. STA will pursue contributions, grants and/or private
financing to fund its portion of the Building Project.
5. Naming Rights AlZreement; Proceeds. STA's and the City's obligations under this
Agreement shall be contingent upon City's approval of a naming rights agreement with JRI, in a
form negotiated by City and JRI, under which JRI will pay the City $500,000 over ten years in
exchange for exclusive naming rights to tennis facility for a period of ten (10) years.
6. Availability of Funds as Condition Precedent to Construction. As a condition
precedent to STA entering into a contract with a contractor for construction of the Building Project
pursuant to this Agreement, STA and any bank(s) backing pledges with lines of credit must
collectively provide to City written certification of the amount and availability of funds raised,
qualified, and committed by STA for utilization toward the cost of the Building Project, in the
amount of no less than the amount of the general contractor's proposal for construction of the
Building Project (including at least a 5% contingency), less the City's Contribution.
7. Timeline. The parties agree to the following timeline for finding and constructing the
Building Project:
STA's certification of funds: No later than , 2023
Commencement of construction: No later than , 2023
Completion of construction: No later than , 2023
8. City's Reserved Right. If STA is unable to obtain funding or to commence and complete
construction of the Building Project, City shall have the right, in its discretion, to notify STA that
it intends to terminate this Agreement and independently proceed with performance of the work
necessary to make the Building serviceable and to repair the roof on the Building. If City proceeds
under this section, City commits to spending up to $175,000 to complete the work.
9. City's Right to Receiving Naming Rights Proceeds; Use of Funds. If City terminates
this Agreement pursuant to Section 8 above, then City shall be entitled to exclusively receive and
retain all proceeds from the JRI naming rights agreement. In such case, City agrees to utilize the
funds for general improvements and repairs to the Building or site, in addition to the City's
commitment to spend up to $175,000 pursuant to Section 8.
10. Funds Management. STA shall maintain a segregated project account to be funded with
STA funds to pay for design and construction costs of the Building Project and shall maintain
records and accounting consistent with the terms of the Original Agreement.
11. Construction Responsibility. Design and construction of the Building Project shall be
conducted under the administrative oversight of the city manager in consultation with
representatives of STA. The STA representatives will meet and confer with the city manager as
frequently as needed. The Parties acknowledge City's final discretionary authority regarding
matters of design and construction as the ultimate owner of all components of the Building Project.
The design, construction and installation of the Building Project shall comply with the terms and
conditions of the Original Agreement, as applicable.
12. RFP Process and Contracting.
13.1. STA as Contracting Party; Process. STA shall serve as the contracting entity for
purposes of contracting for design and construction of the Building Project, generally subject to
the same terms, conditions, and request for proposals process as agreed by the Parties with respect
to construction of the tennis courts under the Original Agreement; provided, however, that the
Selection Team for evaluation of responses to the RFP shall consist of a representative of each of
STA, JGR, and City.
13.2. Contract Document Requirements. All contracts entered into by STA for work to
be performed as part of the Building Project must include as an attached addendum to the contract
the form "Addendum to Contract" attached to the Original Agreement.

13.3. Dedication to City Upon Completion. Upon completion, STA shall dedicate the
completed Building Project to City. STA agrees to assign to City all warranties and maintenance
contracts associated with the Building Project at the time of City's acceptance.
13. Access and Maintenance During Construction. The parties rights and obligations with
respect to access to and maintenance of the Building and Building Project during construction shall
be substantially similar to the terms and conditions set forth in the Original Agreement.
14. Ownership, Operations, and Maintenance.
14.1. Ownership and Control. Following construction and acceptance, the Building shall
remain under the ownership and control of City, subject to STA's rights and obligations under the
Management Agreement.
14.2. Management. Following acceptance by City of the Building Project, the Building
shall be managed and operated by STA in accordance with the terms and conditions of the
Management Agreement.
14.3. Maintenance. STA shall maintain the Building in accordance with the terms and

15. General Terms. The agreement shall be subject to such other general terms and conditions
