ITEM:
Conduct a public hearing and approve Resolution #22-8017 for the philanthropic naming initiative for
construction of a future tennis complex by Salina Tennis Alliance in agreement with the City of Salina.
BACKGROUND:
Resolution #17-7481 was adopted on October 9, 2017 to specifically address Municipal Facility Naming
Rights. The approved guidelines are used for the naming of City of Salina Municipal Facilities. The five
step process is listed in its entirety below.
The Salina Parks and Recreation Master Plan was adopted by Resolution #18-7581 on July 23, 2018
and it included a concept to convert the former Municipal Swimming pool site to a tennis center.
A study session was provided to the City Commission on August 20, 2018 where the first presentation
on a future tennis center was given by the Salina Tennis Group.
On November 23, 2020 the City Commission approved Resolution #20-7903 which declared the area
between Kenwood Drive and Midway Drive in Kenwood Park as a qualified facility under the City of
Salina Municipal Facilities Naming Guidelines. The naming initiative from Salina Tennis Alliance is
considered a philanthropic naming due the organization's not-for-profit status.
On March 1, 2021, the City Commission approved Resolution #21-7937 which expressed the intent of
the governing body to accept a proposal by Salina Net Generation to enhance the tennis experience
in the City of Salina. Salina Net Generation has since established a 501(c)(3), not-for-profit entity
under the name Salina Tennis Alliance, Inc.
On August 23, 2021, the City Commission authorized the City Manager to execute an agreement with
Salina Tennis Alliance relating to the funding and construction of tennis facilities in Kenwood Park.
On January 7, 2022, the City Clerk's Office provided written verification of the compliance of the request
for the philanthropic naming initiative from Salina Tennis Alliance.
On January 12, 2022, the Parks and Recreation Advisory Board reviewed the naming initiative and
made a recommendation to the City Commission to approve the naming initiative request. Public notice
of the Advisory Board Meeting was published on January 5, 2022.
On January 13, 2022, public notice of the Salina Tennis Alliance naming initiative before the City
Commission was published.
Naming Initiative Steps
NAMING STEP #1
Upon receipt of a naming initiative for any municipal facility that has not already been declared a
qualified municipal facility, the City Commission shall make a determination regarding the municipal

facility's qualified naming status within twenty-one (21) calendar days of receipt of the naming initiative.
This action shall be taken prior to any City Commission or related board review regarding the merits of
a naming initiative.
NAMING STEP #2
Within fourteen (14) calendar days of receipt of a naming initiative for a qualified municipal facility, the
City Clerk's Office shall prepare a written verification as to compliance of the naming initiative and
naming petition (if applicable) with these guidelines. The verification shall be provided to the City
Commission and related board, if applicable, for review during their consideration of the naming
initiative. This verification shall be provided prior to any City Commission or related board review
regarding the merits of a naming initiative.
NAMING STEP #3
Within forty-five (45) calendar days of receipt of a naming initiative for a qualified municipal facility, the
related board shall review the naming initiative and make an advisory recommendation to the City
Commission. Notice of the meeting shall be published not less than seven (7) calendar days in advance
of the scheduled meeting date. The related board shall be designated by the City Manager. If multiple
boards have a direct, functional relationship to the qualified municipal facility, the board with the most
direct functional relationship shall serve as the related board.
NAMING STEP #4
The City Commission shall conduct a public hearing and consider the naming initiative for a qualified
municipal facility within thirty (30) calendar days of receiving a recommendation from a related board
or from receipt of the naming initiative if no related board exists. Notice of the public hearing shall be
published not less than seven (7) calendar days in advance of the scheduled public hearing date. Upon
consideration, the City Commission shall:
Review the City Clerk's verification as to compliance of the naming initiative and naming petition
(if applicable) with these guidelines;
• Review the merits of the naming initiative and supporting documentation as provided, including
a review of the existing name and any applicable history or other information deemed pertinent
to the request; and
• Take action regarding the municipal facility naming initiative, including but not limited to:
approval, denial, amendment of the request, postponement of action for further consideration,
or sending the initiative back to a related board for further discussion.
NAMING STEP #5
Upon approval of a naming action by the City Commission, the naming sign/plaque design, funding
plan and use of staff resources shall also be formally approved by the City Commission prior to
commencement of the physical name change.

This leads to proposed action for the remaining steps #4 and #5 to be completed for the Salina Tennis
Alliance naming with the final signage plan approval delegated to the City Manager or designee.
The new tennis complex will increase economic impact, much like the Salina Fieldhouse does and
eliminate the significant funding that would need to go into renovating the existing courts in the Parks
and Recreation tennis system.
Public/private partnerships have been used very successfully in Salina in past projects. Dean Evans
Stadium, Magnolia Soccer Complex, Barkley Park, Salina Fieldhouse, the Joe Milbradt Pavilion, the
par 3 golf course and the downtown STAR Bond project are all examples of successful public/private
partnerships.
As stated before the City Commission authorized the City Manager to execute an agreement with Salina
Tennis Alliance relating to the funding and construction of tennis facilities in Kenwood Park. Per the
agreement, a cash contribution of $600,000 would be paid upon completion, inspection and approval
by the City of Salina.
Also, as previously stated, the attached Resolution declared the area between Kenwood Drive and
Midway Drive in Kenwood Park as a qualified facility allowing Salina Tennis Alliance to initiate
fundraising efforts to construct the tennis facilities. To date, Salina Tennis Alliance has committed funds
of $1,724,673 from the naming initiative and donations for the construction of the tennis facility.
Per the agreement, the old municipal swimming pool basin, pool pump house building and rodeo
grounds were removed at the expense of the City of Salina of an approved budget of $181,900. The
demolition work was completed at an expense of $149,520 resulting in a savings of $32,380.
Additionally, there is a budget of $82,600 for city facilities staff to make portions of the former indoor
pool building serviceable as restrooms and meet code.
The attached agreement with STA was prepared pursuant to the intent expressed in Resolution #21-
7937 and is very similar to the agreement utilized for the public private partnership with Salina Baseball
Enterprises regarding the Dean Evans Stadium improvements.
The design documents were prepared and bids were solicited by Salina Tennis Alliance at their
expense. Design and bid documents were subject to review and approval of City staff.
The bids documents were published by Salina Tennis Alliance on November 5, 2021 with a submission
deadline of December 16, 2021.
To summarize the scope of work in the attached Tennis Center Bid Documents for the proposed tennis
center include:
1. Site preparation for the construction of 12 new tennis courts.

2. Fencing, netting, posts, and all associated components for complete installation of 12 new tennis
courts.
3. Lighting for 12 new tennis courts.
4. Concrete sidewalks and slabs at various site areas for pedestrian access between our courts

6. Miscellaneous site utilities including electrical and plumbing for site use and maintenance.
7. Concrete parking area for 10 cars, including handicap parking.
8. A drop off drive and associated sidewalks.
9. Site fencing and associated gates for user and maintenance access.
The proposed alternates of the bid document are included in the above scope of work except alternates
#1, #5, and #7 which are to provide a 10' fence instead of a 12' fence and construct and light courts
#13 & #14.
A pre-bid Conference was held on Thursday, December 2, 2021 at 2:00 p.m. at the proposed tennis
center.
The bids were opened on December 16th at 2pm and the results for the scope of work were as follows:

FISCAL NOTE:
There is no cost associated with the City of Salina approving the resolution for the completion of the
naming initiative for the tennis complex.
The attached agreement with Salina Tennis Alliance provided for a selection team comprised of
representatives from Salina Tennis Alliance, Jones Gillam Renz Architects, The City of Salina and
USD305. The selection of general contractor shall be based upon the recommendation of the selection
team, subject to the approval of Salina Tennis Alliance and the City of Salina.
The selection team's criteria for evaluating bids included product, experience, references, warranty,
insurance, customer service, ability to meet project schedule and price.

Additionally, the attached agreement authorizes the City Manager to consent to Salina Tennis Alliance
to award the construction contract on behalf of the City of Salina.
The selection team has reviewed bids and recommended the low bid, Hutton Construction.
STA is prepared to enter in to a construction contract following approval of the naming rights which are
the basis of their fundraising efforts. Per Resolution #21-7937 and the agreement entered into with
Salina Tennis Alliance the City's participation in the cost of reopening the existing facilities on site, the
preparation of the site for tennis court construction, including demolition and contributing to the
construction project is $864,500. This is funded from the Sales Tax Parks Maintenance Funds and from
the Special Parks Fund.
RECOMMENDED ACTION:
Staff submits the following options for City Commission consideration.
1. Approve Resolution #22-8017 for the attached philanthropic naming initiative of the future tennis
complex by Salina Tennis Alliance.
2. Approve Resolution #22-8017 for the attached philanthropic naming initiative of the future tennis
complex by Salina Tennis Alliance with amendments as the City Commission deems
appropriate.
3. Postpone consideration of Resolution #22-8017 for the attached philanthropic naming initiative
of the future tennis complex by Salina Tennis Alliance to a specified date and time and provide
staff direction regarding additional information or amendments the City Commission would like
to request for their further consideration.
4. Vote to deny Resolution #22-8017 for the philanthropic naming initiative of the future tennis

WHEREAS, on October 9, 2017, the City Commission adopted Resolution Number 17-7481,

existing tennis courts and working with a private group to raise funds for a new complex on August

proposal by Salina Net Generation to enhance the tennis experience in the City of Salina and to

name Salina Tennis Alliance, Inc.; and
WHEREAS, On August 23, 2021, the City Commission authorized the City Manager to execute an
agreement with Salina Tennis Alliance relating to the funding and construction of tennis facilities in

WHEREAS, fundraising commitments to date from naming rights and donations by Salina Tennis
Alliance is $1,724,673.00 combined with a $600,000.00 commitment from the City of Salina result
in $2,324,673.00 of funding available for construction; and
WHEREAS, bids have been received for the construction of 12 lighted tennis courts, shelter house,
hitting wall, parking, drop off lane and fencing at an estimated cost of $2,295,000.00; and
WHEREAS, on January 5, 2022, the Parks and Recreation Advisory Board published the notice of
a meeting to consider naming of a municipal facility as required by the City of Salina Municipal
Facility Naming Guidelines; and
WHEREAS, on January 7, 2022, a naming request application was filed; and
WHEREAS, the city clerk has verified the application and the petition is in compliance with the
City of Salina Municipal Facilities Naming Guidelines; and
WHEREAS, the Salina Tennis Alliance has submitted the attached naming proposal; and
WHEREAS, it is the intent of Salina Tennis Alliance to purchase, place and install signage and
memorial items in keeping with the attached proposal; and
WHEREAS, final details remain to be resolved by Salina Tennis Alliance regarding signage,
memorial design and placement; and
WHEREAS, on January 12, 2022, the Parks and Recreation Advisory Board recommended to the
City Commission to approve the naming initiative of a municipal facility as required by the City of
Salina Municipal Facility Naming Guidelines; and
WHEREAS, on January 24, 2022, the City Commission held a public hearing and accepted citizen
input on the request. SO NOW THEREFORE,
BE IT RESOLVED by the Governing Body of the city of Salina, Kansas:
Section 1. That amenities including courts, shelters and facilities at the new Salina Tennis Complex
will be named as reflected in the attached plan.
Section 2. That the approval of the final signage plan is hereby delegated to the City Manager or
their designee.

WHEREAS, tennis is a historically important sport for the City of Salina, Kansas (the "City");
WHEREAS, Salina Net Generation and Unified School District No. 305 (the "Partners") have
presented a proposal to the City for a public-private partnership project to enhance the tennis experience
in Salina for local and visiting teams through upgrades to existing public facilities and construction of
new public tennis facilities at Kenwood Park and the reconstruction of existing public facilities in Jerry
Ivey Park (the "Proposal"); and
WHEREAS, through this resolution of intent, the Governing Body acknowledges and expresses
its appreciation for the extensive, locally -based vision and work represented by the Proposal; expresses
its conceptual support of the objectives of the Proposal; and directs city staff to make necessary
preparations for Governing Body approval of the City's participation in a public-private partnership
consistent with the Proposal and within parameters ultimately determined by the Governing Body to be
programmatically and financially prudent and feasible.
THEREFORE, BE IT RESOLVED by the Governing Body of the City of Salina, Kansas:
Section i. The Governing Body expresses its appreciation for the locally -based vision and work
represented by the Proposal.
Section 2. The Governing Body expresses its conceptual support for the objectives of the
Proposal and its desire to pursue a public-private partnership with Salina Net Generation and USD 305
for the enhancement of the tennis experience in Salina through the construction, operation, and
replacement of public facilities improvements consistent with the Proposal and within parameters

based upon:
1. The design, specifications, and projected cost of the proposed public facilities
improvements;
2. Private contribution projections relating to the Partners' construction costs;
3. Projected operations and maintenance costs;
4. Projected useful life of the improvements and projected replacement costs;
B. Document by written agreement(s) as necessary:
1. The respective roles and responsibilities of the City, the Partners, user groups, and
any entities to potentially be created in order to fulfill the objectives of the public-
private partnership;
2. The respective roles of the City and the Partners in plan review and approval;
3. Identification of project components for which a sealed bid process is warranted and
those for which an alternative process is found by the

SALINA TENNIS ALLIANCE, INC.
Relating to the Funding and Construction of Tennis Facilities in Kenwood Park
This Agreement dated effective August ly, 2021 (this "Agreement") is entered into
between the City of Salina, Kansas, a Kansas municipal corporation, ("City") and Salina Tennis
Alliance, Inc., a Kansas not-for-profit corporation, ("STA").
Recitals
A. A local association of tennis enthusiasts known as Salina Net Generation (SNG)
and Unified School District No. 305 ("USD305") presented a proposal to the City for a public-
private partnership project to enhance the tennis experience in Salina for recreational and
competitive tennis players through upgrades to existing public tennis facilities in Jerry Ivey Park
and construction of new public tennis facilities in Kenwood Park.
B. On March 1, 2021, the City Commission adopted Resolution No. 21-7937
expressing its conceptual support for the objectives of the SNG and USD305 proposal, expressing
the City's desire to pursue a partnership with SNG and the District within parameters ultimately
determined by the City Commission to be programmatically and financially prudent and feasible,
and authorizing staff to proceed with necessary preparations for the City's participation in such a
partnership.
C. STA has since been organized as the Kansas not-for-profit corporation to be utilized
for purposes of construction of the new public tennis facilities in Kenwood Park.
D. The City and STA intend by this Agreement to address the terms of the funding,
design, construction, and scheduling of a public tennis facility in Kenwood Park.
THE PARTIES, therefore, agree and covenant:
1. Kenwood Park Tennis Facility.
I.I. STA. STA agrees to design, independently contract for construction, and
fund the cost of a public tennis facility (the "Tennis Facility") within the portion of

Kenwood Park depicted on the attached and incorporated Exhibit A (the "Tennis Facility
Site"), subject to the terms and conditions of this Agreement. The attached and
incorporated Exhibit B depicts the proposed Tennis Facility. The attached and
incorporated Exhibit C, prepared by JGR Architects, outlines the estimated project costs
for a base project of 12 tennis courts with lights and add alternates for a 16 tennis court
project (the "Project").
1.2. City Participation in Site Preparation. The City agrees to participate in
the funding of Project in the maximum amount of $864,600, as follows:
• Up to $182,000 to demolish the exiting pool basin, pool building and filters,
and rodeo grounds stadium and arena
• Up to $82,600 to re -open existing buildings to be repurposed as part of the
Tennis Facility
• A $600,000 cash contribution toward funding the Project to be paid upon
completion, inspection, and approval by the City of 12 tennis courts, with
lighting.
1.3. Existing Buildings. Any existing buildings to be re -opened and repurposed
by the City will be renovated to a serviceable standard. The City and STA acknowledge
that STA may wish to propose privately funded improvements to existing buildings, subject
to review and approval by the City's goveming body.
2. STA's Funding. STA agrees to fund the cost of the Project in the following
manner.
2.1. STA's Funding Sources. The City acknowledges that STA has and will
continue to pursue contributions from persons desiring to support Salina's tennis tradition
as the means of funding the cost of the Project.
2.1.1. Funds on Account: Line -of -Credit -Backed Pledges. The City is
advised that contributions toward STA's funding of the Project are being
administered under both a project contributions account maintained by STA and a
provisional account with the Greater Salina Community Foundation ("GSCF")
under "Salina Net Generation" (collectively, the "Accounts"). The City is further
advised that certain of the private contributions toward STA's funding of the
Project are in the form of pledges payable over a period of years which are to be
backed by a bank line of credit upon which STA may draw in the form of a bank
loan payable by STA and secured by the pledges (the "Line of Credit").
2.1.2. Naming Rights. As part of its fundraising efforts, STA has
expressed its desire to offer naming rights for the Tennis Facility and components
within the Facility. STA acknowledges and agrees that the Tennis Facility is
subject to the City of Salina Municipal Facility Naming Guidelines, including a
five-step process contained in Resolution No. 17-7481 adopted October 9, 2017
(the "Naming Guidelines").

2.1.3 Required Certification of Availability of Funds as Condition
Precedent to Entering a Construction Contract. As a condition precedent to
execution of a contract with a general contractor approved by STA and the City for
construction of the Project, STA and any bank(s) backing pledges with lines of
credit must collectively provide to the City written certification of the amounts and
availability of funds raised, qualified, and committed by STA for utilization toward
the cost of the Project in the forms of (a) cash on deposit in the Accounts, and (b)
the Line of Credit; in the combined amount of no less than the amount of the general
contractor's proposal for construction of the Project (including at least a 5%
contingency), less the $600,000 cash contribution by the City toward funding the
Project (the "STA Funding"). Unless such certification is provided to the City,
STA shall not enter a contract with a general contractor for construction of the
Project.
2.2. Funds Manaeement
2.2.1. STA Project Account. STA shall maintain a Project Account to
be funded with the STA Funding to pay for design and construction costs of the
Project and shall maintain all necessary books, records and financial controls in
accordance with generally accepted accounting principles.
2.2.2. Accounting and Reporting. Following commencement of the
Project, STA shall provide the City with a monthly accounting of its Project
Account receipts, disbursements and cash -on -hand no later than the 15th of the
following month. STA shall not be required to identify any private contributors
when fulfilling the reporting requirement of this Section.
2.2.3. Audit. STA shall annually have prepared and submit to the City, at
a minimum, a cash and transaction audit of its Project Account by a certified public
accountant.
3. Design, Construction, and Installation of Improvements.
3.1. City Administrative Oversight. Design and construction of the Project
shall be conducted under the administrative oversight of the city manager in consultation
with representatives of STA. The STA representatives will meet and confer with the city
manager as frequently as needed. The Parties acknowledge the City's final discretionary
authority regarding matters of design and construction as the ultimate owner of the Project.
3.2. Compliance with Applicable Law; Permits. The design, construction and
installation of each component of the Project shall be in accordance with all applicable
laws, including but not limited to the City Code. STA shall obtain or shall cause to be
obtained all licenses, permits or other approvals required by any governmental authorities
to complete each component of the Project.
3.3. Project Management and Contracting.
3.3.1. STA as Contracting Entity; RFP Process; and Specialty
Subcontractors. STA shall serve as the contracting entity for purposes of
contracting for design and construction of the Project. JGR Architects ("JGR") has
been identified by STA as the privately funded source of design and construction
oversight services for the Project. STA will utilize a request for proposals ("RFP")
process under the direction of JGR to identify a general contractor to construct the
Project. The City and STA acknowledge that the technical aspects of tennis court
construction warrant the pre -qualification by JGR of specialty tennis court
contractors, subject to review and approval by the city manager, for listing in the
RFP as the required subcontractors from among whom a general contractor will be
required to subcontract for the specialty tennis court work to be performed in
construction of the Project.
3.3.2. General Contractor Selection Criteria. STA and the City agree
to utilize a selection team comprised of a representative of each of STA, JGR, the
City, and USD305 (the "Selection Team") for evaluation of responses to the RFP
based upon the following criteria, in no particular order:
• Product
• Experience
• References
• Warranty
• Insurance
• Customer service
• Ability to meet project schedule
• Price
• Other criteria as determined by the selection team.
3.3.3. General Contractor Selection. Selection of the general contractor
shall be based upon the recommendation of the Selection Team, subject to approval
by STA and the City.
For each component of the Project, STA shall serve in the lead role for each
of the following stages, subject to City review and consent at each stage:
• Development of the project design plans for recommendation to and
approval by the city manager;
• Preparation of a proposed budget;
• Solicitation of competitive proposals under RFP process;
• Contracting upon approval by STA's board of directors;
• Administration of the contract, change orders, or contract amendments;
• City inspection and acceptance of the improvements; and
• Final payment pursuant to the contract.

3.3.2. Contract Document Requirements. For the reason that the Project
is to be constructed on City -owned public property for ultimate acceptance and
ownership by the City, the general contract entered into by STA for construction of
the Project must include as an attached addendum to the contract the form
"Addendum to Contract" attached and incorporated as Exhibit D.
3.4. Access to Tennis Facility Site. The City grants a non-exclusive license (the
"License") to STA and its employees, contractors, agents, and volunteers for access to the
Tennis Facility Site as is necessary to construct the Project (the "Licensed Area") subject
to the following terms and conditions.
3.4.1. Maintenance and Control of Licensed Area. During construction
or installation of any component of the Project, STA and its employees, contractors,
agents, and volunteers shall maintain the Licensed Area in a safe and clean
condition and shall regularly remove debris and surplus material occasioned by the
work. STA (or its agents or its contractors if expressly delegated by written
contract) shall be responsible for site security and securing construction tools,
equipment, supplies, and materials left in the Licensed Area. STA shall consult
and coordinate with the City regarding construction scheduling to minimize any
interference with scheduled events in the vicinity of the Licensed Area,
3.4.2. Iniury to Persons or Damage to Property. The City assumes no
liability and no expense by reason of its grant of the License to STA, or STA's
construction of the Project. STA is solely responsible for any injury or damage
sustained by an persons or property resulting from any act or omission of STA or
its employees, contractors, agents, volunteers, or any other persons performing any
work in the Licensed Area on behalf of or under the direction of STA and shall
immediately notify the City's Risk Management Department at (785) 309-5705 in
the event of such injury to person(s) or damage to property.
3.5. Dedication to City Upon Completion. Upon completion of the Project by
STA and upon inspection and approval of the completed Project by the City, STA shall
dedicate the completed Project to the City.
4. Facilities Operations. Scheduling. and Maintenance.
4.1. Ownership and Control. The Parties acknowledge that following
construction, inspection, and acceptance by the City of the dedication of the Project by
STA, the Tennis Facility shall remain under the ownership and control of the City. As
such, the City shall at all times have the right to control and designate the uses and
scheduling of the Tennis Facility, subject to STA's scheduling priority referenced in
Section 4.2.
4.2. Scheduling Priority. Scheduling of use of the Tennis Facility will be a city
staff administrative function taking into consideration the priority of uses listed below and

with agreed upon dates for USD305, STA, and City submission of requested scheduling
for the upcoming year. While STA acknowledges city scheduling is a priority, the City
acknowledges that city scheduling can "backfill" USD305, STA, and STA endorsed
events, assuming there is enough flexibility left for public uses of the Tennis Facility
throughout the year. Once priority uses are calendared, other events will be added through
the year on a case-by-case basis.

4.3. Maintenance. STA agrees to assign to the City all warranties and
maintenance contracts associated with each component of the Project at the time of the
City's acceptance of the applicable improvement. As owner, the City acknowledges its
responsibility for ongoing maintenance of the Tennis Facility.
5. Administration of Agreement. All references in this Agreement requiring the City's
participation or approval shall mean the participation or approval of the city manager or the city
manager's designee, unless otherwise provided herein.
6.1
6. Separate Entity. It is understood and agreed that the City is an entity separate
from STA that no relationship of principal/agent or employer/employee exists between the City
and STA. Persons employed by the City shall be entirely and exclusively under the control,
direction and supervision of the City. All terns of employment, including hours, wages, working
conditions, discipline, hiring and discharging or any other term of employment shall be determined
by the City. While STA has agreed to participate for the general purpose of advancing the goals
of this project, nothing within this Agreement is intended to and will not constitute, create, give
rise to, or otherwise recognize a joint venture, or formal business association or organization of
any kind between the City and STA.
7. Assignment. The Parties acknowledge that participation under this Agreement is
based upon the unique nature and role of each of the Parties. Consequently, neither this Agreement
nor any interest in it shall be assigned or transferred by a Party.
8. Amendment. This Agreement may be amended from time to time upon the
approval of all of the Parties documented by a writing specifically stating the amended terns and
signed by an authorized representative of each of the Parties.
9. Default. If any Party fails to comply with any term of this Agreement within ten
(10) days after written notice to comply has been mailed by the non -defaulting Party to the
defaulting Party, such failure shall be deemed an immediate breach of this Agreement ("Event of
Default").
10. Remedies. Upon the occurrence of an Event of Default, the non -defaulting party
shall have the following rights and remedies, in addition to any other rights and remedies provided
under this Agreement or by law:
10.1. Termination. The non -defaulting Party shall have the right to terminate this
Agreement or terminate the defaulting Party's rights under this Agreement.
10.2 Other Remedies. The non -defaulting Parry may pursue any available
remedy at law or in equity (including specific performance) by suit, action, mandamus or
other proceeding to enforce and compel the performance of the duties and obligations set
forth in this Agreement, to enforce or preserve any other rights or interests of the non -
defaulting Party under this Agreement or otherwise existing at law or in equity and to
recover any damages incurred by the non -defaulting Party resulting from such Event of
Default.
11. Term. This Agreement shall commence effective upon its execution by all parties
and shall remain in effect until the expiration of all warranty periods for work performed in the
construction of the Project, unless otherwise terminated pursuant to the terms of this Agreement.
Any terms of this agreement intended to remain in effect beyond the stated term of this Agreement
shall remain in effect as may be required to fulfill the intent of such terms.
12. General Provisions.
12.1 Time. Time is of the essence in this Agreement and for the performance of
all covenants and conditions of this Agreement.
12.2 Non -appropriation. The Parties acknowledge that the City is subject to
Kansas cash basis laws, and that payment of the obligations of the City under this
Agreement can only be paid from appropriated funds legally available for such purpose.
Nothing in this Agreement shall be interpreted or construed as a commitment or
requirement that the City or the District obligate or pay funds in contravention of applicable
Kansas law.
12.3. Entire agreement. This Agreement constitutes the entire agreement
among the parties and supersedes all prior agreements and understandings pertaining
thereto, whether written or oral. No covenant, representation or condition not expressed in
this Agreement shall affect or be deemed to interpret, change or restrict the express
provisions of this Agreement.
12.4. Feminine -Masculine, Singular -Plural. Wherever used, singular shall
include the plural, plural the singular, and use of any gender shall include all genders.
12.5. Kansas Law —Interpretation. This Agreement and its validity, construction,
and performance shall be governed by the laws of Kansas. This Agreement shall be
interpreted according to its fair meaning, and not in favor of or against any party.
12.6. Notices. All notices required or permitted to be given pursuant to this
Agreement shall be in writing and delivered personally or sent by registered or certified
mail, return receipt requested, or by generally recognized, prepaid, commercial courier or
overnight air courier service. Notices shall be addressed as appears below for each party:

12.7. Invalidity in part. In the event that any condition, covenant or other
provision contained in this Agreement is held to be invalid or void by any court of
competent jurisdiction, the same shall be deemed severable from the remainder of this
Agreement and shall in no way affect any other condition, covenant, or provision herein
contained. In the event a provision is deemed invalid, the Parties agree to amend this
Agreement to include a new condition, covenant, or other provision that replicates as
closely as is legally possible under Kansas law the intent of the severed provision.

12.5. Authorized signatories. Each signatory executing this Agreement does
thereby represent and warrant to the other Parties that the signatory has been duly
authorized to deliver this Agreement in the capacity and for the entity for which the
signatory acts.
12.9. Headings. The headings of the sections of this Agreement are included for
the purposes of convenience only and shall not affect the interpretation of any provision of
this Agreement.
12.10. Venue. In the event of any legal action to enforce or interpret this Agreement,
the sole and exclusive venue shall be in the District Court of Saline County, Kansas.
12.11. Parties Bound. This Agreement shall extend to and bind the Parties and their
successors.
12.12. Waiver. No failure or delay by a Party hereto to insist on the strict
performance of any term of this Agreement, or to exercise any right or remedy consequent to
a breach thereof, shall constitute a waiver of any breach or any subsequent breach of such
term.
12.13. No Third Party Beneficiaries. Solely the parties to this Agreement shall
have rights and may make claims under this Agreement. There are no intended third -party
beneficiaries under this Agreement, and no third parties shall have any rights or make any
claims hereunder.
IN WITNESS WHEREOF, each of the Parties, by its duly authorized representative, has
executed this Agreement on the date shown below the representative's signature.

INSURANCE REQUIREMENTS SUMMARY
Pursuant to Section 3 of the Addendum, the Contractor shall obtain, pay for, and maintain —
and shall require each of its authorized subcontractors to obtain and maintain — for the duration of the
Contract, policies of insurance meeting the following requirements:
1. General Requirements.
A. Additional Insured. With the exception of the workers' compensation policy to be
obtained by the Contractor hereunder, all policies shall name the City of Salina ("City'), its agents,
representatives, officers, officials, and employees as additional insured(s). Insurance for the
additional insured shall extend to Products/Completed Operations and be as broad as the insurance
for the named insured, including defense expense coverage, and, with respect to the commercial
general liability policy required hereunder, shall be endorsed to apply as primary and non-
contributory insurance before any other insurance or self-insurance, including any deductible,
maintained by, or provided to, the additional insured(s).
B. Waiver of Subroeation. Where allowed by law, all policies will include a waiver
of subrogation in favor of the City, its agents, representatives, officers, officials, and employees.
C. Claims Made Policies. If coverage is written on a claims -made basis for any of the
policies required by this Addendum, the Contractor must maintain the coverage for a minimum of
two (2) years from the date of final completion of all work under the Contract.
D. Premium and Deductible Expenses. The Contractor shall be responsible for all
premiums and retention or deductible expense for any and all policies required by this Addendum.
2. Specific Coverage Requirements.
A. Commercial General Liability ("CGL"). The Contractor shall maintain CGL
coverage written on ISO Occurrence form CG00 01 or an industry equivalent, which shall cover
liability arising from Personal Injury, Bodily Injury, Property Damage, Premises and Operations,
Products and Completed Operations, Contractual Liability, Independent Contractors and
Advertising Injury. The policy limits shall not be less than the following:
• Each occurrence $1,000,000
• General aggregate $2,000,000
• Personal and Advertising Liability $1,000,000
The policy shall contain an endorsement that modifies the general aggregate to apply separately to
each project. The Contractor shall maintain the Products and Completed Operations liability
coverage for a period of at least two (2) years after completion of all work under the Contract.
B. Business Automobile Liability (`BAL"). The Contractor shall maintain BAL
coverage written on ISO form CA 00 01 or an industry equivalent. Coverage shall be applicable
to all autos and other vehicles subject to compulsory auto liability laws that are owned, hired,
rented or used by the Contractor and include automobiles not owned by but used on behalf of the
Contractor. The BAL policy limits shall not be less than the following:
• Combined single limit $1,000,000
C. Workers' Com�ensation/Emnlover's Liabilitv. The Contractor shall maintain
workers' compensation and employer's liability coverage with policy limits not less than the
following:
Workers' Compensation (Coverage Part A)
o Statutory
Employer's Liability (Coverage Part B)
o $100,000 each accident
o $500,000 disease — policy limit
o $100,000 disease —each employee
D. Builders Risk/Installation Floater. If the Contractor is a general contractor of STA
constructing all or a portion of the Improvements, Contractor shall maintain property insurance,
including coverage for the full repair and replacement, for the full insurable value of property being
installed, transported, and handled at the work site, temporary locations, and in transit. Such coverage
shall be written on a special causes of loss form, or an "all risk" form, and shall cover the perils of
water damage (excluding flood) and earthquake. The policy limits shall not be less than the following:
Property/Builders Risk Contract Cost
Transit and temporary locations 20% of contract cost
Engineer, architect or other professional fees 10% of contract cost
The policy shall also:
Include insurance for Boiler/Machinery Breakdown, including testing and start-up
operations, on a broad form basis;
Allow for partial utilization of the Work by the City; and
Include a provision that any loss will be adjusted with the City and made payable to the
City as a fiduciary for the insureds as their interest may apply.

Gabe Grant, the chairperson, asked for verification that notice had been sent for today's Parks & Recreation Advisory Board
meeting. Andrea Linder replied yes, it has.
2. Introduction of GUESTS: Mark Dinkel was present to talk about the Kenwood Park train. Clark Renfro and Frank Hampton
were present and representing the Salina Tennis Alliance.
3. Citizen Forum: There was none.

6. Activity Reports: Travis Scheele stated that he did provide the yearly tournament reports. "I did provide separate reports —
the Fieldhouse and outdoor. I can touch on a few things, COVID did affect us immensely, but we are trying to rebound and get
back to whatever normal is. I added a notes column this year to kind of highlight those. In the Fieldhouse, we did end up with 249
teams in 2021. We were at 337 in 2020, if you remember right, we were closed in March all the way through November. Those
337 teams were just in January and February of 2020, so that just shows you how busy the Fieldhouse is in those two months
alone."
Gabe asked if Travis expected the tournaments that are marked canceled or moved somewhere new to return to the Fieldhouse.
Travis replied to Gabe, "That's a really good question. I wanted to note that because they canceled here at the Fieldhouse, it
doesn't mean that it didn't exist, they just went elsewhere. I tried to keep up on it as much as possible, hearing where the
tournaments did go and noted if they went to Wichita or somewhere else here in Salina" Brad asked if those listed have
rescheduled for 2022. Travis replied that yes, most of them did reschedule. "Since COVID happened, I have experienced some
reshuffle, some wanting to go to a new weekend. But most want to come back and have that same specific weekend. We have
lost a couple tournaments that I know of, one of them was an HOA Volleyball, they went to Kansas City. I tried to get them back
for this year, but that did not happen. Same situation with a few user groups. During COVID, they found another place to use,
maybe they established one themselves. Taylor's Twirlers is one that comes to mind —she used to use the Fieldhouse, but then
established her own private studio."
Travis moved on to the outdoor tournament spreadsheet. "I think those numbers were effected by COVID. I did see some
reshuffling there as well. If you remember in 2020, outdoor tournaments were ran by an outside volunteer group so a lot
changed during that time. But most of the tournaments were back on their existing weekends in 2021. One thing I noticed is that
the number of Adult Slow Pitch tournaments dropped. We do have some rescheduled for this coming year."
Jim Fletcher asked Travis if they were working with the Chamber of Commerce in order to rebuild relationships there. Travis
replied yes, almost every day. Tiffany Benien stated that were are a few events that are coming back to the Fieldhouse this
month that would bring well over 1,000 people.
Brad stated that the Youth Tournaments are bouncing back pretty well. He asked Travis if he thought the Adult Tournaments
have a chance to come back. Travis stated "We're working on that—we have more scheduled this year than we have the
previous two years. We did lose a staff member during that time, but we've filled that position and he's been instructed to focus
and try to get some tournaments" Jim Fletcher asked if there is still a Recreational Adult Softball league. Travis replied yes, there
is. "We ran it in the Fall and we anticipate running it again next fall, maybe late summer. But because of the official shortage
we're experiencing, to battle Youth leagues and Adult Leagues at the same time in the Spring and Summer, we're very cautious of
what we're offering. We are currently running a Youth Basketball league in the Fieldhouse and it has traditionally been on
Tuesday nights with 4 courts running jammed packed. We're only running 2 courts right now on Tuesday and 2 courts on
Wednesday just due to the official shortage. Yours truly wore stripes for the first time in 20 years just because of the official
shortage."
7. New Business: a) Salina Tennis Alliance Naming Rights and Project —Jeff Hammond stated that the City of Salina has a
Naming Rights procedure policy. "There are 5 steps to the policy and one of the steps to the policy is to bring the naming
initiative to an appropriate board. The naming rights initiate is for the future Salina Tennis Complex which is located at the former
Municipal Pool. There is a public/private partnership with Salina Tennis Alliance and they are here today to present that naming
initiative"
Clark Renfro, with the Salina Tennis Alliance, spoke to the board. "The naming rights aspect of the project has been the key part
of our fundraising efforts. In 2019, we received a few large gifts to get us launched. In November 2020, we went in front of the
City Commission and they awarded us the approved resolution to declare all of Kenwood Park located in the parameters of
Kenwood Drive and Midway to be considered qualified under the City's naming guidelines. In March of 2021, the City provided
the resolution of support for the project and we, at that point, had raised $1.2 million for the project. Today we are at nearly $2
million raised towards the project through private funding. In August of 2021, we finally got the green light and signed a contract
with the City to build the courts and in September we began clearing the site where the former pool was and rodeo arena to
prepare for construction. This past December, bids went out and we have made that decision. We hope to have the courts in
place this Summer."
Clark went on to discuss the next steps in the process. "The overall support of this project has been overwhelming. We had
anything from $50,000 to half a million range for Facility Naming and then we also have matching doubles gifts where someone
can go in with a friend/neighbor. We think as the opportunity presents itself, we can truly call this a City of Salina Tennis Center.
There could be a large gift that comes through between now and construction that could change that, but as of right now, there
hasn't been a gift that large. We also have opportunities for concession stands and bleachers, those have not been taken, most of
what you'll see today are court's naming rights and the pavilion or shelter house. We would like to recognize all donors and will
have a donor wall. We are determining right now that looks to appear to be an outside wall of the building. Anyone who gives
over $500 will be included on the Donor Wall."
"There are going to be 12 courts with lights and this is an opportunity for the City of Salina to provide recreational opportunities
but also competitive opportunities, like holding tournaments for example. The lighting will be key so you can play pretty much
anytime of the day or night. Donors that secured court naming rights are Salina Regional Health Center, Long McArthur Lincoln
Black Label "Queen Jean", the Jack Wilson Family, Bennington State Bank, Capitol Federal, Kansas Wesleyan University, the
Rauchholz Family, the Renfro Family, the Rupe Family, and the Beatty Family. This makes 10 of the 12 courts spoken for. The plan
right now is to have the court donor's name inside the court and then also include the court number. The courts will be blue and
the outside will be green, which is very common in elite levels of tennis." Clark concluded his presentation by discussing the
inclusion of Ken Nordboe with the new complex. "As many of you may or may not know, the current tennis courts at Oakdale
Park are called the Ken Nordboe Tennis Facility. Ken was an advocate for tennis for many, many years and we wanted to
recognize him in some fashion and we talked with his family about possibly having a plaque or something to recognize his
contributions to the game in Salina"
Jim Fletcher thanked Clark and the Salina Tennis Alliance for all the work they've done. "The Donor walls all look pretty sharp —
the one I really like is the one where you can add to it. One of the things I would note is that it is a timeless project. Future
donations may be encouraged to keep this up. I would hate to see this built up and made really nice and then left alone for 30
years to start all over again." Clark replied, "I will say this, you're spot on. Salina Tennis Alliance was created to really handle the
contractual obligations to get the courts built, but also at the same time created to be an advocacy group for tennis, similar to
what Baseball Enterprises has been for a long time. They are very well organized and they've done a lot of good things. Tennis is
arguably been the strongest sport, if not one of the strongest, in the community for 60 plus years, but it's been that way through
volunteers and no formal entity. Through the Salina Tennis Alliance, we will have that opportunity to continue to raise funds and
continue to look after and take care of the facility so we're not in the same spot again. This is something that donors have
expressed as well — it's an investment."
Jim makes the motion to approve the proposed naming rights initiative by the Salina Tennis Alliance and recommends it to the
City Commission. 2nd: Brad (motion passed) 6-0
Jeff announced to the board that the City Commission meeting held on January 24th will have a study session of an operational
model of the Tennis Courts.
b) Bill Burke Bollards —Jeff advised the board on upcoming plans for Bill Burke Park. "We are getting baseball bollards installed in
the next few months at Bill Burke Park. Travis did a lot of work to find the best one and get the best prices. So we've ordered
those and there will be decorative baseball style bollards in Bill Burke Park. As many of you know, there are parking issues at Bill
Burke and these will hopefully prevent people from parking in non -parking areas and add some classy/decorative aspects to the
park as well." Travis followed up the conversation by stating, "We've had quite the discussions this last year on renovations for
Bill Burke and the issues we have out there, parking being one of them. We received some direction from the City Manager to
look into these bollards, for the decorative aspect to spruce it up a little bit, to help cure the parking issues we do have. The
facility is quite packed and we want to keep people safe as well as make it look nicer. They are quite heavy and we'll have to do
some concrete pads for them, so we've got some work still to do."
Matthew Smith asked if there will ever be more parking available at Bill Burke. Travis relied, "Well to answer your question, we
added two more stalls during this plan. There has been a lot of discussion about it and I share everyone's frustration about having
to walk all the way from the North to a game on the South end. It's something we would like to discuss more and make a
possibility in the future."
c) Peachjar Advertising —Travis stated that back in 2015/2016 he was running thousands and thousands of copies of flyers to
deliver to schools. Staff would have to divide the flyers into a certain number per classroom, for each school. When they
transitioned to Peachjar it helped immensely and cut back on time spent on getting information out to the public. "It was
paperless and we were trying to go that direction. Certainly during COVID, it was the right thing to do. We saw continued
participation when we went to Peachjar and even an increased number of participants. It was definitely a good resource for us to
advertise what we do have going on, program wise, or in the community. It was a good source to reach to the public. The source
was discontinued a year ago and we would like to reach out to the Advisory Board to see what your opinions were about
Peachjar and see if we could get that going again. I'll give you an example, our high school basketball program, we had upwards
of 24 teams and this year we have 4. Can we attribute that loss to COVID? Sure. But I truly believe it's because we can't get to
those students."
Bruce asked if this was a City thing or through the school district? Travis replied that there were a handful of organizations, like
the YMCA, that were giving their program information to the schools and the schools were share them with the parents signed
up to receive email alerts from the school district. "This was a paperless avenue that got that information directly to the parents.
This avoided the kids getting the old school paper flyer and it staying in their backpack and the parent never seeing it. We did pay
per school that our information went to."
d) Annual Board Training Presentation —Jeff presented the Citizen's Board Annual Reporting Report and let them know it's their
homework. "If you recall, we did a similar exercise where Morgan sent out the minutes from previous meetings through the year
and you went through and identified your top 3-5 accomplishments and goals for 2021. 1 would ask that you do it again, when
Morgan returns to the office I'm going to have her send a reminder next week. If I can get those back from you all the first part of
February, we will compile them and have them for your review and approval in Februarys packet."
Jeff then started going over the Training slides. "There is a yearly requirement and I'm not sure how consistent we've been in
doing so. This slide shows the different departments and different partnerships that the city has. Under Parks & Recreation, there
are 5 divisions: Recreation, Parks, Animal Services, Golf Course, and Facility Maintenance. The boards that fall under our
department are the Parks & Recreation Advisory Board, the Animal Control Advisory Board, and the Tree Advisory Board. There is
an attend policy and procedures that need to be followed in the event a member does not show up or is continually unable to
attend the meetings. Some of your responsibilities are attending the meeting and engaging in the conversations. There is also a
Youth Member spots available, however they are unable to vote and cannot make a motion. The City of Salina has an applicant
process on their website and anyone interested can apply to join the board. All members must abide by the Ethics Policy and a
copy of that resolution is available if anyone would like a copy. Some items covered in that policy include ex -parte
communication and conflict of interest. As we've talked about before, KOMA (Kansas Open Meeting Act) we are required to
make sure that the public is aware and has access to the meeting. We've also discussed the Kansas Open Records Act where we
have to have the meeting minutes and information available for anyone who would like that information. There will be a
document for you all sign saying that you've received this information and training, but I do not have that in front of me at this
time."
S. Old Business: Jeff asked if the Advisory Board would allow Mark Dinkel to speak before they continued with the Annual
Board Training information. "My name is Mark Dinkel and I am a train fan. I wasjust reading these minutes from the last meeting
and one of the ideas was to sell this locomotive that is over 120 years old for scrap. That really kind of bothered me because it's a
piece of history and there aren't very many of them left. If you look at steam locomotives, most of them were scrapped by
railroads, including entire classes. Current generations of railroad fans come to lament that. Union Pacific at one time had 100
Challenger Locomotives and now just two exist today. They saved the Big Boys and they were saved partly because of the
Challengers being scrapped. Ed Bailey, CEO of the Union Pacific, in the 1950's has the largest classification yard named after him.
His daughter was in North Platte one day and saw one of these Challengers sitting in a shop being used to melt snow at switch
points and was told that the Challenger was going to be scrapped the next day. She called her dad and he stated that as long as
he was President of the company, no steam locomotives would be scrapped again. That Challenger now sits in Cody Park in North
Platte, Nebraska. In my days of growing up, I remember there was a miniature train that was powered by coal in Kenwood Park.
Parents would take their kids over there and would go on rides. It would just be a shame for this Locomotive to just be sold for
scrap. I thought it's time to try and add this Locomotive to the National Register of historical places to grant it some kind of
protection from that type of disposition. The best disposition for that Locomotive, in my view, would be for Salina to acquire the
station and move the locomotive to that site and create an additional beacon of opportunity for this city."
9. General Announcements/Discussion: Rick Martin wanted to follow up of the information about the Kenwood Park Train.
"When I did present that, there was basically two options. I have a guy who is going to look at the train to see if there is any value
to it. This individual looks at it more to refurbish them, not necessarily to scrap them. Scrapping is an option I guess, but that
would be determined if we sell it or not sell it. I hope to have more information as soon as this individual comes to look it and we
get a better understanding of the situation"
Bruce asked how possible would it be to move the train, take ownership of the train station, and for volunteers to paint and
update the train. Rick replied anything is possible. "It would just need a new location to go to and some kind of financial backing
to get it there. You can't just load it up on a pickup truck and move it. There would just have to be a lot of steps and procedures
to try and do that. We aren't opposed to anything right now, it's just more here are some options we do have. We were looking
at anywhere between $11,000 and $14,000 to just put a fence around it to keep people off of it."

INVITATION TO BID
Sealed Bids, will be received by Salina Tennis Alliance, Salina, Kansas, for the furnishing of all labor and materials as
hereinafter specified for the construction of the New Tennis Complex. Proposals shall be delivered to the office of
JGR Architects, 730 North Ninth Street, before Thursday. December 16, 2021 at 2:00 a.m. Bids received after
this time will not be accepted. Bids will be opened in private session with the owner the same day.
1. PROJECT SCOPE
1. Site preparation for the construction of 12 to 14 new tennis courts.
2. Fencing, netting, posts, and all associated components for complete installation of 12 to 14 new
tennis courts.
3. Lighting for 12 to 14 new tennis courts.
4. Concrete sidewalks and slabs at various site areas for pedestrian access between our courts
5. Construction of a shelter/pavilion.
6. Miscellaneous site utilities including electrical and plumbing for site use and maintenance.
7. Concrete parking area forl0 cars, including handicap parking.
8. A drop off Drive and associated sidewalks.
9. Site fencing and associated gates for user and maintenance access.
2. PRE-BID CONFERENCE
Pre -Bid Conference will be held on Thursday. December 2, 2021 at 2:00 p.m. at building site, 800 The
Midway, Salina, KS.. Failure to attend may be grounds for rejection of bid. If special circumstances exist,
coordinate with project architect for possible arrangements.
3. COMPLETION TIME
Completion date for the project is to be bid in calendar days: To be Bid by Contractor and stated on the Bid
Form.
4. The GENERAL CONSTRUCTION CONTRACT will include General Construction, Site Utility, tennis
court construction, and Electrical Work combined into one Contract. General Contractor shall be responsible
for all work. Construction of tennis courts shall be performed by contractor specializing in tennis court
construction.
5. As a condition precedent to Contract Award, type of work completed and proposed Subcontractors will be
carefully considered. Owner is not obligated to accept lowest or any other bid. Reference the Information
for Bidders section of the Project Manual for evaluation criteria for contractor selection.

INFORMATION FOR BIDDERS
EXAMINATION
Before submitting their proposal, each Bidder shall carefully examine all documents pertaining to the
work, visit the site of the work, and inform himself as to all existing conditions under which the work
will be performed. Submission of a bid will be considered presumptive evidence that the Bidder is fully
aware of the conditions of the work, requirements of the Contract Documents, pertinent State and Local
codes, conditions of labor and material markets, and has made allowances in his bid for all work and all
contingencies. Contractors will not be given extra payments for conditions which can be determined by
examining the site and documents.
2. QUESTIONS AND INTERPRETATION OF DOCUMENTS
Should a Bidder be in doubt as to the meaning of any part of the Drawings, Specifications or other
proposed Contract Documents and/or find discrepancies in or omissions from the Drawings,
Specifications and Contract Documents, he shall contact the Architect immediately per Article 3,
Subparagraph 3.2.1 of the AIA General Conditions. Any interpretation of the proposed documents will
be made only by Addendum duly issued and copy of such Addendum will be mailed to each person
receiving a set of such documents. The Architect and Owner will not be responsible for any other
explanation or interpretation of the proposed documents.
3. GENERAL CONSTRUCTION BID
a. The General Construction proposal shall incorporate all of the departments of Work (General
Construction, Electrical, and Mechanical Work) into one (1) proposal.
Jt is preferred that General Contractors work with Prime subcontractors with whom they have
previous working relationships, including at least three previous projects of similar scope.
Contractor/Subcontractor experience and relationship may be considered by the owner in the
evaluation ofproposals and acceptance ofproposals.
b. The General Contractor shall assume all responsibility for supervision and coordination of the
Work.
C. The General Contractor shall furnish Performance and Payment Bonds in the full amount of the
Work (Total of General Construction, Electrical, and Mechanical Work).
d. The General Contractor shall carry and pay the premium covering the General Construction
Work, for Contractors and Subcontractors Insurance as specified in Supplementary Conditions of
the Contract.
4. BID PROCEDURE
a. Bids will be received at the time and place stated in the INVITATION TO BID. Bids received
after the time stated will be returned unopened.
b. No oral or telephonic proposals will be considered, but modifications by telegraph or fax of
proposal already submitted will be considered if received prior to time set for proposal opening.
C. A 5% Bid Security shall be included with the Proposal.
d. Any addenda issued during the time of preparation of proposals are to be acknowledged on the
Bid Form and in closing a Contract, they will become a part thereof.
e. Each Bidder is required to bid all alternates included in the Bid Form, except that should they
desire not to bid an Alternate, they may insert the words "No Proposal" in the space provided for
such Alternates. In such case, if it is determined to use such Alternate, the fact that the cost of
the material, type, or method proposal may be lower than that chosen shall not constitute the
basis of a claim by the Bidder that the Contract be awarded to him. If an Alternate Price called
for involves no change in price, Bidder shall so indicate by writing the words, "No Change" in

the space provided. Refer to Section 01019 -SPECIAL PROVISIONS. Each Bidder is required
to fill in all unit cost items shown on the Bid Form. Failure to comply may be cause for
rejection.
Proposals shall be submitted on the forms provided. All blank spaces on the forms shall be fully
completed in words as well as figures. Bid Forms must be signed in longhand, with name typed
below signature. Where Bidder is a corporation, Bid Forms must be signed with legal name of
corporation, followed by the name of the State of Incorporation, the legal signature of an officer
authorized to bind the corporation to a contract, Attest and Seal Impression. A copy of the Bid
Form is bound herein for the convenience of the Bidders and is not to be detached or filled out.
Separate Bid Forms, in triplicate, will be furnished to all Bidders.
g. Submittals of Bids shall be as follows:
1) Bids, together with Bid Security, shall be sealed in an opaque envelope, labeled
"SALINA TENNIS ALLIANCE, NEW TENNIS COMPLEX, SEALED PROPOSAL,
DO NOT OPEN" addressed to: SALINA TENNIS ALLIANCE, 1720 S OHIO ST.,
SALINA, KANSAS 67401. Proposals shall be delivered to the office of JGR
Architects, 730 North Ninth St. before 2:00 pm on Thursday, December 16, 2021.
Bids will be opened in private session with the owner the same day.
5. CONTRACT GUARANTEE
Successful Bidder must deliver to the Owner the following Bonds in an amount no less than 100% of the
accepted bid, as security for the faithful performance of the Contract.
a. Performance and Payment Bond as per General Conditions.
b. Statutory Bond, as required in Section 01019 - SPECIAL PROVISIONS.
6. WITHDRAWAL OF BIDS
A bid may be withdrawn on written or faxed request and by request of Contractor personally, received or
made prior to time fixed for proposal opening. No proposal may be withdrawn after opening of
proposals.
INTERPRETATION OF QUOTED PRICES
In case of a difference in written words and figures in a proposal, the amount stated in written words
shall govern.
8. EVALUATION OF PROPOSAL AND SELECTION CRITERIA
The owner will evaluate the following items in determining the successful bidder. The list is in
no particular order of weighted preference. The owner is under no obligation to accept the low-
costproposal.

9. DISQUALIFICATION
The Owner reserves the right to disqualify proposals, before or after opening upon evidence of collusion
with intent to defraud or illegal practices upon part of the Bidder. Bids will be opened as stated in the

1. To fumish labor and materials for additional work (except Mechanical and Electrical) ordered by the Owner and for
which no pre -agreed upon amount has been determined for the cost of the labor and materials involved plus 10% for
overhead and profit.
2. To furnish supervision and coordination for 10% of the cost of additional Mechanical and Electrical work ordered by
the Owner.
3. To accept the provisions of Section 01019 — SPECIAL PROVISIONS regarding the date of completion of the Project
and Liquidated Damages.
4. If written notice of the acceptance of the Bid is mailed, telegraphed or delivered to the Undersigned within 30 days
after the date of the opening of the Bids, or anytime thereafter before this Bid is withdrawn, the Undersigned will,
within ten (10) days after the date of such mailing, telegraphing or delivery of such notice, execute and deliver a
contract in accordance with AIA Document A 101, Standard Form of Agreement Between Owner and Contractor, and
give Performance Bond in accordance with the Specifications and bid as accepted.
5. That upon failure or refusal to execute and deliver the contract and bonds required within ten (10) days after receipt
of notice of acceptance of the Bid, that security deposited with Bid shall be forfeited to the Owner as liquidated
damages for such failure or refusal.
DECLARATION:
1. The Undersigned hereby declares that he has carefully examined the Invitation and Information for Bidders, the
Drawings and Specifications, has visited the actual location of the Work and has consulted his sources of supply, and
has satisfied himself as to all quantities and conditions, and understands that in signing this Bid, he waives all rights
to plead any misunderstanding regarding the same.
2. The Undersigned understands that his competence and responsibility and that of his proposed subcontractors, time of
completion, as well as any other factors of interest to the Owner will be considered in making the award. The Owner
reserves the right to reject any or all bids, to accept or reject alternate bids and unit prices and to waive technicalities
concerning the bids received, as it may be in his interest to do so.
