TERMINATION OF BASE LEASE AGREEMENT, LEASE AGREEMENT
AND TRUST INDENTURE
This Termination of Base Lease Agreement, Lease Agreement and Trust Indenture, made and
entered as of June 21, 2021, among the CITY OF SALINA, KANSAS, a municipal corporation organized
under the laws of the State of Kansas (the “Issuer”), LIGHTHOUSE PROPERTIES III, INC., a Kansas
corporation (the “Company”) and SECURITY BANK OF KANSAS CITY, a Kansas banking corporation
authorized to accept and execute trusts of the character herein set out under the laws of the State of Kansas,
and having its principal corporate trust office located in Kansas City, Kansas, as trustee (the “Bond
Trustee”);
WITNESSETH:
The Issuer and the Company entered into a Base Lease Agreement dated April 1, 2018 and a Lease
Agreement dated April 1, 2018, affecting real estate described in the attached Exhibit A.
The Issuer previously issued its $21,000,000 Taxable Industrial Revenue Bonds (Lighthouse
Properties III, Inc. Project), Series 2018 (the “Bonds”) pursuant to a Trust Indenture dated as of April 1,
2018 (the “Indenture”) between the Issuer and the Bond Trustee and used the proceeds of the Bonds to
construct the Project (as defined in the Indenture).
The parties hereby terminate the Indenture and affirmatively state that the Base Lease Agreement,
the Lease Agreement and the Indenture are of no further force or effect as of the date of this Termination.
