97-5146 Warranty DeedConsoti0aiedSellna RESOLUTION NUMBER 97-5146 A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE A SPECIAL WARRANTY DEED TO WINDSOR NURSING HOME ASSOCIATES, INC. WHEREAS, in 1990 the City of Salina (the "Issuer") issued industrial revenue bonds (the "Bonds") for the benefit of Windsor Nursing Home Associates, Inc. (the "Tenant"); and WHEREAS, Sunflower Bank, N.A. serves as the City's trustee (the "Trustee") under the industrial revenue bond issue; and WHEREAS, the Tenant has taken the steps necessary to redeem the Bonds and exercise its option to purchase its facility located at 623 South Third Street, Salina, Kansas (the "Facility") ; SO NOW THEREFORE BE IT RESOLVED by the Governing Body of the City of Salina, Kansas: Section 1. That the Mayor is hereby authorized to execute a special warranty deed conveying title to the Facility to Windsor Nursing Home Associates, Inc. Section 2. That the City Attorney is authorized to deliver the special warranty deed upon written confirmation by the Trustee that the Tenant has fulfilled all of its obligations under the industrial revenue bond issue. Section 3. That this resolution shall be in full force and effect from and after its adoption. Adopted by the Board of Commissioners and signed by the Mayor this 14th day of April, 1997.
