Certificate of Full Completion (Barolo Grille) Exhibit P—Certificate of Full Completion FORM OF CERTIFICATE OF FULL COMPLETION Pursuant to Section 3.07 of the Agreement, the City shall, within ten (10) days following delivery of this Certificate, carry out such inspections as the Parties deem necessary to verify to its reasonable satisfaction the accuracy of the certifications contained in this Certificate. CERTIFICATE OF FULL COMPLETION The undersigned, ,..14.,S the "Third Party Developer"), pursuant to that certain Development Agreement dated as o(f j�Mv ' %3 _, 2017, between the City of Salina, Kansas (the "City") and Salina2020, Inc. (the "Master Developer") and that certain Transferee Agreement dated as of Mergi*e ii `, 201$, between the City and Third Party Developer and the Master Developer (collectively the "Agreement"), hereby certifies to the City as follows: 1. That as of Sem-. (j , 202a the construction, renovation, repairing, equipping and constructing of the Project Component which Third Party Developer is obligated to complete pursuant to the terns of the Agreement (the "Transferee Project") has been substantially completed in accordance with the Agreement. 2. The Transferee Project has been completed in a workmanlike manner and in accordance with the Construction Plans (as those terms are defined in the Agreement). 3. Lien waivers for applicable portions of the Transferee Project have been obtained, or, to the extent that a good faith dispute exists with respect to the payment of any construction cost with respect to the Transferee Project, lien waivers for such portions of the Transferee Project will be obtained upon resolution of such dispute. 4. This Certificate of Full Completion is accompanied by (a) the project architect's certificate of substantial completion on AIA Form G-704 (or the substantial equivalent thereof), a copy of which is attached hereto as Appendix A and by this reference incorporated herein, certifying that the Transferee Project has been substantially completed in accordance with the Agreement; and (b) a copy of the certificate(s) of occupancy or temporary certificate of occupancy issued by the City building official with respect to each building to be constructed within the Transferee Project, a copy of which is attached hereto as Appendix B and by this reference incorporated herein. 5. This Certificate of Full. Completion is being issued by the Third Party Developer to the City in accordance with the Agreement to evidence the Third Party Developer's satisfaction of all obligations and covenants with respect to the Transferee Project. 514%748.14 I 6. The Third Party Developer is not in default or breach of any term or condition of the Agreement, and no event of default has occurred and no condition exists which constitutes a default under the Agreement. 7. All of the Third Party Developer's representations set forth in the Agreement remain true and correct as of the date hereof. This Certificate is given without prejudice to any rights against third parties which exist as of the date hereof or which may subsequently come into being. Terms not otherwise defined herein shall have the meaning ascribed to such terms in the Agreement.
