First Amendment to Alarm Program Administration and Collection Services FIRST AMENDMENT TO ALARM PROGRAM ADMINISTRATION
AND COLLECTION SERVICES
This First Amendment to Agreement for Alarm Program Administration and Collection
Services (the "Amendment") is made and entered into on this the riti, day of December,
2015 by and between the City of Salina, Kansas (the "City") and PMAM CORPORATION, a
Texas corporation (the 'Contractor").
RECITALS
A. The City and the Contractor entered into an Agreement for Alarm Program
Administration and Collection Services on August 17, 2015 (the "Agreement").
B. The Contractor's scope of work covered by the Agreement was set forth in
Exhibit "A" to the Agreement and limited to engaging the Contractor to serve as the City's "alarm
administrator" pertaining to alarm systems designed to summon a police response, subject to
the terms and conditions set forth in the Agreement including the Exhibits thereto.
C. The City and the Contractor desire to amend the Agreement so as to engage the
Contractor to also serve as the City's "alarm administrator" pertaining to alarm systems
designed to summon a response from the City's Fire Department.
D. The last section of Exhibit "A" to the Agreement entitled "Additional Services"
provides in part that "Contractor shall not perform or provide, and shall not be paid for, any
services not included in this Agreement (the "Additional Services") unless and until it receives
written pre-authorization from the City, which specifies the Additional Services to be performed
and the compensation to be paid for the Additional Services."
E. The City and the Contactor desire to amend certain provisions of the Agreement
as set forth herein so as to permit the Contractor to provide additional services on behalf of the
City's Fire Department.
F. Section 30 of the Agreement provides in part that the Agreement may not be
modified or altered except in writing signed by both parties.
NOW, THEREFORE, for and in consideration of the foregoing premises, the mutual
covenants set forth herein, and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged and confessed, the parties hereto hereby agree
as follows:
1. Amendment of Agreement.
a. Amendment of Scope of Work. The City and the Contractor hereby agree
that the Contractor is engaged effective as of the date of this Amendment to provide alarm
billing and collection services to the City's Fire Department similar to and in addition to those
currently being provided by the Contractor to the City's Police Department, upon and subject to
the terms set forth in the Agreement including the Exhibits thereto, and in order to evidence the

authorization of such Additional Services, the first sentence of Exhibit "A" under the heading
"Scope of Work" on Page 1 thereof is hereby amended to read in its entirety as follows:
Scope of Work:
The Contractor agrees to serve as, and fulfill all the responsibilities of, the City's
"alarm administrator" pursuant to Chapter 30, Article III and Chapter 14, Article IV of the
Salina Code pertaining to alarm systems designed to summon a police response or a
fire department response, respectively, the terms and conditions of which are
incorporated herein by this reference.
b. Payment of Compensation for Additional Services. The City and the
Contractor hereby agree that the Contractor shall receive and retain the same
percentage of actual revenues generated and collected by the Contractor for services
provided in connection with serving as the City's Fire Department's "alarm administrator"
as the Contractor receives for serving as the City's Police Department's "alarm
administrator" as set forth and calculated in accordance with the provisions of Exhibit C
to the Agreement.
c. Amendment of Exhibit A.
1. Section 1 under the heading "Training" on Page 4 of Exhibit "A" is
hereby amended to read in its entirety as follows:
Training
1. The Contractor shall provide training for the City and Police employees
and Fire Department employees. Training shall be conducted in several sessions
on an as needed basis.
2. Section 1 under the heading "System Coordination" on Page 4 of
Exhibit "A" is hereby amended to read in its entirety as follows:
System Coordination
1. The Contractor shall coordinate with the City's Finance Department,
Information Services, the City Police Department, and the City Fire Department
to develop a system that will allow walk-in payments under the Agreement.
2. Ratification of Agreement. Except as modified by the provisions of Section 1
hereof, the Agreement and the Exhibits attached thereto are not otherwise modified hereby and
are hereby ratified and confirmed by the parties hereto.
