A G R E E M E N T
THIS AGREEMENT, Made and entered into this , ; 4 day of April ,
i1964, by and between the Salina Chamber of Commerce , Salina,
Kansas , hereinafter referred to as "Salina" and Paris Corporation ,
Inc. , a Kansas corporation with its principal (and registered)
! office at Salina , Kansas, hereinafter referred to as "Paris".
WITNESSETH:
WHEREAS, Paris is organized to engage in business in the
i State of Kansas for the manufacturing, assembling, fabricating,
processing, producing and selling, at wholesale or retail, any
1! and all types of electronic devices and equipment, and intends to
h establish a plant in the State of Kansas for the manufacture,
iassembly, fabrication and distribution of such electronic devices
and equipment; and •
WHEREAS, Salina is desirous of inducing Paris to locate its
electronic equipment manufacturing business , plant and distribu-
I Lion center' in the City of Salina, Kansas, and is willing to offer
certain considerations to Paris in return for Paris ' agreement to
locate its headquarters, plant and distribution center and a sub-
stantial portion of its business in Salina, Kansas, for a period
• :. of not less than five (5) years after May 1 , 1964; and
WHEREAS, Paris, in return for such considerations to be ex-
tended to it by Salina, is willing to agree to such condition :
`OW, THEREFORE , in consideration of the above and foregoing
and the mutual covenants hereinafter set forth, it is hereby
agreed as follows:
• 1 . Paris , in return for the considerations to be extended to
it by Salina as hereinafter set forth, shall locate , within a rea- .
sonable time after the date hereof not exceeding ninety (90) days , I• •

ant thereafter maintain its headquarters , plant and distribution
center and a substantial portion of its business in Salina , Kansas
or its environs , for a period of at least five (5) years from and .
I a;ter. May 1 , 1964 , it being understood that Paris, concurrently
with the execution of this Agreement , shall initially lease from
Econo-Fio Flour Service , Inc . , a Kansas corporation with its prin-
cipai office at Salina , Kansas, and occupy and use as a site for
its plant and business , premises located at. 521 Bishop Street ,
, Salina , Kansas , for a two year term, commencing May 1 , 1964 , and
continuing thereafter until April 30 , 1966 , at a rental of $500. 00
per month.
2, In consideration of the agreement of Paris to locate and
maintain its headquarters , plant and distribution center and a
substantial portion of its business in Salina, Kansas , as herein-

'(a) Salina shall pay or cause to be paid to or for
the account of Paris:

five or more fulltime employees for more than

I obligated to pay hereunder shall be reduced
to the sum of $250.00 for each such month; and
Ii (5) for each month of the twelve month period
• beginning May 1 , 1966, and ending April 30.
! 1967 , the sum of $10. 00 multiplied by the aver-
Ij age number umber of fulltime employees employed by
I; Paris during each such month, but not in excess
r of the sum of $500. 00 per month or an amount
II equal to the monthly rental which Paris is obli-
gated to pay for suitable premises , whichever
li is lesser; provided that in the event an indus-
trial mill levy has not beaire-approved for
N the City of Salina, Kansas , for the promotion
l of industry prior to May 1, 1966, then Salina . .
II shall have no obligation to make any payments
II to Paris hereunder for any month in which such
li industrial mill levy has not been re-approved
I' after May 1 , 1966.

The "average number of fulltime employees employed by Paris
'! during each month" shall be determined by dividing the num- . l
I ber of fulltime employees employed by Paris at Salina ,
I! Kansas, during each regular workday in such month by the
ii total number of workdays in such month, and any two parttime

employees employed by Paris at Salina, Kansas , whose ,;
aggregate number of hours during any workday equal
the number of hours of one fulltime employee for such
workday shall be deemed to be one fulltime employee
for such workday.
The foregoing payments shall be made monthly, on or be-
fore the 5th day following the last day of the month Eor
which each such payment is to be made, and as a condition
precedent to any such payment to be made after July 31,

1964, Paris shall furnish Salina with a verified statement
showing the average number of fulltime employees employed
by Paris during the month for which such payment is to be
made.' Paris shall also furnish Salina with a copy of its
quarterly employer's report which it will be required to
file with the District Director of Internal Revenue. •
In the event Paris discontinues operations of its business
in Salina, Kansas, at any time prior to April 30, 1967,
Salina shall be released and discharged from any obligat-
ion hereunder for any period during which such operations
are discontinued.
(h) If Paris contracts for the purchase or construction of
a suitable building in the City of Salina, Kansas, or its
environs , and occupies such building for the conduct of its
business at any time prior to April 30, 1967, Salina shall
pay or cause to be paid to or for the account of Paris ,
the monthly amounts determined in the same manner as pro-
vided in sub-paragraph (a) of this Paragraph 2, but with-
out any limitation with respect to the amount of rent
which Paris is obligated to pay for the use of any suit-
.
able facilities; provided, however, that . the aggregate
amounts of any payments which Salina shall be obligated
to pay to Paris after such purchase or construction and
occupancy of such facilities shall not exceed the cost
of acquiring such facilities.
The foregoing payments shall be made monthly, on or be-
fore the 5th day following the last .day of the month For
which each such payment is to be made, and as a condition
precedent to any such payment to be made after July 31,
1964, Paris shall furnish Salina with a verified statement
showing the average number of fulltime employees employed ,
by Paris during the month for which such payment is to be
made. Paris shall also furnish Salina with a copy of its

date hereof, removes its headquarters, plant, distribution center,

its environs, and relocates its headquarters, plant, distribution
center, or a substantial portion of its business in some other
locality than Salina, Kansas , or its environs , then Paris shall.
become liable to Salina for the amount of any payments thereto-
fore made by Salina to Paris hereunder.

4. The conditions that Paris employ a certain number of
( fulltimc employees during each month as hereinbefore set forth,
shall be excused if the number of employees employed by Paris '
during each such month is prevented or delayed by force majeure.
The term "force majeure" as used herein means and includes fire,
explosions, act of the elements , strikes or other labor diffi-
culties effecting such employment for a period of not more than
thirty (30) days, acts of public enemy, breakdown or accident
to facilities or equipment, which are reasonably beyond the con-
trol of Paris. In no event shall Salina be required to make any
payments hereunder if the payments which Paris is obligated to
pay under the terms of any lease is excused by force majeure.
5. Paris shall furnish Salina, on or before May 1, 1964,
with certified copies of appropriate minutes of Paris , authoriz-
ing its officers to execute this Agreement on behalf of Paris ;
and Salina shall furnish Paris , on or before May 1, 1964,. with
certified copies of appropriate minutes of Salina, authorizing
its manager to execute this Agreement on behalf of Salina.
IN WITNESS WHEREOF, the parties hereto have hereunto set
their hands the day and year first above written.

protesting the payment of such taxes are as follows:
- 1. The assessed value of all personal property of the tax-
payer was determined to be $33,275.00, and upon such assessed
value the personal property taxes were determined to be
$2,764.15. Under the provisions. ef K.S.A. 79-306b (1965 Supp.),
the assessed value would indicate that the taxpayer's personal
• . property had a justifiable value of $110,916.67,
• . 2. Taxpayer admits that the justifiable value of its personal
property was $59,953.46, and that•$17,986.04, which is 30% of
the justifiable value of its personal property, is a valid
assessed valuation. Accordingly, taxpayer admits that the
• tax. attributable to the admitted assessed value of such perm
sonal -property is valid, but protests the payment of the bal..
ance of such taxes in the amount of $1,269.65.

Gentlemen:

On April 23, 1964, the Salina Chamber of Commerce entered into an
agreement with the Paris Corporation, Inc., to.supply them a building
suitable for manufacturing, assembling, , fabricating, and distribution
of electronic devices and equipment, which the Pacjs_Coc o '
contemplates producing and selling from the Salina taciri if es.
It is the belief of the Salina Chamber of Commerce, after complete and
thorough investigation of the financial stability and potential of this
Corporation, that this facility will be an economic asset to Salina,
and will create new wealth through a contemplated nation-wide distri-
bution program.
After many months of negotiations and conferring with the principals
of this Corporation, the facilities located at 521 Bishop St., Salina,
Kansas, owned by the Econo-flo Flour Service, Inc., and own n as the
Sutorius Bakery Building, was the best suited facility that could be if C
obtained for the Paris Corporation. This being the case, the Salina ,p
Chamber of Commerce entered into a contract arrangement to furnish y
monies in the amount of the monthly lease for this facility for a 9
two year period of time. This amounts to the sum of $500.00 per month.
The Salina Chamber took every precaution that was reasonable and
proper to assure continuance of this operation in Salina, and gainful
employment for our people. The Board of Directors of the Salina Chamber
of Commerce entered into this contract because they felt this Corpora-
tion would be a real asset to Salina, and the amount of money was
reasonable in respect to the -projected gain to the community in the
way of employment.
' If you concur with our finding, we request that monies from the
"Industrial Mill Levy" be made available to reimburse the Salina
Chamber of Commerce. This would not be in 'cxc:ss of $500.00 per
month, for 24 months commencing May 1,_1964.. We will submit Q/r«a��i. 00��
quarterly proof of payment that we make to the Paris Corporation.

by Paris during the month for which such payment is to be
made. Paris shall also furnish Salina with a copy of its •
quarterly employer's report which it will be required to
file with the .District Director of Internal Revenue.
• In the event Paris discontinues operations of its business
in Salina, Kansas , at any time prior to April 30, 1967 ,
Salina shall be released and discharged from any obligat-
ion hereunder for any period during which such operations
• are discontinued.

3. In the event that Paris , within five (5) years after the
date hereof, removes its headquarters, plant, distribution center, )

or a substantial portion of its business from Salina , Kansas , or
its environs, and relocates its headquarters , plant, distribution
!center, or a substantial portion of its business in some oche :
' locality than Salina, Kansas , or its environs , then Paris shall
'become liable to Salina for the amount of any payments thereto=
fore made by Salina to Paris hereunder.
4. The conditions that Paris employ a certain number of

fullti;ne employees during each month as hereinbefore set forth, •
shall be excused if the number of employees employed by Paris
during each such month is prevented or delayed by force majeure.
The term "force majeure" as used herein means and includes fire,
explosions , act of the elements , strikes or other labor diffi-
culties effecting such employment for a period of not more than
thirty (30) days, acts of public enemy, breakdown or accident
• to facilities or equipment, which. are reasonably beyond the con-
trol of Paris . In no event shall Salina be required to make any
payments hereunder if the payments which Paris is obligated to
pay under the terms of any lease is excused by force majeure.
5 . Paris shall furnish Salina, on or before May 1, 1964,
with certified copies of appropriate minutes of Paris , authoriz-
ing its officers to execute this Agreement on behalf of Paris ;
and Salina shall furnish Paris , on or before May 1, 1964,_ with
certified copies of appropriate minutes of Salina, authorizing
its manager to execute this Agreement on behalf of Saline.

Gentlemen:
The Greater Salina Development Authority meeting in session on Thursday noon; September 26,
1963 considered the use of the Industrial Mill Levy funds to reimburse the Salina Chamber of
Commerce for their contractual arrangements made and entered into as an inducement to the
Jato Manufacturing Company, Inc. to locate their facilities in our community. These arrange-
merts involve the granting of one year s free rent to the Jato Manufacturing Company in the
facilities known as the old Bargain Barn and the S & B Wholesale Company and the allowing
of $600.00 to be used for partitioning of certain areas to be used for display area. In addition, ,
the second year two thirds of the rent will be paid for by the Salina Chamber of Commerce or
the dollar equivalent will be made available for the purchase of land where upon they could
construct their own facility. This would amount to $4800.00 during the second year. The total
package arrangements will amount to $12,600.00,
All ramifications of this particular agreement have been considered by your Authority and were
discussed at their meeting. At the conclusion of the discussion, upon motion made by Gaylord
Spangler and seconded by Leland Srack, the Authority unanimously recommends that the City
Commission accept the proposal and arrangements made by the Salina Chamber of Commerce
and so reimburse them.

• While it is recognized that the total dollar figure is high for the number of employees that will
be under employment initially; nevertheless, as Chairman for the Greater Salina Development
Authority and Chairman of the Chamber of Commerce Economic Development Committee, I
believe this money is wisely spent and certainly tangible evidence can be shown of cooperative
effort in obtaining an industry for Salina. Certainly the voters of Salina had in mind this levy
being used for the purpose of obtaining industry, and what more direct approach can be shown
to the voters than the expenditure of the money in this endeavor.
I urge your favorable consideration of this matter and know that whatever arrangements are
made for the actual paying of these funds will be acceptable to the Authority.

for-year consideration:inthe-establishment of your contemplated production facilities to pro-
duce amplifying systems among other products. • In consideration of locating these facilities in it
