Terminate Engineering Services Agreement AGREEMENT TO TERMINATE ENGINEERING SERVICES AGREEMENT
This Agreement to Terminate Engineering Services Agreement ("Agreement") is entered
into this 24th day of November, 2014, by and between the City of Salina, Kansas, a municipal
corporation ("City"), and Geiger Engineers, P.C., a New York professional corporation
("Consultant").
Recitals
A. The City and the Consultant entered into an Agreement dated March 11, 2013
("Existing Agreement"), setting forth the terms and conditions of the Consultant's agreement to
provide professional engineering services related to certain roof rigging and reinforcement
improvements at the Salina Bicentennial Center.
B. Due to changed circumstances, the parties desire to terminate the Existing
Agreement, and all obligations thereunder.
FOR AND IN CONSIDERATION of the mutual and reciprocal promises and agreements
set forth herein,the parties agree as follows:
1. Termination of Agreement. The City and the Consultant agree that, as of the date
hereof, the Existing Agreement shall be terminated in its entirety, and shall be of no further force
or effect.
2. No Obligations. The City and the Consultant acknowledge and agree that, as of
the date hereof, neither party shall have any further obligation to the other pursuant to. the
Existing Agreement.
3. Kansas Law Applies. This Agreement and its validity, construction, and
performance shall be governed by the laws of Kansas.
4. No Oral Agreements. This Agreement constitutes the entire agreement between the
parties and there are no representations, warranties, conditions, or agreements other than those
expressly set forth herein. No other agreement, statement, promise, warranty, or representation
made by any party to this Agreement that is not in writing and signed by all parties to this
Agreement shall be binding.
IN WITNESS WHEREOF, the parties have caused this Agreement to be signed by their
duly authorized officers on ay and year first above written.
