Special Warranty Deed 1 SPECIAL WARRANTY DEED [No Real Estate Sales Validation Questionnaire required pursuant to K.S.A. 79-1437e(2)] THIS INDENTURE, made this 21st day of December, 2012, between the CITY OF SALINA, KANSAS, a municipal corporation, hereinafter referred to as "the City," and PEPSI COLA BOTTLING COMPANY OF SALINA, INC., an Iowa corporation, hereinafter referred to as the "Grantee," WITNESSETH: That the City, in consideration of the sum of One Dollar and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, does by these presents grant, bargain, sell, and convey unto Grantee with special warranty covenants, all of the real estate situated in Saline County and the State of Kansas legally described as: All of Block Five (5) in Calkins Addition to the City of Salina, Saline County, Kansas, except Lots Eleven(11) and Twelve (12)thereof including the accretion of vacated alley; all of vacated Eighth Street from Lincoln Avenue to Decatur Avenue; the south ten(10) feet of Decatur Avenue from vacated Eighth Street to Seventh Street; and the use of the wall immediately adjacent to the west side of vacated Eighth Street as a party wall. TO HAVE AND TO HOLD THE SAME, together with all and singular the tenements, hereditaments, and appurtenances thereunto belonging, or in anywise appertaining, forever. SUBJECT TO (a) those liens and encumbrances to which the title was subject on the date of commencement of the term of a Lease dated as of September 1, 1978 (the "Lease"), by and between the CITY OF SALINA, KANSAS, a municipal corporation, of Saline County, Kansas and PEPSI COLA BOTTLING COMPANY OF SALINA, INC., an Iowa corporation ("Lessee"), or became subject to with Lessee's written consent; (b) taxes and assessments, general and special, if any; (c) the rights, titles and interests of any party having condemned or who is attempting to condemn title to, or the use for a limited period of, all or any part of the Property; and (d) rights and interests, if any, of any persons currently in possession of the Property. The City, for the City and the City's successors, covenants that the City is lawfully seized of the City's interest in the Property and has good right to convey the City's interest in the Property and guarantees the quiet possession of the Property against the claims of those claiming i1 any right, interest or title through the City, except as may be described above, and further covenants that the Property is free from all encumbrances created by the City, except as may be described above, and the City will warrant and defend the Property against all lawful claims of those claiming any right, interest or title through the City, except as may be described above; but the City does not warrant title against those claiming a right, interest or title that arose prior to, or separate from, the City's interest in the Property.
