Economic Development Planning Services Agreement AGREEMENT CITY OF SALINA,KANSAS; SALINA AIRPORT AUTHORITY and INTERNATIONAL ECONOMIC DEVELOPMENT COUNCIL for ECONOMIC DEVELOPMENT PLANNING SERVICES This Agreement is entered into June 1(p, 2014 by and among the CITY OF SALINA, KANSAS ("City"), the SALINA AIRPORT AUTHORITY ("Authority") and the INTERNATIONAL ECONOMIC DEVELOPMENT COUNCIL, a non-profit membership organization ("IEDC"). Recitals A. City and Authority desire to contract for economic development planning services relating to the formation of a community economic development organization. B. IEDC has the requisite qualifications and experience to perform the services needed by City and Authority and desires to perform those services pursuant to the terms of this Agreement. The parties, in consideration of the mutual promises set forth in this Agreement, agree and covenant: 1. Definitions. Capitalized words used in this Agreement shall have the following meanings: • "Agreement" refers to this Agreement for economic development planning services, as amended and supplemented from time to time. "Authority" refers to the Salina Airport Authority, a surplus property and public airport authority established by City of Salina, Kansas, Ordinance No. 6854, pursuant to the Kansas surplus property and public airport authority act(K.S.A. 27-315, et seq.). "City"refers to the City of Salina, a Kansas municipal corporation of the first class. "IEDC" refers to the International Economic Development Council, a non-profit membership organization dedicated solely to helping economic developers do their jobs in the most effective manner possible by providing training, sharing of knowledge and technical assistance through a wide variety of programs designed exclusively in the field of economic development. 2. Exhibits. The following Exhibits are attached to and made a part of this Agreement: Exhibit A—Proposal for Consulting Support, including: Scope of Services Deliverables Schedule for Site Visit Project Budget Management and Staffing Plan of Action and Milestones Exhibit B—insurance Requirements 3. Responsibilities of the Parties. The parties agree to perform the responsibilities outlined in the attached and incorporated Exhibit A. 4. Schedule. IEDC agrees to perform its responsibilities according to the schedule described in Exhibit A— Plan of Action and Milestones. 5. Payment. The City and Authority shall pay IEDC the sum of$19,193.00, inclusive of labor and travel, for the performance of its responsibilities pursuant to this Agreement as set forth in Exhibit A. 6. Insurance Requirements. 6.1. Types and Amount of Coverage. IEDC agrees to obtain insurance coverage as specified in the attached and incorporated Exhibit B, and shall not make any material modification or change from these specifications without the prior approval of City and Authority. Failure of IEDC to comply with these requirements shall not be construed as a waiver of these requirements or provisions and shall not relieve IEDC of liability. 6.2. Rating. All insurance policies shall be issued by insurance companies rated no less than A- VII in the most recent "Bests" insurance guide, and admitted in the State of Kansas. Except as otherwise specified in Exhibit B, all such policies shall be in such form and contain such provisions as are generally considered standard for the type of insurance involved. 6.3. Certificate of Insurance. IEDC shall provide City and Authority with a certificate of insurance listing City and Authority as the Certificate Holder and evidencing compliance with the insurance requirements in this Agreement. City and Authority reserve the right to require complete certified copies of all insurance policies procured by IEDC pursuant to this Agreement, including any and all endorsements affecting the coverage required hereunder. 7. Injury to Persons or Damage to Property. IEDC acknowledges responsibility for any injury to person(s) or damage to property caused by its employees or agents in the performance of its duties under this Agreement and shall immediately notify the City's Risk Management Department at (785) 309-5705 in the event of such injury to person(s)or damage to property. 8. Indemnification. To the fullest extent permitted by law, IEDC shall indemnify and hold harmless City and Authority, their agents, representatives, officers, officials and employees from and against all claims, damages, losses and expenses (including but not limited to attorney fees and court costs) attributable to bodily injury, sickness, disease, death, or injury to, impairment, or destruction of property, including loss of use resulting therefrom, to the extent that such claims, damages, losses, and expenses are caused by the wrongful acts, negligent acts, errors, or omissions arising out of or related to the services of IEDC, its employees, agents, or any tier of subcontractors in the performance of this Agreement. 9. Voluntary Termination. Either City and Authority (acting collectively) or IEDC may terminate this Agreement, with or without cause, upon thirty (30) days advance written notice to the other party. In the event of such termination, IEDC shall be compensated for such services as have been satisfactorily performed through the date of termination, but no compensation shall be earned after the effective date of the termination. Within five (5) days of any such termination, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs, reports or other material prepared by IEDC pursuant to this Agreement shall be delivered to City and Authority. Notwithstanding the above, IEDC shall not be relieved of any liability to City and/or Authority for damages sustained by City and/or Authority by virtue of any breach of this Agreement by IEDC, and City and 2 Authority may withhold any payments to IEDC for the purposes of set-off until such time as the exact amount of damages due City and/or Authority from IEDC may be determined. 10. Default. If either party fails to comply with any term of this Agreement within ten (10) days after written notice to comply has been mailed by the non-defaulting party to the defaulting party, such failure shall be deemed an immediate breach of this Agreement("Event of Default"). 11. Remedies. Upon the occurrence of an Event of Default, the non-defaulting party shall have the following rights and remedies, in addition to any other rights and remedies provided under this Agreement or by law: 11.1 Termination. The non-defaulting party shall have the right to terminate this Agreement or terminate the defaulting party's rights under this Agreement. 11.2 Other Remedies. The non-defaulting party may pursue any available remedy at law or in equity (including specific performance) by suit, action, mandamus or other proceeding to enforce and compel the performance of the duties and obligations set forth in this Agreement, to enforce or preserve any other rights or interests of the non-defaulting party under this Agreement or otherwise existing at law or in equity and to recover any damages incurred by the non-defaulting party resulting from such Event of Default. 12. Non-Assignable. Due to the unique qualifications and capabilities of IEDC, neither the rights nor responsibilities provided for under this Agreement shall be assignable by either party,either in whole or in part. 13. Notices. All notices required or permitted to be given pursuant to this Agreement shall be in writing and delivered personally or sent by registered or certified mail, return receipt requested, or by generally recognized, prepaid, commercial courier or overnight air courier service. Notice shall be considered given when received on the date appearing on the return receipt, but if the receipt is not returned within five (5) days, then three (3) days after mailed, if sent by registered or certified mail or commercial courier service; or the next business day, if sent by overnight air courier service. Notices shall be addressed as appears below for each party, provided that if any party gives notice of a change of name or address, notices to the giver of that notice shall thereafter be given as demanded in that notice. IEDC shall maintain complete, accurate, and clearly identifiable records with respect to all costs and expenses incurred under this Agreement. The records shall be maintained during the term of this Agreement, and for a period of three (3) years from the date of final payment under this Agreement (the "Retention Period"); provided, however, that if any litigation, claim or audit is commenced prior to the expiration of the Retention Period, then the Retention Period shall be extended until all litigation, claims or 3 audit findings have been completely terminated or resolved, without right of further appeal. During the Retention Period, IEDC shall allow a representative of City and/or Authority during normal business hours to examine, audit, and make transcripts or copies of such records and any other documents created pursuant to, or arising under, this Agreement. City and Authority agree to responsibly utilize all information obtained pursuant to this paragraph for the purposes of reviewing, confirming, and verifying the nature and amount of all costs and expenses incurred under this Agreement. City and Authority agree to take reasonable precautions not to disclose such information outside the scope of those stated purposes, subject to the Kansas open records act or other applicable law. 15. Non-appropriation. Not applicable. 16. Relationship. It is expressly understood that IEDC in performing services under this Agreement, does so as an independent contractor. City and Authority shall neither have nor exercise any control or direction over the methods` by which IEDC performs its responsibilities as outlined in Exhibit A. The sole interest and responsibility of City and Authority is to see that the services covered by this Agreement are performed and rendered in a competent, efficient, and satisfactory manner. IEDC shall be exclusively responsible for all taxes, withholding payments, employment-based benefits, deferred compensation plans, including but not limited to its workers compensation and social security obligations, and the filing of all necessary documents, forms, or returns pertinent to the foregoing. 17. Subcontracting. Not applicable. 18. Compliance with Applicable Law. IEDC shall comply with all applicable federal, state, and local law in the performance of this Agreement. 19. Equal Opportunity. (a) In conformity with the Kansas act against discrimination and Chapter 13 of the Salina Code, IEDC and its subcontractors, if any, agree that: (1) IEDC shall observe the provisions of the Kansas act against discrimination and Chapter 13 of the Salina Code and in doing so shall not discriminate against any person in the performance of work under this Agreement because of race, sex, religion, age, color, national origin, ancestry or disability; (2) IEDC shall include in all solicitations, or advertisements for employees, the phrase "equal opportunity employer," or a similar phrase to be approved by the City's human relations director; (3) If IEDC fails to comply with the manner in which IEDC reports to the Kansas human rights commission in accordance with the provisions of K.S.A. 44-1031 and amendments thereto, IEDC shall be deemed to have breached this Agreement and it may be canceled, terminated or suspended, in whole or in part, by the City; (4) If IEDC is found guilty of a violation of Chapter 13 of the Salina Code or the Kansas act against discrimination under a decision or order of the Salina human relations commission or the Kansas human rights commission which has become final, IEDC shall be deemed to have breached this Agreement and it may be canceled, terminated or suspended, in whole or in part, by the City; (5) IEDC shall not discriminate against any employee or applicant for employment in the performance of this Agreement because of race, sex, religion, age, color, national origin, ancestry or disability; and (6) IEDC shall include similar provisions in any subcontract under this Agreement. 4 (b) The provisions of this section shall not apply to this Agreement if IEDC: (1) Employs fewer than four employees during the term of this Agreement; or (2) Contracts with the City for cumulatively $5,000 or less during the City's calendar fiscal year. 20. Administration of Agreement. All references in this Agreement requiring City's and Authority's participation or approval shall mean the participation or approval of the City Manager on behalf of City and the Executive Director on behalf of Authority, unless otherwise provided herein. 21. Attorney Fees. If any suit or action is instituted by either party hereunder, including all appeals, the prevailing party in such suit or action shall be entitled to recover reasonable attorney fees and expenses from the non- prevailing party, in addition to any other amounts to which it may be entitled. 22. Right to Independent Legal Advice. IEDC understands and acknowledges the right to have this Agreement reviewed by legal counsel of IEDC's choice. 23. Applicable Law; Venue. This Agreement and its validity, construction and performance shall be governed by the laws of Kansas. In the event of any legal action to enforce or interpret this Agreement, the sole and exclusive venue shall be in the Saline County, Kansas District Court. 24. Interpretation. This Agreement shall be interpreted according to its fair meaning, and not in favor of or against any party. 25. Time. Time is of the essence of this Agreement. No extension will be granted unless in writing and signed by the parties. Should the end of a time period fall on a legal holiday that termination time shall extend to 5:00 p.m. of the next full business day. 26. Severability. The unenforceability, invalidity, or illegality of any provision of this Agreement shall not render the other provisions unenforceable, invalid, or illegal. 27. Authority and Consent to Transaction. Each party represents to the other that the person executing this Agreement has full and legal authority to bind such party to the terms of this Agreement, and that the execution and delivery of this Agreement have been duly and validly authorized by the governing body of each party. 28. Persons Bound. This Agreement shall extend to and bind the heirs, executors, administrators, trustees, successors and authorized assigns of the parties hereto. 29. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, or in multiple originals, and all such counterparts or originals shall for all purposes constitute one agreement. 30. Amendments. Neither this Agreement nor any of its terms may be changed or modified, waived, or terminated except by an instrument in writing signed by an authorized representative of the party against whom the enforcement of the change,waiver,or termination is sought. 31. Waiver. No failure or delay by a party hereto to insist on the strict performance of any term of this Agreement, or to exercise any right or remedy consequent to a breach thereof, shall constitute a waiver of any breach or any subsequent breach of such term. No waiver of any breach hereunder shall affect or alter the remaining terms of this Agreement, but each and every term of this Agreement shall continue in full force and effect with respect to any other then existing or subsequent breach thereof. 5 32. Conflict Resolution. No interpretation of this Agreement shall be allowed to find the City or Authority has agreed to binding arbitration. 33. No Third Party Beneficiaries. Solely the parties to this Agreement shall have rights and may make claims under this Agreement. There are no intended third party beneficiaries under this Agreement, and no third parties shall have any rights or make any claims hereunder. 34. Typewritten or Handwritten Provisions. Typewritten or handwritten provisions inserted or attached, and initialed by all parties, shall supersede all conflicting printed provisions. 35. Feminine-Masculine,Singular-Plural. Wherever used, singular shall include the plural, plural the singular, and use of any gender shall include all genders. 36. Headings. The headings of the sections of this Agreement are included for the purposes of convenience only and shall not affect the interpretation of any provision hereof. 37. Merger Clause. These terms are intended by the parties as a complete, conclusive and final expression of all the conditions of their Agreement. No other promises, statements, warranties, agreements or understandings, oral or written, made before or at the signing thereof, shall be binding unless in writing and signed by all parties and attached hereto. We provide a highly-respected "CEcD" certification program for economic developers,as well as an accreditation program for EDOs called that have achieved a high standard of excellence. IEDC Proposal to the City of Salina,Kansas 1 As we understand your needs, key stakeholders in Salina including the Airport Authority, City,.County and Chamber of Commerce are interested in exploring new organizational structures based on the right scope of services to fit your community. Whilethe discontinuation of the previous economic developments services under the Chamber of Commerce has been meant some disruption in services, at the same time it offers an opportunity to set up new functions in the most effective means possible. The IEDC is uniquely qualified to add value to this project because of our 80+years in the field. We also have the ability to draw upon the expertise of our extensive network of economic developers. Finally, we bring to the table an objectivity to listen to all parties' concerns and ideas, and then advise you of best practices from other communities of similar sizes and economic situations. Of relevance to this project, the IEDC has extensive experience in both creating and assessing EDOs. We teach a certification course in Managing Economic Development Organizations. This advanced course focuses on the key principles and practices of professional management in ED. It covers such topics as outcome-based management and performance, understanding and evaluating core competencies, serving customers, improving knowledge management and internal processes, and leveraging resources with other organizations. The IEDC Project Team we are proposing for this project includes the following people: • Jeffrey A. Finkle, CEcD—As President of IEDC; Mr. Finkle will participate personally in facilitating the discussion in Salina with key stakeholders. He will manage the kick-off meeting and site visit, as well as contribute to the strategies and recommendations. • Tye Libby—Mr. Libby is highly familiar with EDOs.and their structures, as he heads the IEDC's Accredited Economic Development Organization (AEDO) certification process. Tye will assist in conducting interviews during the site visit, benchmarking research, status reports and writing. • Lynn A. Knight, CEcD—As Vice President of Knowledge Management and Development of IEDC, I will support Mr. Finkle and Mr. Libby with project management and editing of the report from our home office and serve as your point of contact. The methodology and budget for this three-month project are provided in the following proposal. . Since.=-•,_ Lynn Knight, CEcD President, Knowled anagement & Development IEDC Proposal to the City of Salina,Kansas 2 PROPOSAL FOR CONSULTING SUPPORT.FOR TO THE CITY OF SALINA, KANSAS REGARDING A NEW ECONOMIC DEVELOPMENT ORGANIZATION Scope of Services The International Economic Development Council (IEDC) is pleased to make this proposal to assist the City of Salina, Kansas with consulting services regarding a new economic development organization. This three-month project will rely on interviews with'key stakeholders, a review of the prior activities of the former economic development function under the Chamber of Commerce,the role of ED within the City and County and other relevant issues. The scope of the study will include: • Vision, mission and goals for the new EDO • Recommendations for the range of ED functions and services that should be provided to meet Salina's current and future needs • Examples of various community-based and/or public-private partnership models that would be appropriate for a city of Salina's size and resources • Sources and level of funding (public-private) :. • Staffing structure and job descriptions • Steps in implementing and launching a new EDO • Benchmarking advice from other communities • Gathering of stakeholder input and incorporating community feedback The project would include a 3-day site visit by IEDC President Jeff Finkle and one member of our staff with support from the Vice President of Knowledge Management. During the visit,there will be a kick- off meeting and Mr. Finkle will provide a presentation of possible community-based structures for consideration and will facilitate a strategic planning:session. Mr. Finkle and Mr. Libby will also conduct individual interviews with key stakeholders. Preliminary.findings and recommendations will be presented in a group activity as per specifications ofthe client. The primary assistance IEDC will provide to the City is summarized in the following sequence and tasks: 1. Prior to the site visit,the IEDC will request research documents on past economic development activities of the City and Chamber of Commerce, as well as information about any economic development strategic planning of the City. The IEDC will do online research about the economy of Salina and region to look at the economic development environment. 3. Our research team will collect case studies and gather community-based organization models in order to provide benchmarks with municipal;;economic development organizations of a similar IEDC Proposal to the City of Salina, Kansas 3 • size and scope. This will be summarized in aPowerPoint presentation which will be presented during the site visit. 4. A kick off meeting on site will be held with you and other key stakeholders to discuss the background on the project, expectations, keydates, share documents and meet the team. Mr. Finkle and Mr. Libby will travel to Salina for this activity. 5. Individual interviews with key stakeholders over a two-day period and a facilitated group session will be held to develop a new vision;mission, roles of ED and discuss potential structures under a community-based model::; 6. After the trip, IEDC will develop a report witF..formal recommendations. Drafts of the report will be circulated to your point of contact for..reviews and feedback. The final report will incorporate the feedback. 7. 'A POwerPoint presentation will be created summarize the results of the written report and will be presented over conference call. Step 1: Research and Preparation for Site Visit As part of this task, IEDC will work with you to organize the site visit schedule, including identification of appropriate local and regional stakeholders to be interviewed, locations and attendees for focus groups and any public presentations. Together we will develop an agenda in advance of the trip. IEDC will ask you to secure a meeting location and assist;'our team to schedule interviews with various local stakeholders, as outlined in the site visit agenda. Prior to the site visit, we would ask that you forward to us any background documents or references that you feel may be helpful to our preparation and understanding... We will also do some online research as to the economy of Salina and region to orient ourselves to potential key issues for economic developers: The IEDC will identify cities of a similar size for a benchmarking study. We will prepare a list of questions and do interviews with the heads of municipal economic development organizations via teleconference and email. This work will be conducted from IEDC's offices in Washington D.C. and summarized in our report. We will also review our!EDC Salary Survey, which contains information about various aspects of EDO management; staffing?and funding. The IEDC team will prepare a PowerPoint presentation with sample organization structures and best practices, as well as start up considerations. Step 2: Site Visit. The first site visit will take place from four to eight weeks from contract date based on your and IEDC management schedules. During the site visit, the IEDC team will hold a kick-off meeting, after which we will conduct individual interviews. We will facilitate at least one focus group discussion. At the end of the visit, the IEDC team will present findings and preliminary recommendations and solicit your IEDC Proposal to the City of Salina,Kansas 4 } ' ^ feedback. The team will also share lessons learned from experiences in other communities. All attendees will be encouraged to ask questions and comment on the preliminary findings. Group meetings and presentations can be held atthe City'sdiscretion. Deliverables After the site visit the IEDC will produce a report specific recommendations. The primary objective of this Organizational and Programmatic Plan was to assess the City's Economic Development Division and recommend strategies for effective staffing and program structures and functions. This project grew out of the EDA-funded•JEDC Economic Recovery Volunteer Program, an executive loan program. IEDC took a four-person expert panel to lead the assessment. The Plan included the IEDC team's observations and findings from primary and secondary research, recommendations for optimum economic development division structures and activities, an outline Division work plan and draft organization chart. Montgomery County Department of Economic Development, Organizational Assessment (2012). Location: Montgomery County, MD. IEDC provided an organizational assessment and comparative analysis of the Montgomery County Department of Economic Development (MCDED). The intent is to provide MCDED with research and options to advance the economic development delivery system for Montgomery County. The analysis compares MCDED economic development functions with those in six other counties. In addition to Montgomery County,IEDC conducted research on Fairfax County, VA; Prince William County, VA; Baltimore County, MD;=Howard County, MD; Miami-Dade County, FL; and St. Louis County, MO. While this report highlights various models for economic development, there is no perfect model for organizing EDOS. Organizational models vary greatly due to local and state laws, policies, politics, and practices;.and demographic, geographic, and business characteristics. Thus, IEDC presents a diversity of organizational models within this report from which advantages and disadvantages can be drawn. IEDC Proposal to the City of Salina,Kansas 9 • Strategic Assessment of Dallas/ Fort Worth International Airport Commercial Development and International Business Attraction (2012) Location: Dallas/Fort Worth International Airport(DFW), TX IEDC assisted the Commercial Development Department of the Dallas/ Fort Worth Airport on a project aimed at improving the airport's ability to attract international businesses to its commercial development properties. IEDC provided guidance on developing a new international business development function to support this overall international business attraction goal. The project also explored ways for the airport to begin identifying target industries and geographic areas for its overall international business development efforts, and provided guidance for developing and communication a compelling value proposition to international business prospects based on the airport's unique assets and competitiveness of its commercial real estate opportunities. IEDC also helped the airport explore opportunities for enhancing its international marketing functions in support of its overall international business attraction strategy: City of Columbus Organizational Review of the Economic Development Department (2007) Location: City of Columbus, Ohio The City of Columbus, Ohio retained the International Economic Development Council (IEDC)to provide an assessment of its Economic Development Division. Key objectives were to re-evaluate the city's role in economic development to determine how the city can be a leader in job and wealth creation as well as a key player in the region.The Mayor and City staff wanted to be more focused and strategic in their economic development (ED) efforts; as well as determine how to have more effective business retention, expansion and attraction.programs. Through the development of a background report, a site visit by IEDC expert panel and staff, and a final report of recommendations, the assessment includes a review of the following economic development activities: • Strategic planning • Organizational capacity and programs • Business retention and expansion • Business attraction and marketing • Relationships with other agencies Ecuador Regional Development Agency Assessment and Investment Generation Infrastructure Recommendations (2007) Location: Ecuador IEDC worked with a team to assess regional economic development organizations in Ecuador with a focus on increasing organizational capacity for regional competitiveness; investment promotion and business attraction. Along with organizational assessment site-visits,the IEDC team held a symposium on good practices in international investment promOtion programs and activities.The project included an.assessment and review of the investment prornotion infrastructure in Ecuadorian regional development agencies and an action plan to develop an investment promotion program in the country. Redevelopment Authority Strategies(2007) Location: Washington, DC IEDC assessed two District of Columbia redevelopment authorities and put forth scenarios for restructuring.The project analyzed current structures and activities, introduced comparative city IEDC Proposal to the City of Salina, Kansas 10 economic development organization case studies, and offered scenarios of future organizational structures for Washington DC. The assessment included a review of the following activities: • Current YIDA strategies, policies and programs • Participation in and approach to projects • Policies related to incentives and financing Organizational and administrative issues (IDA and LDCs) • Information management and communications . • Relationship between economic development organizations Economic Development Assessment (2004) Location: Hamilton County, OH IEDC assessed the Hamilton County's role in economic development and provided policy alternatives and recommendations for improving the county's effectiveness. General Requirements. A. Additional Insured. With the exception of the workers' compensation policies to be obtained by IEDC hereunder, all policies shall name the City and Authority, their agents, representatives, officers, officials, and employees as additional insureds. Insurance for the additional insured shall be as broad as the insurance for the named insured, including defense expense coverage, and, with respect to the commercial general liability policy required hereunder, shall be endorsed to apply as primary and non- contributory insurance before any other insurance or self-insurance, including any deductible, maintained by, or provided to, the additional insured(s). B. Waiver of Subrogation. Where allowed by law, all policies will include a waiver of subrogation in favor of the City and Authority, their agents, representatives, officers, officials, and employees. C. Claims Made Policies. If coverage is written on a claims-made basis for any of the policies required by this Agreement, IEDC must maintain the coverage for a minimum of two (2) years from the date of final completion of all work under the Agreement. D. Premium and Deductible Expenses. IEDC shall be responsible for all premiums and retention or deductible expense for any and all policies required by this Agreement. 2. Specific Coverage Requirements. A. Commercial General Liability ("CGL"). The IEDC shall maintain CGL coverage written on ISO Occurrence form CG00 01 or an industry equivalent, which shall cover liability arising from Personal Injury, Bodily Injury, Property Damage, Premises and Operations, Contractual Liability, Independent Contractors and Advertising Injury. The policy limits shall not be less than the following: • Each occurrence $1,000,000 • General aggregate $2,000,000 • Personal and Advertising Liability $1,000,000 B. Business Automobile Liability ("BAL"). IEDC shall maintain BAL coverage written on ISO form CA 00 01 or an industry equivalent. Coverage shall be applicable to all autos and other vehicles subject to compulsory auto liability laws that are owned, hired, rented or used by the IEDC and include automobiles not owned by but used on behalf of the IEDC. The BAL policy limits shall not be less than the following: • Combined single limit $1,000,000 C. Workers' Compensation/Employer's Liability. The IEDC shall maintain workers' compensation and employer's liability coverage with policy limits not less than the following: • Workers' Compensation (Coverage Part A) o Statutory • Employer's Liability(Coverage Part B) o $100,000 each accident o $500,000 disease—policy limit o $100,000 disease—each employee
