MEMORANDUM OF GRANT AGREEMENT
Acceptances of a Kansas Energy Office (hereinafter "Grantor") grant
by G l�tx_.n f Salina
(hereinafter "Grantee" )
to implement programs or program elements identified in the Kansas Energy
Conservation Plan (developed under authority of PL 94-305 and PL 94-1G3)
shall constitute agreement to the following provisions : •
1. The Grantee shall adhere to the work program and budget , and
shall submit deliverables and carry out those tasks as specified in the
"Program Narrative" , which is incorporated into this agreement as Exhibit
A.
2. The Grantee shall adhere to the "Assurances" , which .document is
incorporated into this agreement as Exhibit D.
3_. The total amount payable under this grant award shall not exceed
513,500:00 .
• 4. This .agreement •shall become effective February 1, 1979

It is expressly agreed that the terms of each and every provision In this attachment shall

2. AGRECMEN'r WITH KANSAS LAW
All contractual agreements 'shall be subject to the laws of the State of Kansas.
I. i.IABILITY IMMUNITY
The contractor and others interested in this agreement are hereby notified and understand
that any agency of the State of Kansas is immune from liability and suit on any implied
contract, or for negligence, or any other tort pursuant to K.S.A. 46-901, and the parties
agree that no provision herein, expressed or implied, special or otherwise, directly or
indirectly shall be deemed to constitute a waiver of this immunity, notwithstanding any
. such provision to the contrary.
4. TERMINATION DUE. TO ti.CK OF FUNDING APP1tOPRIATICI
If funds are not appropriated to continua the function performed in this agreement and for
the payment of the charges hereunder, State may terminate this agreement at the end of its
current fiscal year. State agrees to give written notice of termination to contractor at
• least 30 days prior to the end of its current fl swell year, and contractor will then have
the right to take possession of the equllrnent at the end of such fiscal year. State will
pay to contractor all regular contractual payments incurred through the end of such fiscal
year, plus charges incident to the return of the equipment. Upon termination of the agree-
ment by State, title to the equipment will revert to contractor at the end .of State's
current fiscal year. The termination of the contract for this reason will not cause any •
penalty to be charged to the agency and/or the lessee.
•
5. INSURANCE RESPQISIRILITY AND 1,IADTLITY
The contractor's interest in all property herein described, if any, or any personal liability
to him/her arising from this agreement, to whatever extent, shall be considered to be
covered by applicable insurance by the contractor to the extent required. Notwi thstanding
any language to the contrary, no interpretation shall he allowed to find the State of
Kansas or any of its agencies responsible for loss or damage to persons or property ndr to
hold contractors harmless from any such occurrences.

6. NrTI-DISCRIMINATION CI.USE
The contractor hereby agrees and covenants as a condition of the contract that he/she will
comply, if required by said law, with the provisions of K.S.A. 44-1030, et seq. , and that
his/her failure to do so may be deemed by the Director of Purchases to be a breach of the
contract and may subject the contract to ba terminated in whole or in part by the Director
of.Purchases. •

7. ACCEPTANCE OF CONTRACT
This contract shall not be considered accepted, approved or otherwise'effective until the
statutorily required approvals and certifications have been acquired.

Re: Project Conserve Grant Application
Dear Mr. King:
The Salina City Commission, meeting in regular session on January 8,
1979, voted unanimously to authorize the filing of this request for
$13,500 in grant funds from your office to undertake Project Conserve
within the City of Salina, Kansas.
It is proposed that approximately 15,000 questionnaires will be mailed
out to Salina residents. This project is estimated to require three
additional persons approximately 10-14 weeks to complete the project.
This project will be co-sponsored by the City of Salina Department of
Planning and Community Development, the Salina Energy Usage Commission
and Kansas Power and Light Co. and will be coordinated by the Salina
Community Development (CD) office. The City will contribute the services
of the Conuuunity Development staff in general and the Winterization
Coordinator in particular to direct and coordinate this program. Office
space and equipment will be contributed through the CD office and the
Salina Water Department will provide the mailing list and computer time
for making address labels.

Objective of the Program:
. Project Conserve is being undertaken by the City of Salina to make the
citizens aware of what they can do in their own home to save fuel and energy.
Although the questionnaire will be mailed city-wide, the prime area of
concern, which has been previously designated as an area needing concentrated
efforts towards housing rehabilitation, is the North and West sections of
Salina. . .
•
Key Personnel : •
The. responsibilities of Project Conserve will be directed by the
Winterization Coordinator from the Office of Community Development. It is
proposed that three people will be hired for full time work that will . last
approximately twelve weeks. Their duties will be:
stuff envelopes
• assist people filling out questionnaires
tabulate returns
• follow-up work to increase questionnaire returns
proofread returns
mail computer print-outs to respondents
assist people with interpretation of results
provide information to homeowners on programs available to
help. them winterize their homes.
Program Description: •

The following is a list of tasks that will be carried out by personnel in
Salina to reach the goals of Project Conserve:
•
(a) Compile a list of residents in the City to send the questionnaire
(b) Advertising through various media to make people- in Salina aware
of Project Conserve
• (c) Stuff and mail out questionnaires to residents
(d) Assist residents in filling out the questionnaire •
(f(e) Collect questionnaires
) Return questionnaire to Topeka '
(g) Distribute computer printouts to. residents answering I
the questionnaire
(h) Assist residents with the interpretation of the
• information on the computer printout.
Project Conserve will be under the direction of the Conununity Development
Division and co-sponsored by the Salina Department of Planning and Community
Development, the Salina Energy .Usage Commission and the Kansas Power and Light
•

Company. The list of mailing addresses is being provided by the City Water
Department. The approximate number of questionnaires to be mailed is 15,000.
It is anticipated that three people will be hired to work on the project for
its duration, which is estimated to be twelve weeks. These people will be
assisted by the Community Development staff, who will provide the technical
knowledge needed to answer questions that the people of Salina might have
regarding the questionnaire as well as how to prepare their home to save on
energy costs. •
Advertising, which is very important for the success of the project, will
be made using the local radio stations, KSAL, KIWA, KYEZ and KSKG, through paid
• announcements as well as public service spots. Display ads will appear in the •
Salina Journal -and the Shopper' s Guide. To make citizens well aware of Project
Conserve, ads will start appearing and announcements made two weeks before the
questionnaire will be mailed. Follow-up advertising will also be done as a
reminder for people to get the questionnaire returned to the Community Develop-
ment Office so it can be forwarded to Topeka for analysis.
• When the print-outs are returnee to responding Salinans, information about
the Winterization Program offered through Community Development and the Insulation
Program available through the Kansas Power and Light Company will also be provided.
People will be strongly encouraged to inquire about assistance in obtaining
insulation and storm windows. -

idilestones:
•
. Preparations are being made to begin getting the questionnaire into the
homes by the first or second week of February. This means advertising will start
by mid-January and extra personnel will be hired by then to get started on pre-
paring the questionnaires for mailing. It is estimated that the largest portion
of the questionnaires should be returned to Topeka by the beginning of March,
with follow-up work beginning immediately to encourage the return of the ques-
tionnaire. Return of tLa computer print-out will be determined by how lonn it
takes for 'enough to collect to he railed out using the brilk rate, but it is
estimated •to begin by the end of March or the beginning of April . �
•
Budget:
Following the application narrative are the estimated costs by major
expenditure categories for the execution or Project Conserve. •It is anticipated
• that a great deal of follow-up work will be needed after the initial mail-out of
the questionnaire to assist homeowners in filling out the form as well as inter-
preting the results on the computer print-out sheet, The total amount requested
for this grant is $13,50O.0U . •

Local Contribution:
The City of Salina will lend the services of the Community Development
Division staff, with Project Conserve being directed by the Winterization
Coordinator. The experience of the staff regarding working with Salinans
• specifically in housing weatherization and rehabilitation will be of signif-
icant importance to insure the success of Project Conserve. Office space and
equipment will also be contributed through Community Development. The Water
Department will provide the mailing list and the computer time necessary for
making the address labels.
•
• Evaluation: • •
•
The success of Project Conserve will be measured in two ways. The first
will simply be in the percentage of people who respond to the questionnaire;
the higher the rate of return will signify that the efforts expended paid off.
The second form of evaluation, which is most important to the City of Salina,
• is the number of people that will be encouraged to partake of the Winterization •
Program.. that is available in Salina. • Community Development would like to use .
• Project Conserve as another way to make Salinans aware of the Winterization
Program and that there is help available for low to moderate income families to
winterize their homes in order to save fuel and conserve energy. Project
• Conserve, if successful , will provide the incentive for people in Salina to
• look into energy conservation and the City Winterization Program will be a
resource for them to use in order to achieve the fuel savings. •

• An evaluation of Project Conserve and the effects it has in Salina in .
relation to its existing Winterization Program will be made by the Winterization
Coordinator and submitted to the Kansas Energy Office at the conclusion of the
project.

ASSURANCES
•
1. The Grantee agroc; to submit the following reports and deliverables
to the Grantor:
a. The Grantee shall submit with 30 days after each quarter of
Grant Agreement performance a written report summarizing the
results of the activities during the precceding quarter. The
report shall summarize the work performed and results achieved
this quarter and to date, plans for the oncoming report period
and any problems encountered or anticipated.
b. A final report shall be submitted within 60 days after the
Grant Agreement is completed. The final report shall assess
the success or failure of the program and critique the
premises and measures taken.
c. The Grantee shall provide the Grantor with a copy of all audit
reports from the Grantee 's internal auditors. A final audit
report will be furnished the Grantor within 90 days of the
Grant Agreement.
•

2. General program coordination shall be provided by Lyle E. Golti
of the Kansas Energy Office. All questions or requests for
clarification or amendment by the Grantee shall be discussed with
such person.
3. . The Grantee agrees to establish accounting procedures which
assure proper disbursement of, and accounting for, grant funds.
4. Funds from this grant account shall be disbursed upon receipt of
proper invoices as follows :
a. $6,750.00 will be provided by the Grantor within 30 days of the
signing of the Grant Agreement. The Grantee shall state in
the invoice provided the projected use of the funds.
•
b. The final invoice shall not exceed, when added to the advance
reimbursement, the amount of the grant.
•
c. Requests for reimbursement shall include as a minimum the
• information shown in the following format:

5. The Grantee agrees that accounts and records will be accessible
to authorized Federal and State officials or their designated
agents for audit and examination for a period of three years
• after termination of this grant. The Grantee agrees to insert
the substance of this clause into any agreement entered into by
the Grantee and any contractors performing services for the
Grantee in conjunction with this grarit.
6. Grantee recognizes that Grantor' s authority to disburse grant
funds is dependent on availablity of federal funds for this
program, and appropriation thereof by the Kansas Legislature. Iri
the event that such funds are no longer available, Grantor shall
• notify Grantee at the earliest possible opportunity thereof and
Grantee may forthwith cease further work directed toward carrying
. out the grant objectives.
7. The parties may, from time to time, request changes in the grant •
agreement. Such changes which are mutually agreed upon by and
between the Grantor and Grantee must .be incorporated in written
•
. amendment to this grant.
•
8. The Grantor may, upon at least two weeks written notice to Grantee,
•
terminate this grant in whole or in part for just cause, which
shall include: ( 1) failure, for any reason, of the Grantee to
fulfill in a timely and proper manner its obligations under this
grant; (2) submission by the Grantee of' repor-ts that are incorrect
•
or incomplete in any material respect; or (3) ineffective or
improper use of funds provided under this agreement.
In the event of any termination , all : advanced and unexpended
funds , or unfinished documents , data , studies ,' and reports
prepared by the Grantee under this grant shall he delivered to
the Grantor. Further, Grantee shall be -entitled to compensation
for any unreimbursed expenses reasonably and necessarily incurred
in terminating work under this grant. Notwithstanding the above,
the Grantee shall not be relieved of liability to the Grantor for
•
damages sustained by the Grantor by virtue of any breach of the •
agreement by the Grantee and the Grantor may withhold any reimburse-
merit to the Grantee for the purpose of set-off until such time
as the exact amount of damages is agreed upon it otherwise
determined,
9. This agr•eement'may be terminated upon the mutual consent of the
parties.
10. The Grantee agrees to comply with the provisions of appropriate
federal , state and local civil rights, nondiscrimination, and
equal opportunity laws or regulations.
