FORM OF CERTIFICATE OF FULL COMPLETION
Pursuant to Section 4.07 of the Agreement, the City shall, within ten (10)days following delivery of
this Certificate, cony out such inspections as it deems necessary to verify to its reasonable satisfaction the
accuracy of the certifications contained in this Certificate.
CERTIFICATE OF FULL COMPLETION
The undersigned, SPARROWHAWK LAND, LLC AND ALSOP SAND, INC. (the
eveloper" , pursuant to that certain Improvement District Development Agreement dated as of
y 2012, between the CITY OF SALINA, KANSAS (the "City") and the Developer (the
Agreement ),hereby certifies to the City as follows:
1. That as of No.1 —6 ) , 2012, the construction of all Improvements (as such term is
defined in the Agreement)have been completed in accordance with the Agreement.
• 2. The Improvements have been completed in a workmanlike manner and in accordance
with the Construction Plans(as those terms are defined in the Agreement).
3. Lien waivers for applicable portions of the Improvements have been obtained, or, to the
extent that a good faith dispute exists with respect to the payment of any construction cost with respect to
the Improvements, Developer has provided the City with a bond or other security reasonably acceptable
to the City.
4. This Certificate of Full Completion is being issued by the Developer to the City in
accordance with the Agreement to evidence the Developer's satisfaction of all obligations and covenants
with respect to the construction of the Improvements.
5. The City's acceptance and the recordation of this Certificate with the Saline County
Recorder of Deeds, shall evidence the satisfaction of the Developer's agreements and covenants to
construct the Improvements.

This Certificate shall be recorded in the office of the Saline County Recorder of Deeds against all
of the Developer's Property which is subject to the Agreement. This Certificate is given without
prejudice to any rights against third parties which exist as of the date hereof or which may subsequently
come into being.
Terms not otherwise defined herein shall have the meaning ascribed to such terms in the
Agreement.
