Conditional Contract for Purchase of Vehicle (2004 Ford Expedition) CONDITIONAL CONTRACT FOR PURCHASE OF VEHICLE This Conditional Contract for Purchase of Vehicle ("Contract') is entered into this 14`h day of April 2011, by and between Long McArthur Ford ("Seller') and the City of Salina, Kansas ("City"). RECITALS A. Seller owns a fully operable, blue, 2004 Ford Expedition 4x4, 1 FMPU16L24LA95624 , j with a current,odometer reading of 87,208 (the"Vehicle"). B. Seller desires to sell.and Buyer desires to buy the Vehicle for use as an arson K-9 unit, subject to the terms and conditions set forth herein. t The parties therefore covenant and agree: 1. Conditional Sale. Seller agrees to deliver the Vehicle, a clear certificate of title, and any remaining factory warranties to Buyer no later than April 12, 2011, in exchange for$1.00 and identification of Seller as the provider of the Vehicle, subject to the following conditions: (a) Buyer shall sell the Vehicle back to the Seller in exchange for$1.00 on the two-year anniversary of the delivery of the Vehicle by Seller to Buyer. (b) Buyer shall equip and use the Vehicle primarily as the Arson K-9 unit and secondarily for any other public safety function deemed necessary by the Fire Chief. (c) While under Buyer's ownership, the Vehicle will be marked at one location on each side of the Vehicle with lettering no more than 2" in height identifying Seller as the vehicle provider. (d) Buyer shall maintain and insure the vehicle during the term of its ownership. (e) Upon the return sale of the Vehicle to Seller, the Vehicle shall be in good condition, subject to reasonable wear and tear normally associated with use of the vehicle as a K-9 unit for a period of two years. 2. Non-assiqnable. Due to the unique circumstances of this Contract, neither party shall have the right to assign any of its rights or obligations hereunder. 3. Binding Effect. This Contract shall be binding upon the parties and their successors and assigns. Executed by the duly authorized officers of the parties as of the date first above written.
