Attached is our quotation on the loaner Truck Mounted TV and Sealing Unit
we discussed.
The Williamsport (Pennsylvania) Sanitary District ordered an aluminum body
TV Seal Unit from us in June. Due to a strike at the Union City Body Plant,
delivery on this unit was delayed until October. To honor our delivery.
commitment, we sent them a new steel body TV seal truck (in August).which
they used for approximately two months. Most of the use was with the TV
system rather than the sealing unit. Upon delivery of their unit we transferred
all the non -fixed components to them. Therefore our loaner unit which we
are proposing to you would carry all new components (except the fixed in
place components) to include the camera, skids, lights, winches, downhole
gear, packers, plugs, etc. All the equipment would carry a new unit warranty
(except the truck). Should the truck require painting, CUES would allow
up to $150 to repaint the truck locally. The truck would have approximately
6,000 miles on the speedometer upon arrival.
I feel this is an excellant opportunity for the City to obtain a truck
mounted unit and still remain within your funding guidelines. As an
example, the City of Coffeyville recently bid a similiar unit and it
was priced at just under $34,000. It did include several optional items
not included with the loaner unit; however, with the day to day price
increases you will realize about a 2,000 to 3,000 dollar savings. Also
we have been advised that 1975 trucks will carry a $900 upcharge.
To keep the City's risk at a minimum, we have given you a 30 day period
(from delivery) to examine the unit and determine its value before making
payment.
Should you decide to accept this offer I would appreciate a prompt reply
either by letter or phone so I can coordinate the delivery. Please contact
me in Orlando if I can supply any additional information.

between CUES, Inc., 3501 Vineland Road, Orlando, Florida 32805, hereinafter
called LICENSOR, and _City of Salinas —Cit Salina. Kansas. 67401_
hereinafter called
LICENSEE.
WHEREAS, LICENSOR manufactures and sells equipment covered by one
or. mora of the following U.S. Letter Patents, to -wit; Numbers 3,168,908;
3,168,9091 3,103,235 and 2,971,259 which patents relate to cleaning and
repairing sowerlines;
WHEMNS, LICENSLL is desirous of or has acquired certain of said
equipment covered by said patents for use in accordance with methods covered
by said patents;
NOW, THEREFORE, LICENSOR hereby gives and grants to LICENSEE a non-
exelusive license for the life of all of its Lettere Patent set forth above
to use the equipment sold to LICENSEE embodying mechanisms and including .use
Of said equipment in accordance with the methods covered by any and all of the
said letters patent relating to the equipment sold to LICENSEE, or covered by
any drawings, designs orspecifications relating to the said machines, whether
or not the subject letters patent.
In the event that the LICENSEE shall default in the performance of
any of the terms, covenants and conditions of thisagreement, or of the purchase
agreement for said equipment, the LICENSOR shall have the right to terminate the
same upon giving notice in writing by registered mail to the. LICENSEE at his
address herein set forth.
This license covers only equipment sold by LICENSOR to LICENSEE.
The LICENSEE shall not at any time during the continuance of this
agreement or thereafter dispute the validity of any patents covered hereunder.
This license is granted for the exclusive benefit of the LICENSEE and
shall not be assigned by him without the consent in writing of the LICENSOR.
This agreement shall be binding upon and inure to the benefit of the
Parties hereto, their heirs, legal representatives and successors.
This agreement in made in the State of Florida and Shall be interpreted
in accordance with Florida law.
IN WITNESS WHEREOF, the parties hereto have hereupon set their hands
and seals the date and year first above written.

Ri:GULATIONS ON CUES ELECTRONIC LOANER EQUIPMENT -
1. "Loaner Equipnant is available to all CUES CUSTOMERS subject to
these regulations when CUES has equipment available. There is no charge except
transportation for the use of the equipment provivad the CUSTOMER'S faulty
equipc,ent is returned to CUES for repair.
In the event CUES does not receive the faulty equipment in fourteeMi(14)'
days,after receipt of the Loaner Equipment by. the CUSTOMER, the Loaner Equipment
will,be considered Rental Equipment and billed at the following rates3
TV Sewer Camera - $100.00 per day
14" Industrial Monitor $ 25.00 per day
Power Control Unit $ 30.00 per day
All rental is billed from dayshipped by CUES to day received by
CUES.
2. Loaner Equipment is to be immediately returned to CUES by
the CUSTOMER upon receipt of their repaired equipment. Loaner Equipment not
shipped within 48 hours of CUSTOMER"S receipt of their repaired equipment
will be considered Rental Equipment and billed at the rates shown in item one
until received by CUES.
3. Damage to Loaner Equipment while in the CUSTOMER'S possession
or in transit from the CUSTOMER to CUES, Inc. is the CUSTOMER'S responsibility.
Repairs will be billed at current rateperhour plus parts.
4. CUSTOMER is responsible for all freight charges and insurance on
Loaner Equipment. _
5. All Loaner Equipment moat be insured for list value when shipped
by CUSTOMER to CUES. List value is as followse '

6. Air freight precoamended by CUES will°be the method of shipment
whenever possible.
e 7. This agreement will become effective. when signed by an authorized
representative of CUES.
S. .Loaner privileges may be revoked in the event that the CUSTOMER
becomes deliquent in financial obligations with CUES.
9. All legal expenses Involved in return of CUES property or collection
of funds for rental of equipment would be the responsibility of the CUSTOMER.
