VENDOR'S COPY AGREEMENT for PROFESSIONAL CONSULTING SERVICES between the CITY OF SALINA, KANSAS and WILSON & COMPANY, ENGINEERS & ARCHITECTS Salina, Kansas This is an Agreement made as of the � day of :7&.�r , 1983, by and between the City of Salina, Kansas (Hereinafter called the City) and Wilson & Company, Engineers & Architects (Hereinafter called Consultant). The City and Consultant, in consideration of their mutual covenants herein, agree in respect of the performance of professional services by Consultant and the payment for those services by the City, as set forth herein. City intends to separate approximately forty-eight storm sewer inlets from existing sanitary sewer collection system. The locations of these inlets are as follows: Santa Fe, Claflin Avenue to Republic Avenue Republic Avenue, Santa Fe to Fifth Street Fifth Street, Republic Avenue to Bond Street Wilson Street, Fifth Street to Santa Fe Eighth Street, Prescott Avenue to South Street Weil Place, Eighth Street to Seventh Street Fifth Street, South Street, south 500 feet Fourth Street, Center Street to Smoky Hill River Elm Street, 1/2 block west of Kansas east to Ohio Ash, Oakdale to River Gypsum Avenue, Penn Avenue to I/2 block west of Oakdale Avenue Penn Avenue, Gypsum Avenue to Smoky Hill River Phillips Street, Iron to 1/2 block south Elm Street, at alley west of Second Street Ninth'Street, Ellsworth Avenue to Sunset Avenue SECTION 1 - BASIC CONSULTING SERVICES The Consultant will perform the services listed below with assistance from the City as indicated. SECTION 2 - ADDITIONAL CONSULTING SERVICES If authorized by the City, the Consultant may provide additional services not included in the Basic Consulting Services (Section 1). Such additional services may consist of additional inlets to be separated or other consulting services requested by the City to complete the project, but not specifically included in the Basic Consulting Services. Payment for Additional Consulting Services shall be on a man-hours and expenses basis as provided in Section 3 of this Agreement. SECTION 3 - PAYMENT TO CONSULTANT Basic Consultine Services For all services described in Section 1 and designated to be performed by the Consultant, payment by the City to the Consultant shall be a lump sum amount of $24,800. Payment shall represent full compensation to the Con- sultant for all payroll costs, expenses, oveihead, profit and all other costs in connection with the engineering services described. The compensation for Basic Consulting Services shall be payable not more often than monthly, in proportion to services performed, upon written request from the Consultant and shall not exceed a sum equal to 95% of the total fee for Basic Consulting Services before submission of the final plans. A sum equal to 100 percent of the total fee for Basic Consulting Services shall be due following delivery of the final plans to the City. Additional Consulting Services The compensation for Additional Consulting Services as described in Section 2 of this Agreement shall be paid monthly upon presentation of the Consul- tant's statement of services rendered. In return for these services, we propose to charge on a man-hour and expenses basis for partners in or employees of the Consultant, for all time spent, including travel time, in accordance with the attached "Hourly Rate Schedule" and "Miscellaneous Charges" schedules dated July 1982. The "Hourly Rate Schedule" and "Miscellaneous Charges" schedules reflect charges which vary with salary and other costs. To reflect current costs these schedules will be reissued in February and August of each year. Charges for services will be based on the schedules in effect when a billing period starts. Time of Payment The City shall make prompt monthly payments in response to Consultant's invoices. If City fails to make any payment due Consultant for services and expenses within sixty days after issuance of Consultant's bill there- fore, the amounts due Consultant shall include a charge at the rate of 1 percent per month from said sixtieth day and, in addition, Consultant may, after giving seven days' written notice to City, suspend services under this Agreement until Consultant has been paid in full all amounts due him for services and expenses. 3 IN WITNESS WHEREOF, the parties hereto have made and executed this Agreement as of the day and year first above written.
