THIS AGREEME/NT, made and entered into this Z/ day of
Dua4.bo)/ , 1987, by and between the CITY OF SALINA, KANSAS,
Party of the First Part, hereinafter referred to as the CITY; and WILSON b
COMPANY, ENGINEERS 6 ARCHITECTS, with offices at 631 E. Crawford, Salina,
Kansas, Party of the Second Part, hereinafter called the CONSULTANT. This
Agreement consists of 3 pages.
WITNESSETH: That for and in consideration of the services to be rendered
and the payments hereinafter agreed to be made, it is mutually agreed as
follows:
Proiect Definition
The project design will be for three specific items of construction as out-
lined below:
1. A reinforced concrete box storm sewer from the north end of the Third
Street Slough northeasterly to Second Street, thence northerly along the
center portion of Second Street to Prescott Avenue, thence northeasterly to
the Smoky Hill River.
2. Design that portion of Second Street disturbed by the storm sewer.
3. Design relocation of 6 -inch water line or 8 -inch sanitary sewer.
SECTION I - BASIC CONSULTING SERVICES
A. Scope of Services.
1. The CONSULTANT shall perform a flood routing analysis along the Third
Street Slough to determine the available storage in the slough for sizing
the reinforced concrete box storm sewer. This analysis does not take into
account any overflow from South Salina that may enter the Fourth Street
Drainage System.
2. The CONSULTANT shall prepare construction plans and specifications for
construction of the reinforced concrete box storm sewer, reconstruction of
the disturbed portion of Second Street and other street crossings disturbed
by the storm sewer construction and the relocation of a 6 -inch water line,
or 8 -inch sanitary sewer. The major portion of the concrete box storm sewer
shall run approximately along the center of Second Street so as not to dis-
turb an existing 66 -inch storm sewer under the south bound line. Connection

to the concrete box storm sewer of an existing 18 -inch storm sewer, and pro-
posed 60 -inch and 48 -inch storm sewers at the Crawford Street crossing shall
be included in the construction plans.
3. The construction plans and specifications shall be assembled and bound
as one project.
B. The CONSULTANT agrees:
1. To complete the work as defined in the scope of services of this agree-
ment within 150 calendar days after notice -to -proceed with the work exclu-
sive of the time required for reviews and delays beyond the CONSULTANT's
control.
2. To submit a final construction cost estimate.
3. Assist the CITY in filing the required documents for the approval of
governmental authorities having jurisdiction over the project, if required.
4. Furnish the CITY with three (3) sets of completed construction plans,
specifications and contract documents.
5. During the construction phase of the project, the CONSULTANT shall check
contractor -submitted shop drawings for conformance to construction plans and
specifications and will be available for consultation relative to required
interpretations of the plans and specifications.
6. The CONSULTANT will conduct a final inspection of the project with CITY
and Contractor representatives, if requested.
7. Furnish the CITY with reproducibles of the completed construction plans.
C. The CITY Agrees. For all services described in Section I and designated
to be performed by the CONSULTANT, payment by the CITY to the CONSULTANT
shall be a lump sum amount of $60,325. Payment shall represent full compen-
sation to the CONSULTANT for all payroll costs, expenses, overhead, fees and
all other costs in connection with the engineering services described.
The compensation for Basic Consulting Services shall be payable in three
increments (15% Survey, 50% Preliminary Plans, 90% City Review Plans and
Specifications) which is in proportion to services performed, upon written
request from the CONSULTANT.
A sum equal to 100 percent of the total fee for Basic Consulting Services
shall be due following delivery of the final plans and specifications to the
CITY.
SECTION II - OTHER CONSIDERATIONS
The right is reserved by the CITY to terminate this Agreement at any time,
upon written notice, in the event that a given project is abandoned or
indefinitely postponed, or the CONSULTANT fails to prosecute the work with

due diligence; provided, however, that in any case the CONSULTANT shall be
paid the reasonable value of the services rendered up to the time of term-
ination as mutually agreed upon.
The parties hereto agree that should there occur a change of scope in the
work, resulting in an increase of costs to the CONSULTANT over the original
agreement, that this contract shall be subject to adjustment to cover the
increase in the CONSULTANT's cost. This adjustment shall be negotiated in
the same manner as the basic agreement including cost estimates, and executed
as a Supplemental Agreement to the Original Agreement.
It is agreed that this Agreement, and all contracts entered into under the
provisions of the Agreement, shall be binding upon the parties hereto and
their successors and assigns.
IN WITNESS WHEREOF: The parties of the First and Second Parts have here-
unto set their hands and seals the day and year first above mentioned.

The design phase of the extension of the Slough Drainage System involves the
preparation of construction plans for a reinforced concrete box storm'sewer on
Second -Street between Crawford Street and the old river channel at Prescott Street.,
The consultant will also perform flood routing analysis along the Slough from
Cloud Street to Crawford Street to:determine the available storage in the Slough:;
This available stormwater storage analysis will be required to correctly size the: -
proposq.d storm sewer structure on Second Street.
The proposed extension and expansion of the Slough Drainage System will greatly
alleviate the flooding problems alonq Crawford Street between Front; Street and
Second Street caused by the hydraulic constrictions at the north end of the Slough
at Crawford Street. This project was recommended in Wilson & Company's South
Salina Drainage Study.
The, design phase of this project was included in the 1987 budget (Capital
Improvements) and the construction phase is currently scheduled for 1989 in
the 1988-1992 Capital Improvement Program. This construction project will be
coordinated with the various phases of the Crawford Street reconstruction
project.
