APPENDIX A
TERMS AND CONDITIONS OF SALE
Terms of Sh~pment
All prices contained herein are Free On Board, Montebello,
California U.S.A. Charges relating to the movement of the
equipment from inland point of loading, freight and insurance
are the buyer's responsibility.
Terms of Payment
Deposit payment of 20% of the total purchase price is required.
We guarantee the purchase price shall remain firm in accordance
with the prices in effect at the time we receive your purchase
order. When your purchase order is confirmed by us, you will
be advised of current price changes, if any. If a price increase
has occurred, you will be requested to submit any additional
deposit required. The balance of the purchase price shall 'be due
when we deposit the goods with a carrier for shipment to you. In
the event we ship goods to you by lots, then the balance is to
be paid on date of shipment of each portion.
Cancellation
In the event you should cancel your order or any portion thereof,
you agree to pay a sum equal to a "percent" of the equipment pur-
chase price. In the event your cancellation should occur within
30 days after confirmation of your purchase order, the "percent"
cancellation fee will be 5%; within the next 30 days 10%; and in
the event your cancellation should occur after 60 days, the cancel-
lation fee will be 20%. It is understood that these cancellation
fees shall be in lieu of enforcing the contract by us and shall
be considered liquidated damages. It is agreed that this sum is
a reasonable approximation of the actual damages which jointly we
presently anticipate and would result from a cancellation; and
that it is imposed not as a penalty but for the sole purpose of
avoiding the difficulties of proof of the actual damages. No
cancellation can occur after shipment has been made. This cancel-
lation fee will be deducted from your deposit or be paid by you on
the date of cancellation in the event you have chosen not to make
a deposit.
You further agree that you will be subject to additional costs,
determined by us, in the event you should, with our consent, change
the order in any way or the date of delivery. The period of any
delay attributable to Dual Fuel shall not increase the price to you.
Further, Dual Fuel will not be liable for its failure to meet the
quoted delivery dates.

APPENDIX B
EQUIPMENT DESCRIPTION - DUAL FUEL VEHICLE KIT
The Dual Fuel Vehicle Kit enables a vehicle with a gasoline engine
to operate on Compressed Natural Gas while retaining the ability to
also operate on gasoline.
Gas/Air Mixer
The patented Dual Fuel gas/air mixer and two-stage regulation is the
most reliable and advanced design in the world. Simplified instal-
lation and universal mounting permits the equipment to be adapted to
any type vehicle.
Cylinder
All cylinders supplied by Dual Fuel Systems, Inc. are constructed to
United States Department of Transportation specifications. Each
cylinder is equipped with a shut-off valve built to U.S. Compressed
Gas Association standards with safety functions approved by the
U.S. Bureau of Explosives.
Manifolding Material
On multiple vehicle storage tank installations, the cylinders are
interconnected using fittings and tubing designed to. withstand
pressures in excess of four times optimum fill pressure.
Mounting Brackets
Dual Fuel Systems, Inc. provides bracketry that secures the vehicle
storage cylinders in such a manner as to resist crash forces. Each
cylinder is secured by two sets of steel clamps which are inter-
connected with a section of formed steel channel. Each section of
formed steel channel is secured to the vehicle by a minimum of two
1/2-inch diameter bolts with three square-inch cut washers to assure
maximum secured strength.
Vapor Sealing Material
In closed vehicles to prevent the possibility of natural gas entering
into passenger and driver compartments in the unlikely event of a leak,
cylinder valves and manifolding are enclosed in a vapor-tight envelope
which is vented outside the vehicle.
Expanded Metal Guard
The expanded metal guard is installed when necessary to protect the
vapor sealing material from possible damage.

EQUIPMENT DESCRIPTION - DUAL FUEL REFUELING STATION
The Dual Fuel Refueling Station is packaged specifically to compress
natural gas for vehicle fleets. The package contains special features
and safety devices necessary for the application.
Installation
For ease of installation, the Refueling Station requires only three
connections:

Regulated Gas Supply
Connection from Compressor Discharge to CNG Storage
Equipment
Equipment Features
General features of the station are:
Dual Fuel compressor(s) with automatic start and stop,
manual start and stop, manual start and automatic stop,
explosion-proof controls.
Quick-fill storage with a minimum withdrawal capacity
of approximately 2400 cubic feet (when specified and
equipped with an automatic sequential system).
High pressure hose drop assembly(ies) complete with
refueling valve(s) .
All necessary regulators, filters and related equipment.

TECHNICAL SERVICES DESCRIPTION
Dual Fuel Systems, Inc. will provide technical assistance at your
facility as follows:
Supervise initial start-up of refueling system to ensure safety
devices are functioning and proper pressures are being maintained
and delivered.
Provide instruction to drivers in Compressed Natural Gas safety and
Dual Fuel vehicle operation.
Provide two weeks of intensive training on vehicle conversion and
refueling systems maintenance for your designated technicians at
the Dual Fuel training facility, Montebello, California. (Trans-
portation and lodging expenses to be assumed by your company) .
Training to be Provided by Dual Fuel Systems, Inc.
First Week - Vehicle Conversion - Classroom review of principles of
natural gas and shop safety. Instruction as to design, function
and operation of each system component. Tear-down and assembly of
each component to obtain thorough knowledge of the system. In depth
instruction in complete vehicle conversion technique.
Second Week - Refueling System - Classroom instruction covering
installation, troubleshooting, maintenance and overhaul of the com-
pressor equipment and related refueling system components. Manual
review of design and function, service intervals and maintenance
schedules. Instruction on electrical components - motor, relays,
transformers, solenoids and appropriate safety devices. Study of
fuel measurement and related system pressures. Use of pressure chart
for fuel measurement. Temperature correction and how it is related
to volume.
Dual Fuel Systems, Inc. will furnish the following list of
instructional materials:
Vehicle conversion instruction and servicing manuals
Instruction and maintenance service manuals for the refueling
station equipment
Vehicle tuneup kits required for final natural gas tune up
of converted vehicles.
