Norman, OK. 73069 405-759-7386 office 405-759-7385 fax pg.1 AGREEMENT FOR LIGHTS/SOUND CONTRACTING Agreement made this 30th day of March, 2010, by and between HooDer Sound Production Services, (hereinafter referred to as the "Contractor") and Salina Arts and Humanities Commission, (hereinafter referred to as the "Buyer") for the purpose of contracting Lights/Sound reinforcement between the undersigned parties. This agreement shall auto renew for 2011, and 2012, cost and terms to be re-negotiated each year, based on equipment needs, artist requirements, and other events and contingencies. 1. Contractor hereby agrees to provide all the sound and lighting equipment specified in Exhibit "A". attached hereto and made a part of this Agreement. Contractor warrants that the equipment listed in Exhibit" A" is in good working order. 2. The Contractor shall have the equipment provided for in Exhibit "A" set up and ready to operate at: The Bi-Centennial Center. Salina. KS by 7:00 PM on June 9.2010. Eric Stein Staae (Oakdale Park). Salina. KS by 5:00 PM on June 10. 2010. Staae II (Oakdale Park). Salina. KS by 9:00 AM on June 11. 2010. For: "Smoky Hill River Festival 2010". As Der festival schedule from June 10-13. 2010. 3. Load-in may commence at: Bi-Centennial Center at 1 :00 PM on June 9.2010. Eric Stein Staae at 9:00 AM on June 10. 2010. Staae II at 4:00 PM on June 10. 2010. 4. Contractor will provide W qualified personnel to insure the proper operation of all equipment provided for in this Agreement. 5. Buyer will provide at their expense, a minimum of ffi stage hands for the load in and load out of contracted equipment listed in Exhibit "A". Stage hands must be healthy, able bodied persons capable of lifting large and heavy items such as speakers, amplifiers, cables, truss, etc. Stage hands will be under the direct supervision of Hooper Sound Production Services staff and will work according to safe work practices. . I pg.2 6. Buyer shall provide the electrical power necessary for Contractor to power the lighting and sound systems. The Contractor's electrical requirements are listed in Exhibit "B" attached hereto. Buyer shall provide suitable electricians in preparing the Contractor's electrical requirements. Power must be in place and of the specifications in Exhibit "B" by: 2:00 PM October 9.2010 for Bi-Centennial Center. 9:30 AM June 10. 2010 for Eric Stein Staae. 4:00 PM June 10. 2010 for Staae II. 7. Buyer shall provide adequate security to protect the Contractor's equipment and personnel during the term of this Agreement including but not limited to overnight hours. 8. Buyer will provide adequate access immediately adjacent to the stage areas for the loading and unloading of equipment and parking/vehicle access permits to Contractor and his designated vehicles. Parking shall be reserved for any vehicle the Contractor may need in the performance of his duties hereunder. 9. Buyer shall provide !ID. clean (not smoked in) Non-Smokina hotel rooms each with W beds. Check in on June 9,2010 - Check out on June 14, 2010. 10. Buyer shall pay to Contractor the amount of $ (7.800.00) as a non-refundable deposit for Contractor's services by Mav 1. 2010 rendered as the execution of this agreement. At the completion of event, Buyer shall pay to Contractor, the balance of $ (18.200.00). 11. Buyer will reimburse to Contractor the fuel costs for transportation of equipment and personnel from actual fuel receipts submitted by Contractor. 12. This Agreement is for service rendered rain or shine. Contractor or Buyer has the right to interrupt the Contractors performance of his duties hereunder in the event of inclement weather or any other conditions which Contractor or Buyer regard as hazardous to any person or persons. Any such interruption, postponement or cancellation of services shall not affect the Contractor's compensation specified herein. Should any portion of this Agreement prove to be invalid, illegal or unenforceable, it shall not affect the balance of this Agreement. 14. Should any litigation arise between the parties hereto regarding the performance of this Agreement, the prevailing party shall be compensated for whatever damages are awarded, plus reasonable attorney's fees by the other party. 15. This Agreement is the complete understanding between the parties and supersedes and replaces all previous agreements or representations both written and oral.
