Real Estate Acquisition . : . . AGREEMENT This Agreement is made this 7th day of May, 2009, by and between JAMES H. STEVENS and ANN M. STEVENS, husband and wife, (the "Owners"), and the CITY OF ' SALINA, KANSAS, a municipal corporation, (the "City"). RECITALS A. The City, in conjunction with the South Ninth Improvement Project, wishes to acquire from the Owners certain right-of-way and temporary construction easements affecting a certain portion ofland owned by the Owners. B. The City has caused the right-of-way and. temporary construction easements to be acquired to be valued and has negotiated a purchase price with the Owners. C. It is the desire of the Owners to convey' the right-of-way and temporary construction easements to the City upon the temis and conditions contained in this Agreement. FOR AND IN CONSIDERATION of mutual and reciprocal promises and agreements set forth herein, the parties agree as follows: 1. Description of Right-of-Way. The right-of-way to be conveyed by the Owners to the City shall be as depicted and legally described on the attached and incorporated Exhibit A (the "Right-of-Way"). 2. Description of Temporary Easement. The temporary construction easements to be conveyed by the Owners to the City shall be as depicted and legally described on the attached and incorporated Exhibit B (the "Temporary Easements"). 3. Compensation. The City agrees to pay the Owners upon closing the total sum of Fifteen Thousand and Six Hundred and Seventy-Five Dollars and Seventeen Cents ($15,675.17) for the Right-of-Way and Temporary Easements, including costs to cure, consisting of the following: a. Right-of-Way (1,128.72 Square feet) $11,290 b. Temporary Easement No.1 (125.28 Square feet, including value of cost to cure.) $500 c. Temporary Easement No.2 (454.29 Square feet) $730 d. Value of Cost to Cure Tree (One tree located in right-of-way) $590 e. Value of Cost to Cure Sprinkler System $2,240.17 (Cost to relocate section of in-ground sprinkler system from right-of-way to Owners' property) f. Value of Cost to Re-Seed Grass area near sidewalk $325.00 Total Compensation $15.675.17 4. Documents. The Owners agree that the Right-of-Way shall be conveyed to the City by the Owners' execution and delivery to the City of a Right-of-Way Deed identical to the copy attached as Exhibit C to this Agreement. The Owners agree that the Temporary Easements shall be conveyed to the City by the Owners' execution and delivery to the City of a Temporary Easement document identical to the copy attached as Exhibit D to this Agreement. The Right-of- Way Deed and the Temporary Easement document shall be recorded by the City with the office of the Saline County Register of Deeds, at the expense of the City. 5. Tenn of Possession of Tempormy Easement. The Temporary Easement shall be effective for a tenn commencing upon the date of the Temporary Easement document and ending two years thereafter. 6. Covenant of Title. The Owners covenant that it is the lawful owner of the real estate affected by the Right-of-Way and Temporary Easements. 7. Partial Mortgage or Other Lien Release. In those cases where the Owners' property is subject to mortgage or other liens or encumbrances, the Owners shall at closing deliver to the City a duly executed and acknowledged partial mortgage release or release of lien, releasing that portion of the real estate to which the Right-of-Way relates from any mortgage or other lien encumbrance. Any partial mortgage release or other lien release documents shall be recorded by the City with the office of the Saline County Register of Deeds, at the expense of the City. 8. Closing. Closing shall take place on or before May 29, 2009. At closing the Owners shall: a. deliver to .the City the fully executed and acknowledged Right-of-Way Deed and Temporary Easement document, b. deliver to the City the fully executed and acknowledged partial mortgage release document, and c. provide the City with any other necessary information such as the Owners' current mailing address and tax identification number, at which time the City shall pay Owners the total compensation set forth in paragraph (3) above. -2- 9. In-Ground Sprinkler System Relocation. The parties acknowledge the existence of an in-ground sprinkler system. The Owners are responsible for relocating the sprinkler system to allow for construction of the. sidewalk. The City will provide Professional Sprinkler Installation, Inc. ("PSr'), a sprinkler company of the Owner's choosing, two weeks notice prior to scheduled construction of the sidewalk. After notice is provided, PSI will cut and cap the water lines at the appropriate location prior to construction. The Owners will coordinate with the City of Salina to insure the water lines for the sprinkler system are cut and capped at the appropriate location. PSI may leave the disconnected excess portion of the underground water lines and sprinkler heads in the proposed right-of-way. It is possible, although not required, that the excess portion of the water lines and sprinkler heads could be removed by the City Contractor during construction of the sidewalk. .. The Owners will verify with the City of Salina that all construction and finish work is completed relative to the Owners' property before extending the water lines and placing sprinkler heads where necessary to irrigate north of the sidewalk. After relocation of the sprinkler system is final, the Owners will re-seed the grass areas affected by construction of the sidewalk. Compensation indicated in paragraph 3(t) above is based on an estimate provided by a contractor of the Owners' choosing to re-seed the affected area with grass seed. If, during construction of the South 9th Street project, unforeseen damage to the Owners' in- ground sprinkler system is caused by the City of Salina, the parties will negotiate an agreed upon amount to compensate the Owners for repairs of said damage. The Parties will have the option of obtaining independent estimates to assess any unforeseen damage and to evaluate the cause of that damage. Compensation indicated in paragraph 3(e) above is based on an estimate provided by PSI, a sprinkler company of the Owners' choosing, to relocate the sprinkler system. 10. Nonassignable. The Owners' rights under this Agreement shall not ~e assigned without the prior written consent of the City. 11. Binding Effect. The terms of this Agreement shall be binding upon and inure to the benefit of the heirs, executors, administrators, successors, and authorized assigns of the parties hereto.
