Dollars ($16,027.00). Actual costs to the Railroad Company shall, include customary additives to materials, services and labor
provided by the Railroad. Bills' for work performed and materials supplied by the Railroad shall be paid by the Political Body

Autaoobi Ie Public Liabi lity insurance prov,iding bodily injury and property damage with a
combined single I imit of at least $2,000,000 each occurrence or claim. This insurance shall

vehicles including hired and non-owned, rrobile equipment to the extent it may be excluded from
general liability insurance, severability of interests and nacre Railroad as an additional insured
with respect to all liabilities arising out of Political Body's obligation to Railroad in the

Worker's'Compensation insurance covering the statutory I iabili1y as determined by the
compensation laws of the state{s) affected by this Agreement and Employers' Liability with a limit
of at least $1,000,000. Also compliance with al I laws of states which require participation in
their state workers' compensation fund. -
Railroad Protective Liability insurance naming Railroad as insured with a combined single
I imit of $2,000,000 per occurrence with a $6,000,000 aggregate. The policy fonn shall be
MR-AASHTO with broad form coverage for "Physical Damage to Property" (ISO Form GL 00 30) or as
revised ISO-RIMA (Form CG 00 35) and include pollution arisin9' out of fuels and lubricants brought
to the job site (ISO Fonn CG 31 or equivalent), If the Lloyd s London policy form is used, limits
shal I be $3,000,000 per occurrence with a $9,000,000 aggregate and the Extended Claims Made Date
sha! I b~ determined by adding the length of the original pol icy period plus one year to the pol icy
expiration date. -
, The Pol itical Body and/or i1s Contractor/Subcontractor hereby waives its right of subrogation,
as respects the above insurance policy{ies). against Railroad for payments made to or on behalf of
~Ioyees of Political Body or its agents and for loss of its owned or leased property or property under

5.(a) Fiber optic cable systems may be buried on the Railroad's property. Protection of the fiber optic cable systems is of
extreme 'unportari& since any break could disrupt seivice to users resulting in business mterrUption and loss of revenue and profits.
Politicai Body shkII telephone the Railroad at 1-800-336-9193 (a 24-hour number) to detennine if fiber optic cable is buried
anywhere on 'th~ Railroad's premises to be used by the Political Body. If it is,Political Body . will, telephone the
telecommunications comp;:my(ies) involved, arrange for a cable locator, and make arrangements for relocation or other protection of
the fiber optlccab,le prior to beginning any work on the Railroad's premises. .

to the job site (ISO Form CG 31 or equivalent). If the Lloyd s London policy form is used, limits
shall be $3,000,000 per occurrence with a $9,000,000 aggregate and the Extended Claims Made Date
sha! I b~ determined by adding the length of the original pol icy period plus one year to the policy
expiration date. .
The Pol itical Body and/or its Contractor/Subcontractor hereby waives its right. of subrogation,
as respects the above insurance policy(ies), against Rai I road for payments made to or on behalf of
~Ioyees of Political BodV or its agents and for loss of its owned or leased property or property under
Its.care, custody and control whi Ie on or near Rai Iroad's right-of-way or other real property.

Agreement with Missouri Pacific Railroad Company for crossing improvements on
West Crawford street.
Background
As you are aware, work is progressing on the West Crawford street Improvement
Project east of Broadway Boulevard. In conjunction with the st~eet widening,
the existing railroad crossing signals and gates must be relocated.
Additionally, it is proposed that the crossing materials be converted from
wooden planking to concrete panels similar to the recent Fourth Street
installations.
The attached agreement, proposed by the Missouri Pacific Railroad Company,
specifies that the railroad company provide all materials and labor to complete
the aforementioned improvements at the following costs:

If the agreement is approved, a dual source of funds is proposed. The signal
relocation would be-handled with a change order to the West Crawford Project,
of which the source of funds is previously authorized general obligation funds.
The crossing materials are proposed to be' allocated from the 1991 C.I.P.
Railroad Crossing Improvement Fund.
Recommendation
It is recommended that the City Commission approve the agreement with the
Missouri Pacific Railroad Company for crossin,9 improvements on West Crawford
Street.

THIS AGREEMENT, executed in duplicate this _ day of , 19_, by and between MISSOURI
PACIFIC RAILROAD COMPANY, a Delaware corporation (hereinafter the "Railroad"), and CITY OF SALINA, a municipal
corporation of the State of Kansas (hereinafter the "Political Body"), WTINESSETH:
:RECITALS:
. -c. The Politic~ Body has requested the Railroad to improve the existing Crawford Street crossing, at grade, along, over and
across the Railr<:Jad's Trigo Industrial Lead track and right of way at Mile Post 496.85 DOT No. 429 007M in Salina, Kansas to
whicli the Railroad is agreeable, but solely upon the terms and conditions hereinafter set forth.
AGREEMENT:
NOW THEREFORE, in consideration of the premises and of the promises and conditions hereinafter set forth, the parties
h:reto agree as.follo'fs:
. : 1. The Railroad shall furnish all labor, material, equipment and supervision for, and shall (a) remove the existing
cross~g; (b) install 70 ft precast concrete crossing, (c) install perforated drain pipe and filter fabric, (d) relay and field weld rail, (e)
renew crossties and ballast, and (t) relocate existing automatic crossing -signals with gates all at the intersection of the Railroad's
Trigo Industrial Lead track with Crawford Street at Mile Post 496.85 in Salina, Kansas, as shown generally on Railroad's Print dated
April 16, 1991 attached here~ and marked Exhibit "A".
2. Upon the execution of this agreement, the Political Body shall pay the Railroad the swn of Ten Thousand Five Hundred
Dollars ($10,500.00) as the Political Body's fixed portion of the costs of the work performed and materials supplied by the Railroad
pursuant to Section 1 (b) above.
3. The Political Body agrees to pay the Railroad 100% of the actual costs of the work performed and materials supplied by
the Railroad pursuant to Section l(t) above, which is estimated, as per attached Exhibit C, to be Sixteen Thousand Twenty Seven
Dollars ($16,027.00). Actual costs to the Railroad Company shall include customary additives to materials, services and labor
provided by the Railroad. Bills for work performed and materials supplied by the Railroad shall be paid by the Political Body
promptly upon receipt thereof. .
4. The Railroad, ~t its cost, shall maintain the crossing(s) between the track tie ends. If, in the future, the Political Body
elects to have the surfacing material between the track tie ends replaced with paving or some surfacing material other than timber
planking, the Railroad, at the Political Body's expense, shall install such replacement surfacing.
5.(a) Fiber optic cable systems may be buried on the Railroad's property. Protection of the fiber optic cable systems is of
extreme importance since any break could disrupt service to users resulting in business interruption and loss of revenue and profits.
Political Body shall telephone the Railroad at 1-800-336-9193 (a 24-hour nwnber) to determine if fiber optic cable is buried
anywhere on the Railroad's premises to be used by the Political Body. If it is, Political Body will telephone the
telecommunications company(ies) involved, arrange for a cable locator, and make arrangements for relocation or other protection of
the fiber optic cable prior to beginning any work on the Railroad's premises.
(b) In addition to the liability terms elsewhere in the Agreement, the Political Body shall indemnify and hold the Railroad
harmless against and from all cost, liability, and expense whatsoever (including, without limitation, attorney's fees and court costs
and expenses) arising out of or in any way contributed to by any act or omission of the Political Bodye, its contractor, agents and/or
employees, that causes or in any way or degree contributes to (1) any damage to or destruction of any telecommunications system
by the Political Body, and/or its contractor, agents and/or employees, on Railroad's property, (2) any injury to or death of any
person employed by or on behalf of any telecommunications company, and/or its contractor, agents and/or employees, on Railroad's
property, and/or (3) any claim or cause of action for alleged loss of profits or revenue by, or loss of service by a customer or user of,
such telecommunication company(ies).
6. Before any work on the Premises begins, the Political Body's Contractor/Subcontractor will provide the Railroad with a
Certificate issued by its insurance carrier providing the insurance coverage required pursuant to Exhibit B-1 of this agreement in a
policy containing the following endorsement:
"Missouri Pacific Railroad Company is named as additional insured with respect to all liabilities arising out of Insured's
perfonnance of the work. n
The Political Body WARRANTS that this agreement has been thoroughly reviewed by its insurance agent(s)/broker(s) and
that said agent(s)/broker(s) has been instructed to procure insurance coverage and an endorsement as required herein.
7. The Political Body, for itself and for its successors and assigns, hereby waives any right of assessment against the
Railroad, as an adjacent property owner, for any and all improvements made under this agreement. .
8. Covenants herein shall inure to or bind each party's successors and assigns; provided, no right of the Political Body shall
be transferred or assigned, either voluntarily or involuntarily, except by express written agreement acceptable to the Railroad.
9. The Political Body shall, when returning this agreement to the Railroad (signed), cause same to be accompanied by
such Order. Resolution, or Ordinance of the governing body of the Political Body, passed and approved as by law prescribed, and
duly certified, evidencing the authority of the person executing this agreement on behalf of the Political Body with the power so to
do, and which also will certify that funds have been appropriated and are available for the payment of any sums herein agreed to be
paid by the Political ,Body.
IN WITNESS WHEREOF, the parties hereto have duly executed this Agreement as of the date and year first
hereinabove written.

revised ISO-RIMA (Form CG 00 )5) and include pol lution arisin~ out of fuels and lubricants' brou9ht
to the job site (ISO Form CG 31 or equivalent). If the Lloyd s London policy form is used, limits
shall be $3,000,000 per occurrence with a $9,000,000 aggregate and the Extended Claims Made Date
sha!1 b~ determined by adding the length of the original pOlicy period plus one year to the policy
expiration date.
The Pol itical Body and/or its Contractor/Subcontractor hereby waives its right of subrogation,
as respects the above insurance pol icy(iesJ, against Rai Iroad for pa~nts made to or on behalf of
employees of Pol itical Body or its agents and for loss of its owned or leased property or property under
Its care, custody and 'control whi Ie on or near Rai Iroad's right-of-way or other real property.
Pol itical Body's and/or it Contractor's/Subcontractor's insurance shal I be primary with respect to any
insurance carried by Rai Iroad. '
Political Body and/or its Contractor/Subcontractor shall furnish to Railroad certificate(s) of
in~u~ance evidencing the required coverage and endorsement(s) and upon request a certified duplicate
or!glnal ~f any ~f those policies. The Insurance c~ny(ies} iSSUing such policy(ies) shall notify
Railroad In writing of any material alteration including any change in the retroactive date in any
"claims-made" policies or substantial reduction of aggregate limits, if such limits apply, or
cancellation thereof at least thirty ()OJ days prior thereto.
The insurance pol icy(ies) shal I be written by a re~utable insurance company or c~nies
accep~able to Rai Iroad or with a current Best's Insurance GUide Rating of B and Class VI I or better.
Such Insurance company shall be authorized to transact business in the state(s) affected by this

respect to_all liabilities arising out of Political Body's obligation to Railroad in the

BE IT RESOLVED by the Governing Body of the City of Salina,
Section 1. That the Mayor is hereby authorized to execute, and the
c:ity Clerk to attest, an agreement between the City of Salina and the Missouri
Pacific Railroad Company, a Delaware corporation, for the installation of a
precast concrete crossing and relocation of flashing light crossing signals at the
crossing on West Crawford Street, in Salina, Saline County, Kansas.
Adopted by the Board of Commissioners and signed by the Mayor this
