LICENSE AGREEMENT

This License Agreement is entered into this J4 day of N (;, ~'U:.M 2004, by and between
the CITY OF SALINA, KANSAS (the "City") and LEE' HAWORTH CONSTRUCTION
COMPANY, INC. (the "Developer").
Recitals
A. Whereas, it is understood that the Developer wishes to incorporate aesthetic
improvements consisting of "islands" in the public right-of-way at the intersection of Pine Crest
Circle west and Cedar Ridge Drive, Pine Crest Circle east and Cedar Ridge Drive and Timber
Ridge Drive and Cedar Ridge Drive and a 4 ft. x 7 ft. monument sign at the Pine Crest Circle
east entrance.
B. Developer agrees to accept responsibility for the construction and maintenance of
the islands and monument sign in perpetuity through creation ofa homeowners association.
C. The City shall not be responsible for the repair, replacement or reconstruction of
these aesthetic improvements under any circumstances.
D. The City Engineer has concluded that under the circumstances allowing the
Developer to construct and maintain these islands in the center of these three residential streets
will not interfere with the use of the public right-of-way.
THE PARTIES THEREFORE AGREE:
I. Grant of License. The City grants a license to Developer for the construction and
maintenance of the islands in the proposed locations, as shown on attached and incorporated
Exhibit "A".
2. Term of License. The License shall commence upon execution of this License
Agreement and shall continue until the earlier of:
A. Discontinuation of use of the islands as constructed and maintained at the
locations depicted on Exhibit "A"; or
B. Notification of Developer or the Cedar Ridge Homeowners Association by
the City that the public interest is best served by the use of the public right-of-way
in a manner in conflict with the License, and that the License shall terminate no
less than 180 days following such notice.

3. Responsibilities Upon Notification of Termination. 'Ifnotice oftefmination of the
License is given pursuant to paragraph 2.B, or the Developer or Homeowners Association must
remove the islands located within the public right-of-way and this monument sign no later than
the designated 'license termination date. If Developer or Homeowners Association fails to

cause the necessary work to be performed and charge the cost of the work against the Developer
and/or assess the costs as a special assessment against the lots within the subdivision,
4. Indemnification and Hold Harmless. During the term of the License, Developer
and its successors and assigns shall hold harmless and indemnify the City, its agents and
employees, against all liability, loss, damage, expense, and judgement, including attorney's fees
so incurred, arising from or relating to its use of the public right-of-way pursuant to the License
by Developer and the Homeowners Association. In addition, such indemnity shall extend to any
liability imputed to the City resulting from Developer's or the Homeowners Association's failure
to comply with all federal, state, county, and city laws, ordinances, and regulations relating to the
islands. Each party shall give immediate notice to the other of all such claims, actions, or
proceedings brought against the party giving such notice. Developer and its successor and
assigns agrees to defend against all claims brought or actions filed against the City with respect
to Developer's or the Homeowners Association's use of the public right-of-way pursuant to the
License, whether such claims are rightfully or wrongfully brought or filed. The City agrees that
Developer and its successors and assigns may employee attorneys of their own selection to
appear and defend the claim or action on behalf of the City, at the sole expense of Developer and
its successor and assigns shall have control of the defense in any such lawsuit and negotiations
relating to its settlement. The City shall assist as reasonably requested by Developer and its
successors and assigns regarding such lawsuit. Developer and its successors and assigns agree to
reimburse the City for all expenses, costs, and attorneys' fees incurred by the City of Salina in
the enforcement of any part of this agreement to indemnify the City.
5. Notices. Any notice to either party shall be sufficient if mailed by United States
mail, postage prepaid, at the following addresses:

6. Assignment of License. The assignment of any rights under this License
Agreement by Developer and its successor and assigns shall be subject to the prior written
consent of the City.
7. Binding Effect. This License Agreement shall be binding upon the partieis, their
heirs, beneficiaries, personal representatives, successors and authorized assigns.
