SHORT FORM AGREEMENT BETWEEN OWNER AND HDR ENGINEERING,
INC. FOR PROFESSIONAL SERVICES

" INC., ("ENGINEER") a Nebraska corporation, with offices at 4435 Main Street, Suite
. 1000, Kansas City, Missouri 64111 for services in connection with the project known as
the City of Salina Raw Water Supply Study ("Project");
WHEREAS, OWNER desires to engage ENGINEER to provide professional
engineering, consulting and related services ("Services") in connection with the Project;
and
WHEREAS, ENGINEER desires to render these Services as described in
SECTION I, Scope of Services.
NOW, THEREFORE, OWNER and ENGINEER in consideration of the mutual
covenants contained herein, agree as follows:
SECTION I.
SCOPE OF SERVICES
ENGINEER will provide Services for the Project, which consist ofthe Scope of Services
as outlined on the attached Exhibit A.
SECTION II.
TERMS AND CONDITIONS OF ENGINEERING
SERVICES
The "HDR Engineering, Inc. Terms and Conditions for Professional Services," which are
attached hereto in Exhibit B, are incorporated into this Agreement by this reference as if
fully set forth herein.
SECTION III.
RESPONSIBILITIES OF OWNER
The OWNER shall provide the information set forth in paragraph 6 of the attached "HDR
Engineering, Inc. Terms and Conditions for Professional Services."
SECTION IV.
COMPENSATION
Compensation for ENGINEER'S services under this Agreement shall be on the basis of
cost plus fixed fee. The total contract with an amount not to exceed two hundred thirty
nine thousand and eight hundred dollars ($239,800). ENGINEER will ngt exceed the fee
stated above without written authorization from the OWNER. I
ENGINEER"S fixed fee will be fifteen thousand Dollars ($15,000). Cost shall be an
amount equal to direct labor cost times a factor of2.76. Reimbursable expenses incurred
in connection with such services shall be in addition to ENGINEER'S compensation.
Agreement for Professional Services

The amount of any sales tax, excise tax, value added tax (VAT), or gross receipts tax that,
may be imposed on this Agreement shall be added to the ENGINEER'S compensation as
Reimbursable Expenses.
Compensation terms are defined as follows:
Direct Labor Cost shall mean salaries and wages, (basic and overtime) paid to all
personnel engaged directly on the Project
Reimbursable Expense shall mean the actual expenses incurred directly or indirectly in
connection with the Project for transportation travel, subconsultants, subcontractors,
computer usage as a technology charge, telephone, telex, shipping and express, and other
incurred expense. ENGINEER will add ten percent (10%) to invoices received by
ENGINEER from sub consultants and subcontractors to cover supervision, administrative,
and insurance expenses.
Technology Charge - The technology charge shall be reimbursed at $4.10 per billable
hour invoiced on the Project
Cost-Plus-Fixed Fee shall mean Cost plus a Fixed Fee. Cost, as used in "Cost-Plus-Fixed
Fee," shall mean Direct Labor Cost plus Overhead Costs, plus Reimbursable Expense.
Overhead Costs, as used in "Cost-Plus-Fixed Fee," shall mean indirect costs which
include payroll and administrative expenses, For this Agreement, overhead costs shall be
one hundred and seventy six percent (176%) of Direct Labor Cost
Fixed Fee shall mean a fixed amount offee that is added to the Cost in a Cost-Plus-Fixed
Fee basis of payment The sum of Cost and Fixed Fee shall be the compensation for the
Scope of Services, The Costs may vary, but the Fixed Fee shall remain the same
provided the Scope of Services does not change.
SECTION V. '
PERIOD OF SERVICE
Upon receipt of written authorization to proceed, ENGINEER shall perform the services
described in Exhibit A within one calendar year from Notice to Proceed,
Unless otherwise stated in this Agreement, the rates of compensation for ENGINEER'S
services have been agreed to in anticipation ofthe orderly and continuous progress ofthe
project through completion. If any specified dates for the completion of ENGINEER'S
services are exceeded through no fault ofthe ENGINEER, the time for performance of
those services shall be automatically extended for a period which may be reasonably
required for their completion and all rates, measures and amounts of ENGINEER'S
compensation shall be equitably adjusted.

SECTION VI.
SPECIAL PROVISIONS
Certificate(s) of Insurance
Certificate(s) of Insurance acceptable to the City shall be filed with the City at the time
the contract between the City and the ENGINEER is executed. These certificates shall
contain a provision that coverage afforded under the policies will not be cancelled or
substantially changed until at least thirty (30) days prior written notice has been given to
the City and acknowledged. Note: If the ENGINEER is subject to worker's
. compensation law, a certificate shall be provided.
Notice of Claim
The ENGINEER, upon receipt of notice of any claim in excess of $1,000 in connection
with this contract, shall promptly notifY the Risk Management Department, (785) 309-
5705, providing full details thereof, including an estimate of the amount ofloss or
liability.
Equal Opportuuitv
In conformity with Chapter 13 of the Salina Code, the Contractor and its subcontractors,
if any, shall:
a. Observe the provision of Chapter 13 ofthe Salina Code and shall not
discriminate against any person in the performance of work under this
Contract;
b. Include in all solicitations, or advertisements for employees, the
contractor shall include the phrase "equal opportunity employer," or a
similar phrase to be approved by the city's human relations director;
and
c. Not discriminate against any employee or applicant for employment in
the performance of this Contract; and
d. Include similar provisions in any subcontract under this Contract.
Affirmative Action
The Contractor agrees to abide by the Salina Code Sections 13-132 and 133 (unless the
Contractor is exemptfor purposes of this Contract under Section 13-134) relating to
affirmative action and affirmative action plans, attached and incorporated herein as
Exhibit C.

PROJECT DESCRIPTION:
The City of Salina has conducted a series of water supply studies over the last fifty years to
evaluate the needs of the City and to identify potential sources of supply, A broad range of
alternatives have been evaluated over time, The City of Salina has a desire to take a "fresh look"
at their water supplies needs and the means of developing sustainable solutions to meet these
needs well into the future, Since the first water supply study was conducted for the City, many
changes have occurred that impact the City' s existing sources of supply and the potential to
develop new sources of supply, At the same time, options that in the past were not considered
feasible or practical are becoming more cost effective and accepted as a means of water supply
development and management Throughout the development of the project, project components
will be evaluated in terms of the need for confidentiality based on potential security or legal
Issues.
As a part o(the public involvement program for tliis project, the project will consist of several
presentation and meetings with the Citizens'Advisory Board. The Citizens Advisory Board will
consist of water professionals, local stakeholders and the citizens at large. The board will act as a
sounding board for ideas, concepts and recommendations and will provide general guidance
regarding the Raw Water Supply Study and implementation strategies.
Each member of the board, while having specific interest, should come to the table with an open
mind and broad vision to do what is best for the City of Salina as a whole.
The City's Citizen Boards, Commissions & Committees Policy will be followed. The Citizens
Board and Commission Expression of Interest Form will be completed by those interested in
being on the board. The Mayor will select the board and the City Commission will adopt a
resolution appointing the members to the Water Supply & Conservation Citizens Advisory Board.
PROJECT TEAM:
The Consultant's project team will consist of the following firms:
. HDR Engineering, Inc. - HDR will service as the prime consultant for this project
HDR be responsible for the management of all project tasks and deliverables.
. Wilson & Company --' Wilson & Company will serve as a subconsultant to HDR and will
assist in the overall planning effort including but not limited to demand projection
development, the review of the existing system and the conservation planning
. Layne Christensen ~ Layne will be a sub consultant to HDR and will assist with all
proj ect components associated with existing and proposed groundwater sources of
supply.
. Foulston and Seifkin, Attorney's at Law - Foulston and Seifkin will provide legal
consultation on water rights. Foulston and Seifkin will contract directly with the

City. The scope and fee associated with their services is not included in this
scope and fee and will be negotiated at a later date with the City.
SCOPE OF SERVICES PREFORMED BY ENGINEER.
Task 1: Project Initiation/Background
Kick-off Meeting
The Consultant will conduct a Kick-off Meeting at the City of Salina offices. The
purpose ofthe kick-off meeting is to establish lines of communication, set preliminary
dates for proj ect meetings and workshops, identify data requirements, discuss
coordination requirements with the City staff and subconsultants, and discuss the overall
project approach. The Consultant will prepare the meeting agenda and meeting minutes.
The Kick-off Meeting will also include a brainstorming session to discuss issues,
alternatives and potential sources of supply to be evaluated as a part ofthe project.
Review proiect goals and obiectives
The Consultant will review the project goals and objectives with the City staff.
Proiect Guide
The Consultant will develop a project guide which will define the protocols for the
project including assigned resources, key contacts, QAlQC procedures and
communication procedures. The Consultant will provide the City and all subconsultants
with a copy of the project guide.
Task 2: Data Collection
Review previous master planning documents
The Consultant will review the City's previous master planning documents to obtain
background knowledge for this project. Information on the City's existing water system
and water rights/supply data will also be reviewed.
Review existing water rights
The Consultant will review information provided by the City regarding existing water
rights and other regulatory information previously provided to the City.
Review population and demand projections
The Consultant will review existing population and demand projections developed by the
City during previous studies and reports including the ongoing distribution system
modeling and Comprehensive Plan. If the planning horizon for this project exceeds that
which was used for the existing plans or studies, a linear growth pattern will be
established and used to develop the demand projections required for this study. While
the demand projections from the hydraulic modeling efforts and Comprehensive Planning
study may not be complete, the Consultant will utilize the land use data and population

projections from these studies to further refine the existing demand projections. As the.
conservation plan is refined in Task 6 ofthis scope, these demand projections will be
evaluated to deternline potential reductions in these projections resulting from
conservation measures.
Review existing system water quality data
The Consultant will review water quality data provided by the City in an electronic
format. This data should include raw water, finished water, reuse water and non-potable
water systems water quality data.
Review of Existing Conditions
The Consultant will review data provided on existing conditions including the report
under development by PEC to assess the raw water supply conditions for the City of
Salina. This will include readily available data such as area maps, land use data,
contamination sources and water services policies. In addition, the Consultant will
review the results or available information from the Kansas Geological Survey services'
model of the Smoky Hill River to determine potential impacts to the City's water supply.
Prepare comprehensive description of overall existing water system
The Consultant will prepare a comprehensive summary of the overall existing system that
includes the major components oftpe water supply system. Existing and anticipated
system deficiencies will also be identified.
Tasl/3: Finalize Demand Projections
The Consultant understands that the City of Salina is currently creating a hydraulic model
of the water distribution system. As a part ofthis effort, demand projections are being
developed. This data will be used in the Raw Water Supply Study.
Review existing water demands
The Consultant will review the historical water demands and the demand projection
developed as a part ofthe hydraulic model and the Comprehensive Plan currently being
developed by others. The City will provide the Consultant this report and historical water
demands. If the hydraulic modeling effort or Comprehensive Plan is not complete in the
time required for this project, the City will supply any available information as it relates
to demand and population projections to the Consultant. The Consultant will rely on this
information to establish a linear growth rate for the City as a whole and develop demand
projections as required for this study.
Update demand proiections through planning horizon
Based on the review ofthe developed water demands, the Consultant will update the
demand projections through the planning horizon of2060. These demand projections
will be for the current year, and then every five years from 2010 through 2060. These
demand projections updates will be based on population projections developed from the
City's Planning Department and Project Land Use Patterns developed by the City.

Demand Proiections Technical Memorandum
A technical memorandum summarizing the population and demand projections through
the planning horizon will be developed. Five copies of the draft technical memorandum
will be provided to the City.
Citizens Advisory Board
Consultant will facilitate a workshop with the Citizens Advisory Board to present tlle
demand projections and to receive input on the technical memorandum. The City will
provide fue required notification for these meeting to the Board members. The
Consultant will conduct the presentation, respond to questions and the prepare minutes
from the meeting.
Finalize Technical Memorandum
Upon receipt of comments from City staff and the Citizens Advisory Board; the
Consultant will finalize the technical memorandum and submit five copies to the City.
Task 4 Water Rights and Regulatory Review
Water Rights Inventory and Analvsis
Status of the City's existing water rights will be verified by Foulston and Seifkin,
Attorney's at Law and the Consultant. The findings will be reviewed with the City.
Water Rights Related to Future Supplv Strategy
This task will address the question of adequacy of the City's existing water rights to meet
fue demand projections developed. Service area considerations as they may relate to
purpose and place of use and service limitations (if any) will be evaluated.
Existing and Future Regulatory Review
The Consultant will review the available water quality data and operational procedures
provided by the City to assess compliance with existing regulations and potential impacts
of anticipated future regulations.
Regulatorv Meeting
The Consultant will initiate discussions with the Kansas Water Office, the US Am1y
Corps of Engineers and the Division of Water Resources to discuss the City's water
rights. The Consultant will conduct one comprehensive meeting including each ofthese
regulatory agencies to discuss the City's water rights and potential future sources of
supply. The meeting will also include the Kansas Department of Health and
Environment to review regulatory changes that could impact the City of Salina. This
meeting will include a review the US Am1y Corps of Engineers Lake Regulation Manual,
the Kansas Water Office's request for deviation from releases and potential sale of water
from the Kanopolis Reservoir and the potential impacts of the establishment of a Water
Assurance District.

Foulston Seifkin, Attorneys at Law, is available to render an opinion on the City's Water
Rights and to participate in the regulatory meeting discussed above. The scope and
associated fee for such services is not included herein and will be negotiated directly
between Foulston Seifkiri and the City of Salina.
Regulatory Techuical Memorandum
A summary of the water rights and regulatory review will be prepared. Five draft copies
ofthe Techuical Memorandum will be provided to the City for review and comment.
Citizens Advisory Board
Consultant will facilitate a workshop with the Citizens Advisory Board to present the
water and regulatory impacts and to receive input on the techuical memorandum.
Finalize Techuical Memorandum
Upon receipt of comments from City staff and the Citizens Advisory Board, the
Consultant will finalize the techuical memorandum and submit five copies to the City.
Task 5 Review of Existing Sources of Supply
Smoky Hill River Assessment
The Consultant will assess the use of the Smoky Hill River supply capacity based on the
City's current water rights and infrastructure. The assessment will include review of
facilities withdrawal capacity, water quality, Kanopolis Reservoir releases, and standard
procedures for withdrawal from the river. This will include a review of the KWO's
request for deviation from releases from the Kanopolis Reservoir and the potential sale of
water from the reservoir to determine impacts on the City's water rights. The Consultant
will provide a section in the techuical report for Task 5 and summarize the existing
capacities, facilities, and recommendations.
Downtown Wellfield Assessment
The Consultant will provide a written report on existing overall groundwater water rights
and existing Downtown groundwater well capabilities, which the Consultant can
incorporate into the technical report for Task 5. The assessment will start with. the
August 2007 report prepared by Layne Christensen, entitled "Well Field Evaluation" and
will include review of withdrawal capacity, withdrawal impacts, water quality, and the
standard protocols for withdrawal from the wells. The report should include all map~s,
figures, etc. necessary to summarize the existing capacities and facilities. In addition, the
Consultant will review existing information and model data being developed by others
for the Kansas Department of Health and Environment to summarize potential impacts of
existing contamination on the Downtown Wellfield.
South Wellfield Assessment
The Consultant will assess the South Wellfield groundwater well capabilities as a portion
of the existing overall groundwater water rights, which the Consultant can incorporate
into the techuical report for Task 5. The assessment will include review of withdrawal

capacity, water quality, and recommended protocols for withdrawal from the wells. The.
report should include all maps, figures, etc. necessary to summarize the existing
capacities and facilities.
Evaluation of Existing Facilities
The Consultant will review evaluation being conducted by PEC for the City for the
existing water system, including amount of storage, pumping, and existing water system
maps and data files. The Consultant may also conduct a site visit to selected facilities to
acquire additional information. Consultant will also provide a cursory review of the
water treatment facilities.
A summary of the overall existing system that includes the major components of the
water supply and distribution systems will be prepared. Existing system deficiencies will
also be identified.
Existing System Coniunctive Use
The Consultant shall evaluate current procedures for timing of surface and ground water
withdrawals and recommend preferred options for use ofthe surface water source,
downtown ground water source, and south wellfield source and propose guidelines for
timing of withdrawals to optimize use ofthese sources. This evaluation will incorporate
impacts of seasonal fluctuations in the sources of supply and the potential impacts of the
existing contamination around the wellfield. The evaluation will also include any
modifications for extended use and optimization of these supply sources.
Recharge Potential
The Consultant will review the existing Layne Western reports regarding recharge.
Based on the review of the recharge potential for the aquifer, Consultant shall evaluate
the ability to provide direct recharge ofthe Smoky Hill River into the alluvial aquifer
surrounding the wells. This could be the use of recharge wells, ponds, trenches, or direct
flow through the channel. Additionally, the Consultant will perform a review of
available data associated with the City of Wichita artificial recharge project. This review
will be performed to evaluate the possibility of using a similar project approach in Salina.
Consultant shall also look at up to two alternatives for indirect recharge. They will
examine the old oxbow through the City, and the sandpits south ofthe City for potential
use as recharge features.
Water Balance Model
Consultant will develop ana easy to use water balance model for the existing system.
The model will include:
. Existing City demands from the ongoing hydraulic modeling efforts and
Comprehensive Plan development being conducted by others.
o Existing supply sources (river and aquifer)
o Future River flows
o Groundwater storage

The model will be used to identify current conditions based on weather fluctuations and
operational considerations and what the impacts of future demands on the system will be.
The model can then be used to assist in alternative evaluation.
Review of Technical Memorandum
Upon completion ofthe existing sources of supply evaluation the Consultant shall review
the findings of the evaluation and water balance model with City staff.
Citizen Advisory Board
Consultant will facilitate a workshop with the Citizen Advisory Board to present the
existing facilities and potential impacts oflow river flow on the surface and ground water
supplies.
Plauning Session with Citv Commission
The Consultant will participate in a planning session with the City Commission to review
the finding of the review ofthe existing sources of supply, demand projections and water
rights evaluation. The purpose of this session will be to gain input on the findings and
alternatives that will be evaluated to meet the City's future needs.
Finalize Technical Memorandum
Upon receipt of comments from City staff and the Citizens Advisory Board, the
Consultant will finalize the technical memorandum and submit five copies to the City.
Task 6 Conservation Plan
Review Existing Conservation Plan and Recommended Modifications
The Consultant will evaluate the City's existing Conservation Plan and the KDHE
requirements for such plans. Based on this evaluation, the Consultant will make
recommendations for revisions to this conservation plan. This will include addition of
the changes recommended by Layne Western during their evaluation of the wellfield and
conservation plan conducted in the summer of 2007.
General elements ofthe plan evaluation will include an assessment of current state and
local regulations and identification of minimum conservation plan requirements for the
City of Salina; screening of conservation options; evaluation of screening alternatives by
cost; and consumer willingness and ease of implementation.

The Consultant will review the City's past and on-going conservation efforts, program
descriptions, and other literature describing regional ~mdlor utility conservation activities
at other utilities.
From the information reviewed, the consultant will develop a list of a wide range of
potential conservation measures to review. These measures may include, but are not
limited to: system measures to reduce non-revenue water, outreach and education
activities, distribution of plumbing hardware targeting specific customer categories,
rebate programs, landscaping ordinances, and rate structures designed to encourage water
savmgs.
One important element ofthe assessment will be the impact of existing private wells
within the City and how to incorporate them into the City's conversation measures. The
Consultant will develop a protocol for the City for registering these wells and make
recommendations as to how they can be incorporated into the Conservation Plan.
Consultant will review the existing conservation plan that addressed various trigger
points for implementation and the recommendations for modifications made by Layne
Western. Any additional modifications or recommendation that may be identified during
the review will be provided to the City.
Review Conservations Rate Structure
It is our understanding that Wilson and Company has assisted the City recently in
restructuring the water rate structure to provide a development of an initial conservation
rate structure. The Consultant will review this revised rate structure and make general
recommendations as to potential further enhancements to the rate structure based on
common practices from similar communities. Specific rates will not be developed as a
part of this study but general practices will be defined. Consultant will review the rate
structure and conduct a benchmarking with other communities rate structures in the area.
Based on the benchmarking the Consultant will recommend potential general practice
modifications to the rate structure.
Conduct a Table Top Water Loss Analvsis
The Consultant will conduct an overview of water loss for the City of Salina based on the
ratio of metered water sales versus water produced to determine a general level of water
loss in the City's system. This will be compared to industry recommended levels of
water loss. General recommendations for further evaluation, if necessary, will be
provided.
Conservation Technical Memorandum
The Consultant will develop a Technical Memorandum to surmnarize the modifications
to the City's existing Conservation Plan. Five draft copies of the Technical
Memorandum will be provided to the City.

Conservation Plan and to receive input on the technical memorandum.

Task 7 Reuse Evaluation
Define Planning Data
This will involve an examination of regulatory requirements affecting reuse, the permits
required, and time frames anticipated to obtain regulatory approval. In addition,
. estimates of flows available from wastewater sources will be calculated. A brief
overview of the existing wastewater effluent quality will be conducted to determine
general upgrades necessary for water reuse. In addition, the impacts on water rights in
terms of reduced discharges to the Smoky Hills River will be evaluated.
Application Options
The possible locations, areas and related volumes of reclaimed water will be compared.
End use customers and market opportunities for reclaimed water will be examined. The
end users evaluation will be limited to municipal, recreational or industrial uses near the
wastewater treatment plant. In addition to irrigations uses, the potential for direct
groundwater recharge will be evaluated.
Cost Evaluation
Preliminary opinion of costs will be developed to include the improvements required in
treatment and the infrastructure required to convey the reclaimed water to the application
will be developed.
Reclaimed Water Technical Memorandum
A technical memorandum summarizing the results of the reuse evaluation will be
developed. Five draft copies of the Technical Memorandum will be provided to the City.
Citizens Advisorv Board
Consultant will facilitate a workshop with the Citizens Advisory Board to review the
reuse evaluation and to receive input on the technical memorandum.
Finalize Technical Memorandum
Upon receipt of comments from City staff and the Citizens Advisory Board, the
Consultant will finalize the technical memorandum and submit five copies to the City.

Task 8 Alternatives Evaluation
Establish Source of Supply Requiremeuts
Based on the demand projections and potential yield from the existing sources of supply,
requirements for the alternative sources of supply will be developed. .
Identify Potential Alternatives
The Consultant will identify potential water supply alternatives. These alternatives will

An initial brainstorming session will be conducted with the City to identify potential
alternatives. The brainstorming session will include an initial screening of options to
select the alternative that will be further evaluated. Between seven to ten alternatives will
be further evaluated. Prior to conducting the evaluation, the Consultant will review the
list with City staff and potential stakeholders as defined by the City staff.
Evaluate Alternatives
The Consultant will develop criteria to be used for the selection of the preferred
alternative. Selection criteria to be utilized in determining recommended improvements,
may include cost effectiveness, operability, maintainability, expandability, reliability,
flexibility, etc. These criteria will be reviewed with the City staff and stakeholder group.
The Consultant will evaluate each alternative with respect to the selected criteria.
Decision making software will be used in the evaluation process to aid in the selection of
the preferred alternative. This software may include either a spreadsheet evaluation with
weighting criteria or Criterion Decision Plus based on the preference of the City.
Prepare Supply Capital Improvement Plan (CIP)
The Consultant will finalize the selection of the preferred alternative, identifying each of
the system components needed to implement the alternative. The CIP based on the
selected alternative will be developed, identifying projects for each for the period from
2008 to 2030, with potential long-term projects after 2030 through the year 2060 also
identified.

Review Meeting with City Staff
The Consultant will conduct a meeting with the City staff to review the alternatives

Planning Session with City Commission
The Consultant will participate in a planning session with the City Commission to review
the alternatives evaluation process and proposed implementation plan to obtain input on
the recommended plan.
Finalize CIP
Upon receipt of comments frqm City Commission and staff and the Citizens Advisory
Board, the Consultant will finalize the CIP and submit five copies to the City.
Task 9 Report Productioll
Develop Draft Report
The Consultant will prepare a summary outline ofthe report including chapters, major
subsection headings, and a list of tables and figures. The purpose of each chapter ofthe
report will be described in brief detail and the format of the report will be established.
After review and comment by the City the Consultant will assemble previously
developed tables, graphics, and text into a single document for incorporationinto the
Plan. Material format will be modified as necessary to match the report format.
The Consultant will provide five (5) copies of the draft report to the City for review and
mee~ with the City to discuss the report findings and recommendations.
The Consultant will incorporate comments received from the City into the draft report
and provide the City a copy of the revised material for approval.
Present Draft Report to Salina Citv Commission
The Consultant will prepare a formal Power Point presentation of the report findings and
recommendations, and provide a copy to City for review and comment. The Consultant
will make ajoint presentation with City staff to the Salina City Commission at a study
session or a Commission meeting. A copy ofthe final presentation will be provided to
the City.
Finalize Report
The Consultant will provide ten (10) copies of the final report to the City. In addition,
the Consultant will provide three (3) CD's which will include spreadsheets, AtitoCAD
files, and models for the City's use.

TERMS AND CONDITIONS.
HDR Engineering, Inc.
Terms and Conditions for Professional Services
1. STANDARD OF PERFORMANCE
The standard of care for all professional engineering, consulting and
related services performed or furnished byENG1NEER and its
employees under this Agreement will be the care and skill ordinarily
used by members of ENGINEER's profession practicing under the
same or similar circumstances at the same time and in the same
locality. ENGINEER makes no warranties, express or implied, under
this Agreement or otherwise, in connection with ENGJNEER's
services.
2. INSURANCE
ENGINEER agrees to procure and maintain, at its expense, Workers'
Compensation insurance as required by statute; Employer's Liability of
$250,000; Automobile Liability insurance of $1 ,000,000 combined
single limit for bodily injury and property damage covering all vehicles,
including hired vehicles, owned and non-owned vehicles; Commercial
General Liability insurance of $1 ,000,000 combined single limit for
personal injury and property damage; and Professional Liability
insurance of $1 ,000,000 per claim for protection against claims
arising out of the performance of services under this Agreement
caused by negligent acts, errors, or omissions for which ENGINEER
is legally liable. Upon request, OWNER shall be made an additional
insured on Commercial General and Automobile Liability insurance
policies and certificates of insurance will be furnished to the OWNER.
ENGINEER agrees to indemnify OWNER for the claims covered by
ENGINEER's insurance.
3. OPINIONS OF PROBABLE COST (COST ESTIMATES)
Any opinions of probable project cost or probable construction cost
provided by ENGINEER are made on the basis of information available
to ENGINEER and on the basis of ENGINEER's experience and
qualifications, and represents its judgment as an experienced and
qualified professional engineer. However, since ENGINEER has no
control over the cost of labor, materials, equipment or services
fumished by others, or over the contractor(s') methods of determining
prices, or over competitive .bidding or market conditions, ENGINEER
does not guarantee that proposals, bids or actual project or
construction cost will not vary from opinions of probable cost
ENGINEER prepares:
4. CONSTRUCTION PROCEDURES
ENGINEER's observation or monitoring portions of the work performed
under construction contracts shall not relieve the contractor from its
responsibility for performing work.in accordance with applicable
contract documents. ENGINEER shall not control or have charge of,
and shall not be responsible for, construction means, methods,
techniques, sequences, procedures of construction, health or safety
programs or precautions connected with the work and shall not
manage, supervise, control or have charge of construction.
ENGINEER shall not be responsible for the acts or omissions of the
contractor or other parties on the project. ENGINEER shall be entitled
to review all construction contract documents and to require that no
provisions extend the duties or liabilities of ENGINEER beyond those
set forth in this Agreement. OWNER agrees to include ENGINEER as
an indemnified party in OWNER's construction contracts for the work
which shall protect ENGINEER to the same degree as OWNER. '
Further, OWNER agrees that ENGINEER shall be listed as an
additional insured under the construction contractor's liability insurance
policies.
5. CONTROLLING LAW
This Agreement is to be governed by the law of the state where
ENGINEER's services are pelformed.
6. SERVICES AND INFORMATION
OWNER will prOVide all criteria and information pertaining to OWNER's
requirements for the project, including design objectives and
constraints, space, capacity and performance requirements, flexibility
and expandability, and any budgetary limitations. OWNER will also
provide copies of any OWNER-fumished Standard Details, Standard
Specifications, or Standard Bidding Documents which are to be
incorporated into the project.
OWNER will furnish the services of soils/geotechnical engineers or
other consultants that include reports and appropriate professional
recommendations when such services are deemed necessary by
ENGINEER. The OWNER agrees to bear full responsibility for the
technical accuracy and content of OWNER-furnished documents and
services.
In performing profeSSional engineering and related services hereunder,
it is understood by OWNER that ENGINEER is not engaged in
rendering any type of legal, insurance or accounting s8rJices, opinions
or advice. Further, it is the OWNER's sole responsibility to obtain the
advice of an attorney, insurance counselor or accountant to protect the
OWNER's legal and financial interests. To that end, the OWNER
agrees that OWNER or the OWNER's representative will examine all
studies, reports, sketches, drawings, specifications, prop.osals and
other documents, opinions or advice prepared or provided by
ENGINEER, and will obtain the advice of an attomey, insurance
counselor or other consultant as the OWNER deems necessary to
protect the OWNER's interests before OWNER takes action or
forebears to take action based upon or relying upon the services
provided by ENGINEER.
7. SUCCESSORS AND ASSIGNS
OWNER and ENGINEER, respectively, bind themselves, their
partners, successors, assigns, and legal representatives to the
covenants of this Agreement. Neither OWNER nor ENGINEER will
assign, sublet, or transfer any interest in this Agreement or claims
arising therefrom without the written consent of the other.
8. RE-USE OF DOCUMENTS
All documents, including all reports, drawings, specifications, computer
software or other items prepared or furnished by ENGINEER pursuant
to this Agreement, are instruments of service with respect to the
project. ENGINEER retains ownership of all such documents.
OWNER may retain copies of the documents for its information and
reference in connection with the project however, none of the
documents are intended or represented to be suitable for reuse by
OWNER or others on extensions of the project or on any other project.
Any reuse without written verification or adaptation by ENGINEER for
the specific purpose intended will be at OWNER's sole risk a"nd without
liability or legal exposure to ENGINEER, and OWNER will defend,
indemnify and hold harmless ENGINEER from all claims, damages,
losses and expenses, including attorney's fees, arising or resulting
therefrom. Any such verification or adaptation will entltle ENGINEER to
further compensation at rates to be agreed upon by OWNER and
ENGINEER.
9. TERMINATION OF AGREEMENT
OWNER or ENGINEER may terminate the Agreement, in whole or in
part, by giving seven (7) days written notice, if the other party
substantially fails to fulfill its obligations under the Agreement through
no fault of the terminating party. Where the method of payment is
"lump sum," or cost reimbursement, the final invoice will include all
services and expenses associated with the project up to the effective
date of termination. An equitable adjustment shall also be made to
provide for termination settlement costs ENGINEER incurs as a result
of commitments that had become firm before termination, and for a
reasonable profit for services performed.
10. SEVERABILITY
If any provision of this agreement is held invalid or unenforceable the
. remaining provisions shall be valid and binding upon the parties. One
or more waivers by either party of any provision, term or condition shall
not be construed by the other party as a waiver of any subsequent
breach of the same provision, term or condition.

ENGINEER may, at its option and without liability for delay,
consequential or any other damages to OVYNER, suspend
performance of services on that portion of the project affected by
hazardous materials until OWNER: (i) retains appropriate specialist
consultant(s) or contracto~(s) to identify and, as appropriate, abate,
remediate, or remove the hazardous materials; and (ii) warrants that
the project site is in full compliance with all applicable laws and
regulations. OWNER acknowledges that ENGINEER is performing
professional services for OWNER and that ENGINEER is not and
shall not be required to become an "arranger," "operator,"
"generator," or "transporter" of hazardous materials, as defined in
the Comprehensive Environmental Response, Compensation, and
Liability Act of 1990 (CERCLA), which are or may be encountered at
or near the project site in connection with ENGINEER's services
under this Agreement. If ENGINEER's services. hereunder cannot
be performed because of the existence of hazardous materials,
ENGINEER shall be entitled to terminate this Agreement for cause
OWNER recognizes that late payment of invoices results in extra on 30 days written notice. To the fullest extent permitted by law,
expenses for ENGINEER. ENGINEER retains the right to assess OWNER shall indemnify and hold harmless ENGINEER, its officers,

ENGINEER will retain receipts for reimbursable expenses in general
accordance with Internal Revenue Service rules pertaining to the
support of expenditures for income tax purposes. Receipts will be
available for inspection by OWNER's auditors upon request.
If OWNER disputes any items in ENGINEER's invoice for any reason,
including the lack of supporting documentation, OWNER may
.temporarily delete the disputed item and pay the remaining amount of
the invoice. OWNER will promptly notify ENGINEER of the dispute
and. request clarification and/or correction. After any dispute has been
settled, ENGINEER will include the disputed item on a subsequent,
regularly scheduled invoice, or on a special invoice for the disputed
item only.
12. CHANGES
The parties agree that no change or modification to this Agreement, or
any attachments hereto, shall have any force or effect unless the
change is reduced to writing, dated, and made part of this Agreement.
The execution of the change shall be authorized and signed in the
same manner as this Agreement. Adjustments in the period of
services and in compensation shall be in accordance with applicable
paragraphS and sections of this Agreement. Any proposed fees by
ENGINEER are estimates to perform the services required to
complete the project as ENGINEER understands it to be defined. For
those projects involving conceptual or process development services,
activities often are not fully definable in the initial planning. In any
event, as the project progresses, the facts developed may dictate a
change in the services to be perfonned, which may alter the scope.
ENGINEER will infonn OWNER of such situations so that changes in
scope and adjustments to the time of perfonnanee and compensation
can be made as required. If such change, additional services, or
suspension of services results in an increase or decrease in the cost
of or time required for performance of the services, an equitable
adjustment shall be made, and the Agreement modified accordingly.
13. CONTROLLING AGREEMENT
These Terms and Conditions shalf take precedence over any
inconsistent or contradictory provisions contained in any proposal,
contract, purchase order, requisition, notice-to-proceed, or like
docum-ent.
14. EQUAl EMPLOYMENT AND NONDISCRIMINATION
In connection with the services under this Agreement, ENGINEER
agrees to comply with the applicable provisions of federal and state
Equal Employment Opportunity, and other employment, statutes and
regulations.
15. HAZARDOUS MATERIALS
OWNER represents to ENGINEER that, to the best of its
knowledge, no hazardous materials are present at the project site.
However, in the event hazardous materials are known to be present,
OWNER represents that to the best of its knowledge it has
disclosed to ENGINEER the existence of all such hazardous
materials, including but not limited to asbestos, PCB's, petroleum,
hazardous waste, or radioactive material located at or near the
project site, including type, quantity and location of such hazardous
materials. It is acknowledged by both parties that ENGINEER's
scope of services do not include services related in any way to
hazardous materials. In the event ENGINEER or any other party
encounters undisclosed hazardous materials, ENGINEER shall
have the obligation to notify OWNER and, to the extent required by
Tenns & Conditions for Professional Services
16. EXECUTION
This Agreement, including the exhibits arid schedules made part
hereof, constitute the entire Agreement between ENGINEER and
OWNER, supersedes and controls over all prior written or oral
understandings. This Agreement may be amended, supplemented or
modified only by a written instrument duly executed by the parties..
17. LITIGATION SUPPORT
In the event ENGINEER is required to respond to a subpoena,
government inquiry or other legal process related to the services in
connection with a legal or dispute resolution proceeding to which
ENGINEER is not a party, OWNER shall reimburse ENGINEER for
reasonable costs in responding and compensate ENGINEER at its
then standard rates for reasonable time incurred in gathering
information and documents and attending depositions, hearings, and
. trial. .
18. UTILITY LOCATION
If underground sampling/testing is to be performed, a local utility
locating service shan be contacted to make arrangements for all
utilities to detennine the location of underground utilities. In addition,
OWNER shall notify ENGINEER of the presence and location of any
underground utilities located on the OWNER's property which are not
the responsibility of private/public utilities. ENGINEER shall take
reasonable precautions to avoid damaging underground utilities that
are properly marked. The OWNER agrees to waive any claim against
ENGINEER and will indemnify and hold ENGINEER hannless from
any claim of liability, injury or loss caused by or allegedly caused by
ENGINEER's damaging of underground utilities that are not properly
marked or are not called to ENGINEER's attention prior to' beginning
the underground,sampling/testing.

Sec. 13-132. Affirmative action by contractors required.
(a) Any contractor entering into a contract with the city and such person's subcontractor shall take
affirmative action to insure that employees are treated equally without regard to their race, sex,
religion, age, color, national origin, ancestry or disability. Such affirmative action shall include, but not
be limited to, the following: Employment, upgrading, demotion or transfer, recruiting or recruitment,
advertising, layoff or termination, rates of payor other fonus of compensation and selection for
training, including apprenticeship. The contractor and subcontractor shall agree to post, in conspicuous
places available to employees and applicants for employment, notices to be provided by the director
setting forth provisions of this article. The contractor and such person's subcontractors shall provide all
affirmative action information and necessary documents to implement the compliance with the
requirements of all federal, state and local laws and ordinances.
(b) It shall be no excuse that the employer has a collective bargaining agreement with any union providing
for exclusive referral or' approval systems. The failure of the contractor or subcontractors to comply
with the requirements of this article shall be grounds for cancellation, tennination, or suspension of the
contract, in whole or in part, by the board of conunissioners with the contractor or subcontractors until
satisfactory proof with intent to comply will be submitted to and accepted by the board of
commissioners.

Sec. 13-133. Affirmative action plans.
Every contractor and subcontractor prior to entering into a contract with the city shall submit to the director
of human relations an acceptable written affirmative action plan which shaIl:
(I) Identify areas of employment, employment policies, and employment practices which require
action by the contractor or subcontractor to assure equal employment opportunity;
(2) Analyze these areas, policies and practices to detennine what actions by said contractor or
subcontractor will be most effective;
(3) Establish a plan with goals and timetables designed to achieve equal employment opportunity;
and
(4) Include provisions for implementation, monitoring, and periodic evaluation in order to insure
that it continues to be a valid plan. .

Sec. 13-134. Exemptions.
The provisions of this article shall not apply to:
(1) Contractors or suppliers who would not be considered as an "employerl1 as defined in section 13-
2;
(2) Contracts and subcontracts not exceeding twenty thousand dollars ($20,000.00); and
(3) Call type or purchase order agreements which do not exceed twenty thousand dollars
($20,000.00) in total per calendar year; provided, vendors, contractors and suppliers who will
supply or expect to supply the city with goods or services exceeding twenty thousand doIlars
($20,000.00) during the subsequent calendar year not be exempt from the requirements of this
article;
provided, the above exemptions shall not conflict with applicable state or federal laws.
