Comprehensive Plan Update . , I THIS AGREEMENT made this~day of August, 2007 by and between the City of Salina, Kansas ("Client") and Gould Evans Associates, LC, a Missouri corporation ("Consultant"). WITNESSETH WHEREAS, the Client desires to engage the Consultant to render certain agreed upon professional planning services for the City of Salina, Kansas Comprehensive Plan Update, and the Consultant is willing to provide such services, all upon the terms set forth below. NOW THEREFORE, in consideration of these premises, the parties hereto agree as follows: I. Scope of Services: The Consultant will undertake work assigned by Client relating to Attachment A: Scope afServices. 2. Time and Performance: The Consultant's services shall commence upon execution of this Agreement by both parties. Once approved by the Client, the Consultant shall complete the tasks described in the Scope of Services within 14 months from the date of execution of this Agreement, unless delayed by circumstances beyond Consultant's control. The Consultant will exercise reasonable skill, care and diligence in the performance of its services, and will carry out its responsibilities in accordance with the customarily accepted planning practices in Consultant's community. The Client shall be responsible for the timely delivery of data and support information requested by the Consultant in a manner that will allow the Consultant the ability to perform its services within the time frame noted above. Compensation: The Consultant shall be compensated, an hourly ree not-to-exceed $180,960, (One- Hundred and Eighty Thousand Nine Hundred and Sixty Dollars) plus expenses not to exceed $11.350, (Eleven Thousand Three Hundred and Fifty Dollars). Consultant will bill on a monthly basis hours of work completed and expenses, up to the maximum fees stated above. Consultant will not exceed the maximum fees stated above without written authorization from the Client. The fees shall be based on the task schedule in Attachment B: Project Budget. 3. Pavment: The Client shall pay the amount due within 30 days after receipt of Consultant's invoice. I fthe invoice is not paid within 30 days, the Consultant may suspend services upon written notice to the Client. If a portion of the Consultant's statement is disputed, the Client shall pay the undisputed portion by the due date. Interests on amounts due and unpaid shall accrue at the rate of 1.5% per month from date due until paid. In any action to recover payment due, the prevailing party shall be entitled to recover its attorney's fees costs. Undisputed portions of the invoice shall be timely paid by Client notwithstanding such disputed portions. 4. Time and Expense Records: The Consultant shall keep and maintain time and expense records relating to the scope of services described above, together with supporting receipts, vouchers, and appropriate documentation. As necessary, these records and other appropriate documentation may be required to support invoices submitted to the Client. The Client shall have the right to examine such records as it deems necessary upon reasonable notice to the Consultant at Consultant's place of business during normal business hours. 5. Authorization ofChan!!es: Any changes or additional tasks required for the performance oflhis Agreement and any compensation due for the provision of additional services shall only be authorized by the Client in writing, and the Consultant shall first request such changes in writing. The STD Contract Revised 04.08.02 . Consultant shall be compensated for any additional tasks so approved and authorized, based upon a fcc dctcrmined by thc Consultant and Client for such additional professional services. 6. Liabilitv: The Consultant agrees to indemnify and hold harmless the Client, its officials, agents, servants, officers, directors and employees from and against any and all expenses (including reasonable attorney fees), judgments and reasonable settlements approved by Consultant for personal injury or death or damage to property where, and to the extent that, all such expenses, judgments and Consultant-approved settlements are caused by the Consultant's negligent acts. 7. Disputes/Termination: Each party may terminate this Agreement with ten (10) days' written notice to the other party. In the event of such termination, provided the consultant is not then in default under this Agreement, the Client shall pay the Consultant its compensation and expenses to and through the actual date oftcrmination, upon documentation of those costs by written invoice to the Client. 8. Ownership of Documents: Upon receipt of final payment by Consultant, all original final documents, studies or graphic materials, drawings, plans and digital files prepared by the Consultant shall be deemed property of the Client except as to confidential matters or trade secrets of the Consultant (if identified as such in writing by the Consultant), but only after the final payment by the Client for the same. The Consultant shall be permitted to retain copies, including reproducible copies, of the Consultant's drawings, specifications and other documents. The Client's right of ownership in all such documents shall not prohibit the Consultant from future utilization of design or planning drawings or concepts in the ordinary course of Consultant's business and the Client hereby grants the unrestricted permission to use all such data contained in the Consultant's drawings, text and other documents. 9. Confidentialitv of Findines: Any reports, information, data or intellectual property whatsoever given or prepared as assembled by the Consultant under this Agreement shall not be made available to any individual or organization by the Consultant without the prior written approval of the Client, except for those uses specified in Item] 0, Public Relations. 10. Public Relations: Consultant shall have the right to retain and utilize copies of all work it produces on the Project for citation and dissemination in the Consultant's resume, brochures and other generally recognized forms of professional public relations. II. Extent of Aereement: This Agreement represents the entire and integrated agreement between the Client and Consultant and supersedes all prior negotiations, representations or agreement, either written or oral. This Agreement may be amended only by written instrument signed by both the Client and Consultant. 12. Severabilitv: Should any of the provisions of this Agreement be determined to violate any state law or City ordinance, that shall not affect the validity of the other terms of this Agreement and there shall be added to this Agreement a legal, valid or enforceable term or provision as similar as possible to the stricken provision. < ' 13. Applicable Law: Parties agree that Kansas law is controlling in interpreting this Agreement. 14. Insurance: Consultant shall maintain, at its own expense, the following insurance with insurance companies reasonably acceptable to Client: STD Contract 2 Revised 04.08.02 (a) Professional Liability Insurance in the amount of five hundred thousand Dollars ($500,000.00) (including contractual liability coverage specifically including Consultant's indemnity obligations under this Agreement, with all coverage retroactive to the earlier of the date of this Agreement and the commencement of Consultant's services under this Agreement) covering personal injury, bodily injury and property damages, which coverage shall be maintained for a period of three (3) years after the date of final payment under this Agreement. (b) Commercial General Liability Insurance, occurrence form, (including completed operations and broad-form contractual liability specifically covering the Consultant's indemnity obligations under this Agreement) in the amount of five hundred thousand Dollars ($500,000.00) combined single limit covering personal injury, bodily injury and property damage, which insurance shall name the Client as an additional insured. (c) Comprehensive Automobile Liability Insurance,. including owned, hired and non.. owned vehicles, ifany, in the amount five hundred thousand Dollars ($500,000.00) covering personal injury, bodily injury and property damage, which insurance shall name the Client as an additional insured. (d) Worker's Compensation Insurance, which shall fully comply with ap'plicable law, and employer's liability insurance with limits of not less than one hundred thousand Dollars ($100,000.00) per occurrence. Consultant shall provide a valid waiver executed by.its workers compensation and employer's liability insurance carrier of any right of subrogation against Client or its employees for any injury to a covered employee working on Client's premises. Upon execution of this Agreement, Consultant shall provide to Client Certificates of Insurance reflecting the required coverages. The certificates shall specify the date when such insurance expires. Each policy and each Certificates of Insurance shall provide that Client shall be given not less than thirty (30) days' written notice before cancellation, non-renewal or material modification of coverage of such insurance. A renewal certificate shall be furnished to Client prior to the expiration date of any coverage, and Consultant shall give Client written notice of any reduction or other material modification in such insurance no later than thirty (30) days prior to such change. 15. Assienment: Consultant shall not assign this Agreement or any part hereof, or the right to any payments to be received hereunder. However, Consultant may subcontract portions of the services the subconsultants without violating this provision. 16. Mediation: In the event that a dispute shall arise between the parties to this Agreement, then as a condition precedent to legal action by either party, the parties agree to participate in at least four hours of mediation, as needed, in an effort to resolve the dispute. The parties agree to split the mediator's fees equally. The mediation shall be administered by a mutually agreeable mediation service and shall be held in Topeka, Kansas, unless another location of mutually agreed upon. As part of the project approach we have incorporated the development of a public participation plan that will guide public participation, communications and relations activities throughout the project. Also, to ensure effective project management and communications, a Project Management Team is incorporated into the structure of the project. This team will communicate via conference call and e-mail in addition to holding identified meetings during the project. The project management team will focus on project status reporting, quality control and assurance, technical issues and support, integration of the elements of the comprehensive plan, and other project logistics and items throughout the project. The Advisory Committee will be a working committee and will be given homework assignments, the results of which will provide guidance to the project. In other projects, this committee has done visioning, visual preference, perceptual mapping and other exercises designed to further the depth of the plan discussion and analysis. It is recognized that coordination of this planning effort with the County Planning and Zoning Department of Saline County is necessary to assist within the future growth and development of Salina. The county will be included as a participant in the planning process as defined within the Public Participation Plan in Phase 1 of the project. The Gould Evans Team is proposing a 12 month timeline for the project. This timeline is flexible, but our primary concern is keeping the public engaged in the process over an extended period of time. This approach is based on our experience and expertise, but is negotiable to meet the specific needs and resources of the City of Salina. Comprehensive Plan Approach Phase 1: Project Set-up Objectives Confirm project approach, schedule and logistics, and study area boundaries Develop working relationship with the client Assemble initial data, documents, base maps and other pertinent information Prepare the Public Participation Plan Set-up Project Website Gould Evans will initiate the planning effort through a variety of activities with City Staff. The project Advisory Committee, Technical Committee and Project Management Team will be created. The Advisory Committee will serve as an interactive sounding board for ideas and concepts, a conveyor of information to various groups and citizens and provide general guidance regarding the formulation of the plan and implementation strategies. The Technical Committee will be comprised of city staff that will provide technical expertise regarding the specific components of the plan and information that will be used during the planning process. The Project Management Team will be made up of client representatives and the consultant team. The purpose of this team will be to routinely share information and coordinate activities throughout the project. In addition to the Advisory Committee, topical Focus Groups will be organized. The intent of the focus groups is to provide more detailed discussions regarding those topics that are of particular interest to the City and community. It is anticipated that there will be four focus groups including economic development, connectivity, housing and parks. Additional focus groups may be added if the need is identified during the initial phases of the project. Attachment A: Scope of Services Salina Comprehensive Plan Through project kick-off meetings, the project approach will be affirmed, opinions and concerns elicited, a project communication network established and a working relationship among the process participants established. Additionally, logistics and activities for the project public input process will be finalized. This phase offers an opportunity to identify key individuals and groups within the community and solicit their involvement for the project meetings and workshops and the development of the plan. A defined product from this phase will be the formulation of a Public Participation Plan that will be used to gain input and information from the public and various organizations throughout the planning process. In this approach some basic participation techniques and times are outlined. The committees, teams, meetings, interviews, website, and survey identified in this approach represent the minimum participation proposed for the planning process. Through the development of the Public Participation Plan, a detailed, intensive public participation program will be tailored to this planning process for both techniques and timing, based on positive experiences of the consultant and client, and budgetary resources and priorities for the project. With the cooperation of the client, we will also use this period to assemble available information regarding history, land use, urban form, traffic and demographic/economic trends, community facilities, infrastructure, historic preservation, neighborhoods including downtown, regulatory and financial tools, as well as environmental, cultural, and other features and characteristics impacting the City of Salina. Saline County planning and regulations will also be compiled for review and potential impacts on the future growth and development of Salina. Tasks 1.1 Project set-up activities with City Staff 1.1.1 Submit a request for information related to essential data and documents for the project. 1.1.2 Coordinate on project website contents and development. 1.1.3 Confirm project logistics – communications within the Project Team, citizens and media. 1.1.4 Develop the Advisory Committee, Technical Committee and Project Management Team. 1.1.5 Develop the Project Focus Groups and identify interview candidates. 1.1.6 Prepare Public Participation Plan – including outlining public participation process, participants, and logistics. 1.2 Initial project kick-off meetings with City Staff, Advisory Committee, Technical Committee and Project Management Team 1.2.1 Review and affirm project process with the Advisory Committee, Technical Committee and Project Management Team (i.e., scope of services and project schedule). 1.2.2 Identify key plan stakeh olders in the community. 1.3 Logistical preparations for public meetings/workshops later in the project. City Staff Responsibilities Appoint the Advisory Committee, Technical Committee and Project Management Team. Appoint the Focus Groups and contact interview candidates through direct invitation. Assemble and forward applicable data, base information and planning documents for the city and specific areas identified, including the most recent economic and demographic studies, previous plans, regulations and design guidelines, financial tools, aerial and planimetric base maps, pending or proposed development/improvement information, and other pertinent information. It is preferable that information be provided in digital format; however, a hardcopy will be acceptable. Assume responsibility for logistics to assist with public involvement activities (i.e. identify key persons to interview and arrange locations for public workshop(s) and project team activities, prepare to participate in assisting with public activities, etc.). Communicate with the Advisory Committee, Technical Committee, Management Team, Planning Commission and City Commission. When possible we will also plan on meeting with the Planning Commission and City Commission when visits and meetings correspond. This engagement process will include personal interviews and public meetings. Through facilitated discussions and exercises, the public will provide an initial outline of what values and desires need to be incorporated into the plan vision and addressed through plan recommendations. Supplemental to these activities, our approach includes conducting a community survey. The community survey process can provide an abundance of information from a broad cross-section of the community, thus providing depth to the public input. A survey can reach many segments of a community that do not traditionally participate in public meetings. This phase of the project allows the opportunity to conduct, gather and begin analyzing survey information along with other input received through interviews and meetings Consultant Tasks 2.1 Visioning 2.1.1 Conduct key person interviews as determined necessary (this will be a part of every visit to Salina for phases 2 through 4 of the project as time allows). 2.1.2 Prepare and conduct 2 public meetings to identify issues, assets, goals and visions for the plan. 2.1.3 Prepare and conduct Focus Group meetings to identify issues, assets, goals and visions for the plan. 2.1.4 Prepare and conduct an Advisory Committee and Technical Committee meetings to identify issues, assets, goals and visions for the plan. 2.2 Prepare community survey instrument based on the issues, assets and visions identified by the public, focus groups and advisory and technical committees. 2.3 Develop summary memorandum outlining input. Analyze the physical framework, city boundaries, major circulation patterns/conflicts, land use patterns (city and adjacent county land use) and relationships, economic and development environment, demographic characteristics, and the existing public/private interface characteristics within the city, as well as other items deemed necessary. Review available data/documents and supplement with additional research, physical analysis and conceptual analysis. Prepare an Existing Conditions and Trends report including an economic profile. Conduct Community Survey process. Phase 3 will allow the Gould Evans team to develop a foundational understanding of the major issues, constraints and opportunities impacting the city. The framework of existing conditions and trends is built around the review and analysis of available base data and information. An additional element that will be examined in this planning effort is the economic and market situation in which the comprehensive plan is being prepared. In this phase an economic profile will be completed to better understand the market forces that are influencing and will continue to influence growth and development in Salina. In addition to the standard demographic information analysis, general information regarding Salina’s trade area, residential and commercial development, retail trade, labor force and employment, education and cost of living will be analyzed. For most of the information gathered, the potential growth will also be analyzed. The economic profile will provide a foundation for the economic development initiatives and implementation strategies proposed in the plan. The information analyzed will also contribute to the preparation of the growth and development alternatives in Phase 4. Through this review and analysis, team members will acquire a basic understanding of physical, regulatory, financial and market dynamics influencing the development environment now and in the future. Additionally, the team will understand the physical framework for daily activity within the city, information anticipated to be reviewed includes, but is not limited to, land use, neighborhoods and housing, infrastructure and utilities, historic and cultural resources, natural resources, traffic and transportation, parks and amenities, public facilities and economic development Attachment A: Scope of Services Salina Comprehensive Plan information. It is also anticipated that existing planning documents and regulations for both the City and County will be reviewed and evaluated. Consultant Tasks 3.1 Conduct a visual assessment of the City to supplement photos and data available. 3.1.1 Develop a visual assessment or physical character map identifying key nodes, landmarks, edges, pathways, linkages and districts within the city. 3.2 Review and analyze data and information assembled and supplied by city staff. 3.2.1 Prepare an Existing Conditions and Trends Report including an economic profile / market assessment and initial findings from the survey and interviews conducted to date. 3.3 Conduct Community Survey 3.4 Prepare and conduct Focus Group and Advisory and Technical Committee workshops focused on the findings of the Existing Conditions and Trends Report. Identify a preliminary vision for the plan. Generate scenarios with up to 3 alternatives that reflect general growth and development scenarios. Identify a preferred direction for plan development and future implementation with regard to the plan elements identified through the planning process. The proposed methodology includes one multiple day (4-5 days) charrette to validate issues, assets and goals; review existing conditions; outline a preliminary vision; and investigate potential alternatives for addressing priority issues identified in earlier project phases. Attachment A: Scope of Services Salina Comprehensive Plan The Gould Evans team will develop distinct alternatives that demonstrate potential options to address the issues, goals and vision identified to date. The multiple day session will be used to review the findings to-date, prepare alternatives and refine the alternatives into a single preferred direction. The public, Advisory and Technical Committees, Focus Groups and city staff will have the opportunity to comment on and critique the alternatives as they are refined to a preferred direction. The activities for the multiple days will be defined during Phase 1 in the public participation plan. The preferred direction(s) will form the initial foundation for the development of the draft plan document and the key components to be addressed in the plan. Based on the outcome of the charrette process and the preferred direction prepared, an Urban Services Planning Area work session will be held. Gould Evans will facilitate a work session with City and County representatives to address growth and development issues within the ETJ and other proposed growth areas. The work session will focus on the future growth and development of Salina and the County, the impacts of growth and development and existing development regulations. Consultant Tasks 4.1 Alternative Charrette 4.1.1 Verify and validate issues, assets, goals and preliminary vision. 4.1.2 Generate growth and development alternatives that reflect potential opportunities and constraints. 4.1.3 Demonstrate the ramifications of up to three alternatives for key issue and vision elements for review and evaluation by the advisory and technical committees, focus groups and public. 4.1.4 Prepare a preferred plan direction addressi ng significant plan elements that will provide the direction for the development of the plan. 4.1.4.a Based on the preferred direction of t he plan document a Urban Service Area Planning session will be held with the City and County staff and elected officials. 4.1.5 Prepare a Plan Outline in preparation for Phase 5. City/Staff Responsibilities Provide logistical support for meetings. Participate in charrette activities and meetings by attending focus group and advisory and technical committee meetings to answer questions as they arise and providing comment as appropriate. Develop phasing and implementation strategies. Prepare Zoning and Subdivision regulation recommendations. Based on vision defined and preferred alternative, specific plan elements and implementation and phasing strategies will be developed. These elements and strategies will reflect desired goals and define necessary actions for successful implementation for the City of Salina. This effort will result in a draft plan addressing various plan elements, with the necessary narrative and graphic information to guide decision making and implementation efforts. Our team will develop the draft plan with feedback from City Staff, the Advisory and Technical Committees, Focus Groups, the Project Management Team and the public. The draft documents will include narrative and graphics communicating important physical, policy and organizational concepts and proposals. The City Staff, Advisory and Technical Committees, Focus Groups and project Management Team will receive a copy of the draft documents for two rounds of document review. During the drafting of the Comprehensive Plan document, a review of the current zoning ordinance and subdivision regulations will be conducted. The primary objective will be to identify inconsistencies between the draft plan and existing development regulations. The review will provide a basis for recommended changes to each document based on the vision and goals for future growth and development identified. The recommendations will be documented in a Regulation Evaluation Report. Consultant Tasks 5.1 Develop draft plan including implementation strategies and phasing strategies. 5.2 Deliver draft plan for review and comment by City Staff, Advisory and Technical Committees and Project Management Team. 5.2.1 Conduct Advisory and Technical Committee and Project Management Team meetings to review 1st draft plan. 5.3 Revise draft plan per comments from City Staff, Advisory and Technical Committee, and Project Management Team. 5.4 Deliver 2 draft plan for review. nd 5.4.1 Conduct Advisory and Technical Committee, Focus Group and Project Management Team meeting to review 2 draft plan. nd 5.4.2 Conduct a joint workshop session with the Planning Commission and City Commission to introduce the content of the 2 draft plan for review and comment. nd 5.4.3 Conduct 2 public open houses to present the draft plan to the community. 5.5 Develop Zoning and Subdivision recommendations based on the vision and goals of the Comprehensive Plan. Record and communicate details of the plan for future use by the client and the community. Incorporating comments from the previous phase, our team will prepare a final draft plan and present key elements of the final plan as part of the City review and adoption process. As part of the adoption process, we will participate in a series of meetings that will include the appropriate adoption and governing bodies. We will prepare a final document that describes the project history, process, goals, alternatives investigated, vision and plan elements as outlined in the RFP and the implementation strategies for moving forward with the plan. Our team will address concerns raised during the adoption process and amend the contents of the document as necessary. Upon approval, we will begin final formatting and production of the document. The plan will include graphics essential to communicating the vision. A draft final copy will be provided to the client for review before production and delivery of the final product. Consultant Tasks 6.1 Assist with the adoption process. 6.1.1 Attend and participate in one session with the Planning Commission as part of the adoption process. 6.1.2 Attend and participate in one session with th e City Commission as part of the adoption process. 6.2 Develop and deliver final plan product(s) (50 copies of the final plan, electronic file(s) in a digital format for reproduction and an interactive web-based version of the plan). Primary support for public hearing and adoption process including staff report with recommendations for changes based on public review and adoption proceedings.
