AGREEMENT
THIS AGREEMENT is made and entered into by and between the City of Salina,
Kansas, a municipal corporation, hereinafter called "City", acting herein
by and through Mayor Keith Duckers, its duly authorized representative,
and too Salina Area Chamber of Carrl1erce, a nonprofit corporation, here-
inafter called "Chamber", acting herein by and through Robert Whitworth,
Executive Viae-President, it duly authorized representative.
WHEREAS, on September 25, 1977, the City Carmission of the City of Salina
enacted a resolution levying a tax upon hotel and J'OC)tel transient guests
within the city, said resolution being m3de effective October 1, 1977;
and
WHEREAS, the City of Salina desires that the proceeds derived frcrn said
Hotel and Motel Transient Guest Tax be used for the prarotion, solicita-
tion, encouragement and develoj:lllent of tourism and conventions for the
Ci ty of Salina.
NOW, THEREFDRE, in consideration of the pranises and =venants herein,
too City and the Chamber hereby agree as follows:
I.
City does hereby engage and retain the Chamber to manage and operate a Con-
vention and Tourism Bureau and to render the services OOreinafter contem-
plated, and the Chamber does OOreby agree to accept such engagement and
to discharge its duties in accordance with the tenns and =n:litions herein-
after set forth.

II.
The Chamber is engaged and retained as an independent contractor and not as
an officer, agent or enployee of the City.
III.
The Convention and Tourism Bureau, to be managed and operated by the Cham-
ber, shall encourage, pranote and solicit tourism and conventions for the
City of Salina.
IV.
The City has appointed a Convention and Tourism Ccmnittee which ImlSt ap-
prove the expenditures of all funds received fran the Department of Revenue
from the transient guest tax and the obligations of the City under this
Agreement shall be contingent upon approval of this Agreement by said
Ccmni ttee.
V.
The Chamber shall hire and anploy a Director of the Convention and Tourism
Bureau. Said Director shall be a full-time enployee of the Chamber and
shall devote his/her t..ime primarily to the pranotion and solicitation of
tourism and conventions for the City of Salina. The Chamber shall provide,
at its expense, such office space as nay be necessary for the operation
of the Convention and Tourism Bureau.
VI.
The Chamber shall suhnit to the City an annual operatin:j rudget for the
Convention and Tourism BUreau for the next calendar year. Said budget

shall reflect the proposed expenditures to be made by the Convention and
Tourism Bureau and the purposes for which said expenditures are to be
made.
VII.
It is the intention of the City and the Chamber that the City will re-
imburse the Chamber for all budgeted expenditures made by the Chamber
in furtherance of the activities of the Convention and Tourism Bureau.
Said reimburserrents are to be made from the proceeds of the Hotel and
Motel Transient Guest Tax received by the City. The following procedure
for reimburserrent shall be established:
A. On the' first day of the rronth, ccmnencing upon the
first day of March, 1978, or as soon thereafter as
practiCal, the Chamber will suJ:mit to the City a
statement of expenditures made in furtherance of
the activities of the Convention and Tourism Bureau
during the preceding month.
B. Reimbursarent by the City will be made from funds
received fran the Hotel and Motel Transient Guest
Tax.
C. The City shall make said reimbursement as soon as
practical after receipt of the monthly statement.
VIII.
The City Director of Finance, or his designated representative, shall upon
reasonable notice, have the right to inspect all books and records of
the Convention and Tourism Bureau.
IX.
It is understood and agreed that either party may terminate this contract
by giving to the other party notice in writing of said tennination ninety
(90) days in advance of any expected termination date.

carrnittee of the City of Salina, Kansas, at a meeting of said Carrnittee
held on the 14th day of Nov6llber, 1977.
